totheHayPointTugHarbourAccountfortheprovisionoffundsrequired to be
reimbursed to DBCT-UDCL under the provisions of theHarbourDevelopmentAgreement.(“HayPointTugHarbourAccount”,“DBCT-UDCL”and“HarbourDevelopment
Agreement”are defined in the Agreement.)B.ThePortsCorporationofQueenslandisthesuccessortoTheHarboursCorporationofQueensland,andundertheTransportInfrastructure
Act 1994may exercise the powers of a port authority
asto The Port of Hay Point in the State of
Queensland.C.BHPC, BHPQ, UCL, Mitsubishi, QCT
Mining, QCT Investment andQCTManagementarethesuccessorsorpermittedassignsofAustralian Mutual Provident Society,
Bowen Basin Minerals Inc., UBMinerals Inc.,
Bell Coal Pty Ltd, Pancontinental Mining Ltd and GEMinerals Inc.D.The
Agreementwasratified,confirmedandvalidatedtotakeeffectaccordingtoitstenorbytheHayPointHarbour(RatificationofAgreements) Act 1987.E.Clause9.1oftheAgreementprovidesthatifanyprovisionorprovisions of the Agreement become
inequitable or impracticable dueto changed
circumstances not envisaged at the date of the Agreement,the
parties may agree to vary the Agreement.F.TheprovisionsoftheAgreementhavebecomeinequitableorimpracticable due to changed circumstances
not envisaged at the dateof the Agreement, and because of this,
the parties have agreed to varythe
Agreement.

parties wish to vary the Agreement in the terms set out in
thisDeed.IT IS
AGREED:1.RECITALSThe parties
acknowledge that the Ports Corporation has relied uponinformation contained in the Recitals in
entering into this Deed, theDeed of
Variation Tug Harbour Account–DBCT Agreement, the DeedofVariationofHayPointTugHarbourLeaseandBerthingAgreement,andtheAgreementforLeaseandSubleasewithDalrymple Bay Coal Terminal Pty Ltd and BHP
Coal Pty Ltd.2.INTERPRETATION“Agreement”meanstheTugHarbour
Account–CQCA Agreementreferred to in Recital A.3.VARIATION OF AGREEMENTThe
Agreement is varied effective on the date that this Deed
becomeseffective pursuant to Clause 4 by—(a)inclause3.2,omitting“Clause3.1”andreplacingitwith“Clauses 3.1 and
16.2”;(b)omitting clauses 13 and 13.1;
and(c)omitting clause 16.1 and replacing it
with the following—

ends on—(a)thedateConditionsPrecedent2.5(a)oftheAgreementforLeaseandSubleasebetweenthePorts Corporation, DBCT and BHPC dated
31 May2001 is satisfied; or(b)thedateapprovaloftheGovernorinCouncilisobtained under clause 4 of the Deed of
Variation ofTug Harbour Account–CQCA Agreement;whichever occurs last.16.2When
this agreement ends—(a)eachpartyisreleasedfromallobligationsandliabilitiesunderthis
Agreementandinrelationtothe Tug Harbour Account;(b)no party will have any claim or action
against anyotherpartybecauseofanypreviousorexistingbreach of this
agreement;(c)the amount of $8,121,393.74 will be
paid from theTugHarbour AccounttoBHPConbehalfoftheCQCA companies.The CQCA
companies jointlyandseverallywarrantthatBHPCisauthorisedtoreceivethosefundsonbehalfoftheCQCAcompanies.BHPCundertakestodistributethosefunds to the CQCA companies in accordance
witheach company’s respective
entitlement.16.3PaymentbythePortsCorporationtoBHPCoftheamountpayableunderparagraph16.2(c)isacompletedischarge of the
obligations of the Ports Corporation assuccessor to the
Harbours Corporation under 16.2(c) andinfullandfinalsatisfactionoftheCQCAcompanies’

Tug Harbour Account.4.APPROVAL OF GOVERNOR IN COUNCILThis
Deed will take effect and become binding on the parties whenthisDeedandtheDeedofVariationofTugHarbourAgreement–DBCT
Agreement and the Deed of Variation of Hay PointTugHarbourLeaseandBerthingAgreementareexecutedbyallparties and the approval of the
Governor in Council by Order or byRegulation in
Council has been obtained in respect of each Deed.5.WARRANTYBHPC, BHPQ, UCL,
Mitsubishi, QCT Mining, QCT Investment andQCTManagementjointlyandseverallywarrantthattheyarethesuccessorsorpermittedassignsofthepartieslistedinRecitalCinrespect of those parties’ interests,
rights, entitlements and obligationsunderthe
AgreementandtheHayPoint TugHarbour
AccountandtheyindemnifythePortsCorporationifthewarrantygiveninthisclause is not
correct and against any claim by those parties in relationto
the Hay Point Tug Harbour Account.6.COUNTERPARTS6.1This
Deed may be executed in one or more counterparts, togetherwithasmanycopiesofthecounterpartsasthepartiesmayrequire.6.2This
Deed will be taken to be executed by all the parties when
thePorts Corporation—(a)has
executed a counterpart; and

been notified in writing that the counterparts have beenexecutedbytheCompanies,despitethatnoexchangeofcounterparts has then occurred.6.3Thepartiesmayexchangecounterparts,asthepartiesmayrequire.6.4Each
of the Attorneys executing this Deed acknowledges that heor
she has at the time of executing this Deed no notice of therevocation of the power of attorney under
the authority of whichhe executes this Deed.7.NOTICES7.1Notices under this Deed may be given by

in respect of each Deed.5.COUNTERPARTS5.1This

Deed will be taken to be executed by all the parties when
thePorts Corporation—(a)has
executed a counterpart; and(b)has been notified

then occurred.

Queensland.C.The Agreementwasratified,confirmedandvalidatedtotakeeffectaccordingtoitstenorbytheHayPointHarbour(RatificationofAgreements) Act 1987.D.Section3oftheHayPointHarbour(RatificationofAgreements)Act 1987provides that the Agreement may be varied
with the consentofallpartiesandwiththeapprovaloftheGovernorinCouncilbyOrder in Council.E.The
parties wish to vary the Agreement in the terms set out in
thisDeed.IT IS
AGREED:1.RECITALSThe parties
acknowledge that the Ports Corporation has relied uponinformation contained in the Recitals in
entering into this Deed, theDeed of
Variation Tug Harbour Account–DBCT Agreement, the DeedofVariationTugHarbourAccount–CQCAAgreement,andtheAgreementforLeaseandSubleasewithDalrympleBayCoalTerminal Pty Ltd
and BHP Coal Pty Ltd.2.VARIATION OF
AGREEMENTThe Agreement is varied effective on the
date that this Deed becomeseffective
pursuant to Clause 3 by—(a)in clause 2.1,
omitting “expiring (except as otherwise provided inthis
Agreement) on the day sixteen (16) years from the date ofcommencement” and replacing it with “ending on:-(i)thedateConditionPrecedent2.5(a)oftheAgreementforLease and Sublease between the Ports
Corporation, DBCTand BHPC dated 31 May 2001 is satisfied;
or

Deed will take effect and become binding on the parties whenthisDeedandtheDeedofVariationofTugHarbourAgreement–DBCTAgreementandtheDeedofVariationofTugHarbourAgreement–CQCAAgreementareexecutedbyallpartiesand the approval
of the Governor in Council by Order in Council or byRegulation has been obtained in respect of
each Deed.4.COUNTERPARTS4.1This
Deed may be executed in one or more counterparts, togetherwithasmanycopiesofthecounterpartsasthepartiesmayrequire.4.2This
Deed will be taken to be executed by all the parties when
thePorts Corporation—(a)has
executed a counterpart; and(b)has been notified
in writing that the counterparts have beenexecuted by all
the Companies, despite that no exchange ofcounterparts has
then occurred.4.3Thepartiesmayexchangecounterparts,asthepartiesmayrequire.4.4Each
of the Attorneys executing this Deed acknowledges that heor
she has at the time of executing this Deed no notice of therevocation of the power of attorney under
the authority of whichhe executes this Deed.
