acknowledge that this Agreement will only comeinto effect upon
approval of the terms of this Agreement by aregulation made
under section 134(2) of the SDPWO Act.3.Transfer of Stadium Works3.1The COG agrees to transfer the Stadium
Works together withthe management, operation and control of the
Stadium Worksto the SRA for $1.00 and the SRA accepts the
transfer of theStadium Works together with the management,
operation andcontrol of the Stadium Works.3.2The transfer shall take effect on the
Settlement Date.4.Use of External Works4.1The COG authorises the SRA to occupy
and use the ExternalWorksandtocompletetheconstructionoftheExternalWorks, where
necessary.4.2The SRA shall ensure that a public
liability insurance policyrelatingtoitsuseandoccupationoftheExternalWorksistaken out and maintained. That policy
shall be in accordancewith the COG’s reasonable
requirements.4.3TherightsgrantedtotheSRAunderclause4.1shalltakeeffectfromtheSettlementDateandshallcontinueuntilterminated by
written notice from the COG.4.4UponcompletionoftheExternalWorks,theSRAshallnegotiate with the COG for the transfer of
those works to athird party.5.Transfer of COG Land5.1The
COG agrees to transfer the COG Land to the SRA for$1.00
and the SRA accepts the transfer of the COG Land inaccordance with the terms of this

this Agreement.9.2Where GST is payable on a Supply, the

will be governed by and construed accordingto the law of the
State of Queensland and the parties agree tosubmittothejurisdictionoftheCourtsoftheStateofQueensland.12.Costs12.1Eachpartyshallpayitsowncostsofandincidentaltothenegotiation, preparation and execution

CG”)AND:THESTATEOFQUEENSLANDthroughtheDepartment of Public Works(“DPW”)RECITALSA.The CG constructed the Goodwill Bridge
pursuant to the CG’spowers under the SDPWO Act.B.Construction of the Bridge has been
completed and the partiesagreetothetransferoftheBridgeandthemanagement,operationandcontroloftheBridgefromtheCGtoDPWpursuant to section 134 of the SDPWO
Act.D.This Agreement records the agreement

AGREE:1.INTERPRETATION1.1In
this Agreement, unless the context otherwise requires:“Agreement”means this
agreement.“Bridge”meanstheSouthBankPedestrianandCycleBridge,knownastheGoodwillBridge,describedintheBridge Plan.“BridgePlan”meanstheplaninthescheduletothisAgreement.“Regulation”meanstheregulationundertheSDPWOActreferred to in clause 2.“SDPWOAct”meanstheStateDevelopmentandPublicWorks
Organisation Act 1971.“Settlement
Date”means the day on which the Regulationcommences operation.1.2Areferencetopersonsincludescorporationsandotherentities.1.3The singular includes the plural and
vice versa.2.REGULATIONThis Agreement
will take effect when the particulars of theAgreement have
been approved by a regulation under section134(2) of the
SDPWO Act.3.TRANSFER3.1TheCGagreestotransfertheBridgeandthemanagement,operation and
control of the Bridge to DPW.3.2DPW

indemnifies the CG against liability in relation to anyactions,proceedings,claimsordemandsconcerningtheBridgethatarisefromactsoromissions,otherthanactsoromissions of the
CG, that happen on or after the SettlementDate.4.2The CG indemnifies DPW against
liability in relation to anyactions,proceedings,claimsordemandsconcerningtheBridge, including the construction or
use of the Bridge, thatarisefromactsoromissionsthathappenedpriortotheSettlement
Date.5.GOVERNING LAWThis Agreement
will be governed by the laws of Queensland.6.COSTSEach party will
pay its own costs in relation to the negotiation,preparation and execution of this
Agreement.7.FURTHER ACTION7.1The
CG will deliver to DPW all documents and data that itholds
in relation to the on-going operation and control of theBridge.7.2Each
party will do everything reasonably required by noticefrom
the other party to give effect to this Agreement and toprotect the rights of the other
party.8.NOTICES8.1Notices under this Agreement must be in
writing and may bedelivered by hand, by registered mail or by
facsimile to therelevant address specified in clause 8.3 or
substitute addressnotified by the relevant addressee to the
other.8.2Notices will be deemed to be
