s1 3 Racing Venues ( Trustees of the Albion Park Paceway) Rule 1998 s3 Racing Venues (Trustees of the Albion Park Paceway) Rule 1998 [reprinted as in force on 19 May 1998 ] Part 1 Preliminary 1 Short title This rule may be cited as the Racing Venues ( Trustees of the Albion Park Paceway) Rule 1998 . 2 Definitions In this rule— chairperson means the chairperson for the trustees appointed under section 4(3) of the Act. 1 secretary means the secretary for the trustees appointed under section 11(1) of the Act. 2 trustees means the Trustees of the Albion Park Paceway. Part 2 Trustees’ meetings 3 Who may call meetings A trustees’ meeting may be called by the chairperson, or any 2 trustees if the chairperson is absent. 1 Section 4 (Trustees of land acquired by corporation) 2 Section 11 (Employees)

s4 4 Racing Venues ( Trustees of the Albion Park Paceway) Rule 1998 s6 4 Time and place of meetings (1) An ordinary trustees’ meeting is to be held at the time and place decided by the trustees. (2) A special trustees’ meeting is to be held at the time and place stated in the agenda for the meeting. 5 Notice of meeting (1) Written notice of a trustees’ meeting must be given to each trustee at least 3 clear days before the meeting. (2) The notice must state the time and place of the proposed meeting. (3) This section does not apply if— (a) the meeting is the resumption of a meeting adjourned— (i) earlier on the same day; or (ii) on either of the 2 previous days; or (b) the chairperson— (i) calls the meeting because the chairperson considers an emergency exists; and (ii) takes reasonable steps in the circumstances to notify each trustee of the meeting. 6 Agenda (1) The agenda for a trustees’ meeting must include— (a) for an ordinary meeting—a motion to confirm the minutes of the last ordinary or special meeting; and (b) if a trustee has given the secretary earlier notice that a motion is proposed to be moved at the meeting—the substance of the motion; and (c) if a trustee has given the secretary earlier notice that a question is proposed to be asked at the meeting—the substance of the question; and (d) the time, date and place of the next trustees’ meeting.

s 7 5 s 10 Racing Venues ( Trustees of the Albion Park Paceway) Rule 1998 (2) However, the agenda for a special meeting may only include a matter stated in the notice of meeting. (3) If an ordinary meeting lapses because of a lack of a quorum, the business for the meeting must be included in the agenda for the next ordinary meeting, unless it has been disposed of by a special meeting or can no longer be transacted. 7 Chairperson for meetings (1) The chairperson must chair a trustees’ meeting at which the chairperson is present. (2) If the chairperson is absent, another trustee chosen, with the trustee’s consent, by the trustees present must chair the meeting. 8 Quorum A quorum for a trustees’ meeting is more than one-half the trustees. 9 Adjournment (1) The trustees present at a trustees’ meeting may adjourn the meeting. (2) However, if a quorum is not present at a meeting within 30 minutes after the time set for the meeting, the meeting must be adjourned to a time and day no later than 14 days after the meeting. 10 Minutes (1) The trustees must keep full and accurate minutes of their meetings. (2) Immediately after the minutes of a previous trustees’ meeting are confirmed, the chairperson for the meeting at which they are confirmed must sign the minutes.

s 11 6 Racing Venues ( Trustees of the Albion Park Paceway) Rule 1998 s 13 Part 3 Miscellaneous 11 Trustee’s address and telephone number A trustee must keep the secretary informed of the current address and telephone number of the trustee’s place of residence and business, if any. 12 Transitional (1) If a notice of a trustees’ meeting has been given under the repealed rules, the meeting may be held and conducted as if this rule had not been made and the repealed rules were still in force. (2) This section expires 2 months after it commences. (3) In this section— repealed rules means the rules repealed under section 13. 13 Repeal (1) The rules of the Trustees of the Albion Park Paceway made under the Act and gazetted on 23 February 1985 at pages 961 and 962 are repealed. (2) This section expires 2 months after it commences.
