s1 3 s3 Hospitals Foundations Regulation 1994 HOSPITALS FOUNDATIONS REGULATION 1994 [as amended by all amendments that commenced on or before 8 April 2004] 1 Short title This regulation may be cited as the Hospitals Foundations Regulation 1994 . 2 Body corporate established Each of the bodies corporate in the schedule is established. 3 Amalgamation of bodies corporate (1) The bodies corporate known as the Royal Brisbane and Women’s Hospital Foundation and the Royal Women’s Hospital Research and Development Foundation are amalgamated. (2) For subsection (1)— (a) the Royal Brisbane and Women’s Hospital Foundation (the “continuing body corporate” ) continues; and (b) the Royal Women’s Hospital Research and Development Foundation (the “discontinued body corporate” ) is subsumed into the continuing body corporate and is dissolved immediately after the subsumption. (3) On the amalgamation— (a) the assets and liabilities of the discontinued body corporate become, without any conveyance, transfer or assignment, the assets and liabilities of the continuing body corporate; and (b) the rights and obligations of the discontinued body corporate become the rights and obligations of the continuing body corporate; and (c) a legal proceeding that may have been continued or started by or against the discontinued body corporate may be continued or started by or against the continuing body corporate; and

s3 4 s3 Hospitals Foundations Regulation 1994 (d) a reference to the discontinued body corporate in an instrument (other than a statutory instrument) in existence at the amalgamation is a reference to the continuing body corporate; and (e) the general fund of the discontinued body corporate becomes part of the general fund of the continuing body corporate; and (f) a trust fund of the discontinued body corporate becomes a trust fund of the continuing body corporate; and (g) a bequest to the discontinued body corporate, whether made before or after the amalgamation, is a bequest to the continuing body corporate.
