is hereby declared that each of them—(a)theagreementdated25June1985betweentheHarboursCorporationofQueenslandandUtahDevelopmentCompanyLimitedbothonitsownbehalfandonbehalfofcertainothercompanies,(the“TugHarbourAccount—CQCAAgreement”);
and(b)the deed of novation dated 15 July
1986 between the HarboursCorporationofQueensland,andUtahDevelopmentCompanyLimited,MitsubishiDevelopmentPty.Ltd., AustralianMutualProvidentSociety,UmalConsolidatedLimited,PancontinentalMiningLimited,BellCoalPty.Ltd.,UtahQueenslandCoalLimited, UB Minerals, Inc., Bowen Basin
Minerals ProprietaryLimited, QCT Investment Pty. Ltd. and

Queensland, Dalrymple Bay Coal Terminal PtyLtd and Utah
Development Company Limited, (the“Hay PointTug
Harbour Lease and Berthing Agreement”); and(e)theagreementdated25June1985betweentheHarboursCorporation of
Queensland, Dalrymple Bay Coal Terminal PtyLtdandUtahDevelopmentCompanyLimited,(the“HarbourDevelopment
Agreement”);copies of which are set out in
schedules 1, 2, 3, 4 and 5 respectively, are—(f)herebyratifiedandconfirmedtotakeeffectaccordingtotheirtenor,
notwithstanding that the agreements or any 1 or more ofthem
are inconsistent in any respect with, or are not authorisedunder or pursuant to, the provisions of
theHarbours Act 1955,theCentral Queensland Coal Associates
Agreement Act 1968orany other Act or law;(g)deemed to have been valid and to have
taken effect in each casefrom the date of their
execution.3Governor in Council may approve
novations and amendments(1)TheGovernorinCouncilmaybyorderincouncil,giveapprovalto—(a)any novation agreement or novation
agreements executed;(b)any amendment or
amendments made;in respect of any 1 or more of the agreements
specified in schedules 1, 2, 3,4 and 5,
(the“specified agreements”), with the
consent of all of the partiesto the specified
agreement or agreements concerned.(2)Where the Governor in Council has approved a
novation agreementor amendment pursuant to subsection (1), the
specified agreement to whichthat novation
agreement or amendment refers, as so novated or amended,shall
thereupon be—(a)ratifiedandconfirmedtotakeeffectaccordingtoitstenor,notwithstanding
that the agreement or amendment is inconsistent

theprovisions of theTransport
Infrastructure Act 1994, theCentralQueenslandCoalAssociatesAgreementAct1968oranyotherAct or

novation agreement or, asthe case may be, amendment.(3)A reference to a novation agreement or
amendment in subsection (1)includesareferencetoanysuchagreementoramendmentexecutedormade before the commencement of this
Act.

successors and permitted assigns hereinbeing referred as
to as the “CQCA companies”) of the second partWHEREAS:A.HarboursCorporationistheHarbourBoardfortheHayPointHarbourand,inaccordancewiththeprovisionsoftheHarboursAct
1955-1982may exercise the powers of a harbour board
in respectof Hay Point Harbour in the State of
Queensland;B.The CQCA companies are entitled to
ship coal through a terminal atHay Point within
the harbour of Hay Point pursuant to the provisionsoftheCentralQueenslandCoalAssociatesAgreementAct
1968-1984.C.Dalrymple Bay
Coal Terminal Pty. Ltd., a company duly incorporatedin
the State of Queensland and having its principal office at Hay
PointRoad, Hay Point in the said State (“DBCT”)
manages the DalrympleBay Coal Terminal within the harbour
of Hay Point for and on behalfof Harbours
Corporation;D.Capricorn Coal Management Pty. Ltd.,
Thiess Dampier Mitsui CoalPty.Ltd.,OakyCreekCoalPty.Limited, TheCoalCliffCollieriesPty.Limited,AnacondaAustraliaInc.,ACIResourcesLimited,Bundaberg Sugar Company Limited, Millaquin
Sugar Company Pty.Limited, Gibson & Howes Pty. Limited,
EDPC (Australia) Pty. Ltd.and J.C.D. Australia Pty. Ltd. (the
“DBCT users”) are entitled to usethe facilities
of the Dalrymple Bay Coal Terminal for the shipping ofcoal
therefrom.E.Harbours Corporation within its
accounting records in respect of theHarbour
AssetsReplacementandImprovementFund,maintainsanaccount (the “Hay Point Tug Harbour
Account”) to which has beencredited
(inter alia):—(a)acomponentofsevencentspertonnebeingpartoftheharbourduesleviedagainsttheCQCACompaniesin

at Hay Pointbetween1
September1975and30September1984inclusive and being part of the harbour dues
levied againsttheDBCTusersinrespectofcoalshippedthroughtheDalrympleBayCoalTerminalfrom5October1983to30 September 1984 inclusive;(b)a wharfage due of seven cents per
tonne levied against theDBCT users in respect of coal shipped
by them through theDalrymple Bay Coal Terminal since 1 October
1984;(c)compound interest on amounts credited
to the said accountfromtimetotimeataratecalculatedbyHarboursCorporation as
its short term investment rate, applied to theaverageannualbalancestandingtothecreditofthesaidaccount.F.HarboursCorporationhasenteredorintendscontemporaneouslyherewithtoenterintoanagreement(the“HarbourDevelopmentAgreement”)withDBCTandUDCLactingasjointventurers(“DBCT-UDCL”)fortheengineeringandconstructionbyDBCT-UDCLofatugharbourandassociatedWorksatHalfTidewithintheHayPointHarbour(the“TugHarbour”)withreimbursementthereforbeingpaidbyHarboursCorporationtoDBCT-UDCL from the Tug Harbour
Account;G.It is intended that a benefit from the
construction of the Tug Harbourwill be derived
by the DBCT users, CQCA companies and any othercompanies
shipping coal through either of the terminals referred to inthis
agreement;H.HarboursCorporationrequirestheDBCTuserstocontinuepayingwharfageduestothe TugHarbour
AccountonallcoalshippedbythemthroughtheDalrympleBayCoalTerminalwiththeintentionthat the CQCA
companies will not have to pay any further moneysinto
the Tug Harbour Account and so that the total wharfage dues
paidbytheDBCTusersintotheTugHarbourAccountbecomescommensurate with the total amount of moneys
which have alreadybeen paid into the Tug Harbour Account by
the CQCA companies;I.HarboursCorporationandDBCThaveenteredorintendcontemporaneouslyherewithtoenterintoanagreement(the“TugHarbourAccount—DBCTAgreement”)whichtogetherwiththe

agreement are intended tomakeprovision,amongstotherthings,forthefutureraisingofamounts to be paid to the Tug Harbour
Account for the provision offunds that will
be required to be reimbursed to DBCT-UDCL underthe provisions
of the Harbour Development Agreement; andJ.The
parties to this agreement have agreed to enter into these
presentsto record with more particularity the
arrangements between them.NOW THIS AGREEMENT WITNESSES AS
FOLLOWS:—1.INTERPRETATION1.1The
expressions defined in the Recitals to this agreement shall
havethe meanings therein respectively assigned
to them.1.2In the interpretation of this
agreement, the singular shall include thepluralandthepluralthesingular,referencetoanygendershallinclude every
gender, references to a statute shall be constructed asincludingallstatutoryprovisionsconsolidating,amendingorreplacing the statute referred to, and
all regulations, rules, by-laws,proclamations,ordersandotherauthoritiespursuantthereto,referencestopersonsshallincludebodiescorporate,governmentsandgovernmentauthorities,referencestowritingincludeprinting,typing and other
means of reproduction of words in a visible form,references to agreements and other
contractual instruments shall bedeemedtoincludeallsubsequentamendmentstheretoorchangestherein entered
into in accordance with their respective terms but onlyto
the extent to which such amendments or changes are expressly
orimpliedlypermittedbythetermsofthisagreement,referencestoclausesshallunlessotherwiseindicatedrefertoclausesofthisagreement and
headings used herein are for the purpose of referenceonly
and shall not be used in the interpretation thereof.1.3References in this agreement to moneys
held in or available from theTug Harbour
Account shall be deemed to include moneys from timetotimeinvestedfromtheTugHarbourAccountandallinterestaccrued thereon.

ACCOUNT2.1HarboursCorporationandtheCQCAcompaniesherebyagreethatthe aggregate
amount contributed by the CQCA companies to the TugHarbourAccountasat30September1984,includingallinterestaccrued thereon,
is FIFTEEN MILLION THREE HUNDRED ANDFORTY SIX
THOUSAND EIGHT HUNDRED AND EIGHTY ONEDOLLARS
($15,346,881).2.2Harbours Corporation agrees to cause
to be imposed on the DBCTusers and any other users of the
Dalrymple Bay Coal Terminal fromthe first day of
October, 1984 pursuant to the by-laws of the harbourof
Hay Point, a wharfage due not exceeding seven cents per tonne
onall coal shipped by them through the
Dalrymple Bay Coal TerminalandHarboursCorporationagreesthat,subjecttotheprovisionsofClause 6 of the Tug Harbour Account—DBCT
Agreement, HarboursCorporation shall use its best endeavours to
ensure that the wharfagedue referred to in this sub-clause
shall continue to be levied until thetotal amount of
wharfage dues paid by the DBCT users and any otherusers of the Dalrymple Bay Coal Terminal
shall reach, in aggregate,FIFTEENMILLIONTHREEHUNDREDANDFORTYSIXTHOUSAND EIGHT HUNDRED AND EIGHTY ONE
DOLLARS($15,346,881)inSeptember1984valuesasindicatedbythepriceindex of
materials in building other than house building—Brisbane,aspublishedinTable1oftheAustralianBureauofStatisticsCat.No.
6407 (September 1984 value 157.1).2.3Harbours Corporation agrees to cause the
whole of the wharfage duespayablepursuanttotheprovisionsofClause2.2ofthisagreementtogetherwithanyamountpayablebyDBCTpursuanttotheprovisionsofClause4.1oftheTugHarbourAccount—DBCTAgreement to be
paid forthwith without deduction to the Tug HarbourAccount.2.4HarboursCorporationagreesthatitwillensurethattheCQCAcompanies shall
not be required to pay any wharfage dues or to makeanyfurthercontributiontowardstheTugHarbourAccountafter30
September 1984.2.5Harbours Corporation agrees to
maintain separate records of amountscredited to the
Tug Harbour Account by the CQCA companies and theDBCTusersrespectivelytogetherwithrecordsofallcreditsand

records to UDCL on requesttherefor.3.INVESTMENT OF AND EXPENDITURE FROM
TUGHARBOUR ACCOUNT3.1Harbours Corporation shall not deplete or
otherwise pay moneys noworhereaftercreditedtotheTugHarbourAccountexceptinaccordancewiththeprovisionsofthisagreementandtheHarbourDevelopmentAgreementandtheTugHarbourAccount—DBCTAgreementprovidedthattheHarboursCorporationshallinvestsurplusmoneysintheTugHarbourAccountfromtimetotimeatcommercial rates of interest and shall
credit any interest accruing orwhich it deems
to accrue thereon to the said account.3.2Except as provided in Clause 3.1, Harbours
Corporation shall applythe funds held from time to time in
the Tug Harbour Account only forthepurposeshereinafterprovidedandsuchfundsshallbeappliedfromtheTugHarbourAccountinaccordancewiththefollowingpriorities:—(a)inreimbursementorprovidingforreimbursementtoDBCT-UDCL for all costs, charges, expenses
and liabilities(includingcontingentliabilities)incurredorlikelytobeincurredbyDBCT-UDCLinorinconnectionwiththeperformanceoftheHarbourDevelopmentAgreementasprovided for in Clause 3 of that
Agreement;(b)topayanypremiumreferredtoinClause6ofthisagreement;(c)to
refund to DBCT any amount paid by DBCT pursuant totheprovisionsofClause4oftheTugHarbourAccount—DBCT
Agreement;(d)to rectify storm damage to the Tug
Harbour;(e)to maintain the Tug Harbour;(f)to further develop and improve the Tug
Harbour.

Agreements) Act1987SCHEDULE 1 (continued)3.3IntheeventthateitherDBCTorUDCLissueawrittennoticeelecting not to proceed with the Harbour
Development Agreement (asprovidedinclause2.5ofthatagreement),thenclauses3.1,3.2,4and
6 of this agreement shall cease to be of any effect as from
thedate of such written notice.4.SHORTFALL IN TUG HARBOUR ACCOUNT
FORCONSTRUCTION PURPOSES4.1Intheeventthat,notwithstandingthatdueconsultationandprocedurestolimitthescopeofworksinaccordancewiththeHarbourDevelopmentAgreementhavebeenundertakenbythepartiestothatagreement,RecoverableCostsincurredbyDBCT-UDCLinaccordancewiththeHarbourDevelopmentAgreementshallexceedtheamountavailableintheTugHarbourAccount to
reimburse DBCT-UDCL therefor and to pay the premiumreferredtoinClause6,HarboursCorporationshalluseitsbestendeavoursinordertosupplementfundsintheHayPointTugHarbour Account to raise loan funds to the
extent of the balance (ifany)ofcapacityofHarboursCorporation’sannualborrowingcapacityasdeterminedbytheDepartmentofthePremierofQueensland, after other capital demands
which Harbours Corporationconsiders to have higher priority have
been satisfied. Any such loanfunds shall be
paid to the Hay Point Tug Harbour Account. In theeventthatfundsavailableintheTugHarbourAccountarestillinsufficient to
fully reimburse DBCT-UDCL in accordance with theHarbour Development Agreement and to pay the
premium referred toinClause6,thenDBCTshallpaytoHarboursCorporationtobecredited to the Hay Point Tug Harbour
Account such amounts as shallbe required to
enable Harbours Corporation to meet the whole of theRecoverable Costs of DBCT-UDCL in accordance
with the HarbourDevelopmentAgreementandtopaythepremiumreferredtoinClause 6.4.2IntheeventthatDBCTshallpayanymoneystoHarboursCorporation in
accordance with the provisions of Clause 4.1 of theTugHarbourAccount—DBCTAgreement,theprovisionsconcerningtherefundofsuchamountpaidbyDBCTandinterestthereonshallbeascontainedinClause4.2oftheTugHarbourAccount—DBCT
Agreement.

available to DBCT and to UDCL a statement of the receipts toandpaymentsfromtheTugHarbourAccountduringthefinancialyear ending on
the preceding 30 June together with a budget forecastprepared by Harbours Corporation in good
faith relating to the TugHarbour Account for the financial year
commencing on the preceding1 July.6.INSURANCE6.1IfonthedateofissueoftheFinalCertificateinaccordancewithClause 13.5 of the Harbour Development
Agreement the balance oftheTugHarbourAccountislessthantwomilliondollars($2,000,000),thenHarboursCorporationshalleffectapolicyofinsurance against damage to the Tug Harbour
such that the proceedsofsuchinsurancetogetherwiththebalanceintheTugHarbourAccount from time to time would be
approximately two million fivehundredthousanddollars($2,500,000),andHarboursCorporationshallbeentitledtodebittheTugHarbourAccountwithanypremiumsfromtimetotimepayableinrelationtosuchpolicyofinsurance. Any moneys received from or
as a result of such insuranceshall be paid by
Harbours Corporation to the Tug Harbour Account.SuchpolicyshallbecancelledbyHarboursCorporationwhenthebalanceintheTugHarbourAccountthereafterfirstreachestwo
millionfivehundredthousanddollars($2,500,000).IfDBCTrequestsHarboursCorporationtoeffectapolicypursuanttothisclausewithadeductionforanyclaiminanamountnotexceedingONEMILLIONDOLLARS($1,000,000),HarboursCorporationshall agree to
such request but only on the condition that DBCT shallthereafter meet the cost of such deductibles
in the event of damagebeing suffered by the Tug
Harbour.7.CONSULTATION WITH CQCA
COMPANIES7.1HarboursCorporationundertakestoconsultwiththeCQCAcompanies with
respect to any proposal to apply funds from the Tug

of the Harbour Development Agreement.8.NO
TUG CHARGES8.1HarboursCorporationshallensurethatnoharbour,wharfage,berthing, towage or other dues or any other
fees, charges, imposts ortaxesareimposedontheCQCAcompaniesoranypersonorinrelation to any
events or circumstances, concerning any tug or lineboat
operated for or on behalf of the CQCA companies or otherwisein
connection with the Hay Point terminal. Provided that this
clauseshall not be interpreted to apply to any
lease rental chargeable againstany tug
operating company in respect of land or premises the
propertyoftheHarboursCorporation,occupiedbythesaidTugOperatingCompanies and
provided further that nothing in this clause shall beinterpretated so as to restrict the right of
the Harbours Corporation toimpose harbour
dues in any other respect.9.VARIATIONS9.1IfduringthetermofthisagreementHarboursCorporationortheCQCA companies consider that any
provision or provisions of thisagreement have
become inequitable or impracticable due to changedcircumstances not envisaged at the date of
this agreement, then theparties will, at the request of either
of them, confer in good faith witha view to
agreeing upon such a variation of this agreement as may beappropriate.10.NOTICES10.1Any
notice, request or other correspondence under or in
connectionwith this agreement shall be delivered to
the respective addresses ofthe parties set
out below or at any address otherwise notified to theotherpartiesbytherelevantparty,ortransmittedbytelexorbyregisteredmailtosuchaddress.Anysuchnotice,requestorcorrespondence will be deemed to be received
in the case of delivery,onthefirstbusinessdayafterdelivery,inthecaseofservicebyregistered mail, seven days after posting
and in the case of telex, on

agreement shall be governed by and interpreted in accordancewiththelawoftheStateofQueenslandandthepartiesherebyirrevocably submit themselves to courts of
competent jurisdiction ofthe State of Queensland.12.APPROVAL12.1This
agreement is subject to and conditional upon the approval of
theGovernor-in-Council, which Harbours
Corporation undertakes to useits best
endeavours to obtain.13.ALTERATION TO
THE TUG HARBOUR ACCOUNT—DBCTAGREEMENT13.1Harbours Corporation agrees that it
will not agree to any alteration totheTugHarbourAccount—DBCTAgreementwithoutthewrittenagreement of the
CQCA companies and that Harbours Corporationwill take all
necessary steps to ensure compliance by DBCT and theHarbours Corporation of all of the
provisions of that agreement andthis clause
shall remain in full force and effect and shall not merge onthe
termination of the DBCT—UDCL Joint Venture or on completionof
the Tug Harbour.

contemporaneous execution of theHarbourDevelopmentAgreementandtheTugHarbourAccount—DBCT
Agreement by all parties to those agreements.15.CAPACITY OF UDCL15.1UDCL
is the Manager of the Joint Venture under the terms of whichtheCQCAcompaniesconducttheircoaloperations.UDCListhedonee of a power
of attorney from the CQCA companies (other thanUDCL) as donor,
and UDCL executes this agreement both on its ownbehalf and also on behalf of the CQCA
companies (other than UDCL)pursuant to its
powers as donee of the power of attorney.16.TERMINATION16.1ThisagreementshallbedeemedtoterminateatthedatethatthewharfageduespaidbytheDBCTusersascontemplatedbysubclause 2.2ofthisagreementtotalstheequivalentvalueof$15,346,881.IN WITNESS

referred to as “UB Minerals”);BOWENBASINMINERALSPROPRIETARYLIMITED,acompanyincorporatedintheStateofLouisiana,UnitedStatesofAmerica(hereinafter
referred to as “Bowen Basin Minerals”);QCT INVESTMENT
PTY. LTD., a company incorporated in the State ofQueensland, Australia (hereinafter referred
to as “QCT Investments”);ANDQCTMININGPTY.LTD.,acompanyincorporatedintheStateofQueensland, Australia (hereinafter referred
to as “QCT MINING”) of theother part (hereinafter with their and
each of their successors and permittedassigns referred
to as “the Companies”)WHEREAS:—A.Until25thMarch,1986UtahDevelopmentCompany(hereinafterreferredtoas“UDC”),Mitsubishi,AMPSociety,UCL,Pancontinental,Bell,GeneralElectricMinerals,Inc.(hereinafterreferred to as
“GEM”), UB Minerals, Bowen Basin Minerals, Inc.,QCT
Investment and QCT Mining were parties to an agreement dated28thJanuary,1969betweentheStateofQueensland,UDCandMitsubishiandauthorizedbytheCentralQueenslandCoalAssociatesAgreementAct1968oftheStateofQueensland(suchagreement, as amended from time to time,
being hereinafter referredto as “the CQCA Agreement”).B.HarboursCorporationistheHarbourBoardfortheHayPointHarbour and, in
accordance with the provisions of theHarbours
Act1955-1982may exercise the
powers of a harbour board in respect ofHay Point
Harbour in the State of Queensland.C.Harbours Corporation of the one part and
UDCL, Mitsubishi, AMPSociety,UCL,GEM,BowenBasinMinerals,Inc.,UBMinerals,QCT Investment,
QCT Mining, Bell and Pancontinental of the otherpart
are parties to an Agreement dated 25th June, 1985 entitled
“TugHarbourAccount—CQCAAgreement”(hereinafterreferredtoas“theInfrastructureAgreement”)providingforthefundingandadministration of the Tug Harbour
Account maintained by HarboursCorporation.

agreed and declared byand between the parties as
follows:—1.DEFINITIONS AND INTERPRETATION1.1InthisDeed,unlessthecontextotherwiserequires,theexpression“Private Parties” shall mean
parties to the Infrastructure Agreementat any time
other than Harbours Corporation.1.2IntheinterpretationofthisDeedunlessthecontextotherwiserequires the singular includes the plural
and vice versa. A reference toa recital or
clause is a reference to a Recital or Clause of this Deed.2.The Companies agree with Harbours
Corporation that on and fromthe Cut-off
Point the Companies will be bound by the InfrastructureAgreement as Private Parties, having several
liability thereunder inproportion to their respective
percentage interests set out in Recital G.

Companies that on and fromthe Cut-off Point the Companies will
have the rights conferred uponthe Private

out in Recital G.4.ThepartiestothisDeedagreethatonandfromtheCut-offPointUCLwillbereleasedanddischargedfromallthoseduties,obligations and liabilities it has under the
Infrastructure Agreement totheextentofthe3.25%interestintheInfrastructureAgreementassigned by it to QCT Mining but not
otherwise.5.ThepartiestothisDeedratifyandconfirmtheprovisionsoftheInfrastructure Agreement as novated
and amended herein.6.This Deed may be executed in separate
counterparts by the partieshereto. Upon
delivery to UDCL of counterparts executed by all theparties, all the parties hereto will become
bound by the provisions ofthis Deed.7.This
Deed shall be governed and construed by and in accordance
withthe laws of the State of Queensland and the
parties hereto agree tosubmit to the non-exclusive
jurisdiction of the courts of competentjurisdiction of
that State to hear and determine any disputes arisinghereunder.8.QCT
Mining agrees to bear any stamp duty payable on this Deed oron
any counterpart.9.No party hereto shall by virtue of the
execution of this Deed or by anyof its terms be
construed as having been constituted a partner, agentor
representative of another party for any purpose whatsoever.
Theduties, obligations and liabilities of the
Private Parties shall in everycase be several
in the percentages set out in Recital G, and not jointnor
joint and several.10.ThisDeedissubjecttoandconditionalupontheapprovaloftheGovernor-in-CouncilbyOrder-in-Council,whichHarboursCorporation
undertakes to use its best endeavours to obtain.IN

have shippedcoal through the Hay Point Coal Terminal

through Hay PointHarbour between 1st September, 1975 and 30th
September,1984inclusiveandbeingharbourduesleviedagainsttheUsers in respect of coal shipped through Hay
Point Harbourfrom 5th October, 1983 to 30th September
1984 inclusive;(b)A wharfage due of seven (7) cents per
tonne levied againsttheUsersinrespectofcoalshippedbythemthroughtheTerminal since 1st October,
1984;(c)Compound interest on amounts credited
to the said accountfromtimetotimeataratecalculatedbyHarboursCorporation as
its short term investment rate, applied to theaverageannualbalancestandingtothecreditofthesaidaccount;E.HarboursCorporationhasenteredorintendscontemporaneouslyherewithtoenterintoanagreementwithDBCTandUtahDevelopment
Company Limited acting as joint venturers (hereinaftercalled “DBCT-UDCL”) concerning the
construction by DBCT-UDCL

Account.F.It is intended that (interalia)
DBCT, Utah Development CompanyLimitedtheUsersandtheCQCACompanieswillderiveabenefitfrom the
construction of the Tug Harbour.G.HarboursCorporationrequires(interalia)theUserstocontributecertainamountstotheHayPointTugHarbourAccount,withtheintention that the contributions thereto by
the CQCA Companies andby the Users and other users of the
Terminal will be commensurate ashereinafter
provided.H.Thepartieshaveenteredintothesepresentstorecordwithmoreparticularity
the arrangements between them.NOW THIS
AGREEMENT WITNESSES as follows:—1.DEFINITIONS AND INTERPRETATION1.1TheexpressionsdefinedintheintroductionandrecitalstothisAgreement shall

assigned to them:“Agreement”means this
agreement as the same may beamended from

design and construction of the Tug Harbour.“New
Users”shall mean persons other than the Users
shippingcoal through the Terminal on a regular
basis.1.2IninterpretationofthisAgreement,thesingularshallincludetheplural and the plural singular, reference to
any gender shall includeevery gender, references to a statute
shall be constructed as includingallstatutoryprovisionsconsolidating,amendingorreplacingthestatute referred to and all regulations,

changes therein enteredinto in accordance with their
respective terms but only to the extent towhichsuchamendmentsorchangesareexpresslyorimpliedlypermitted by the
terms of this Agreement, references to clauses shallunlessotherwiseindicatedrefertoclausesofthisAgreement,andheadings used herein are for the purpose of
reference only and shallnot be used in the interpretation
hereof.1.3References in this Agreement to moneys
held in or available from theHay Point Tug
Harbour Account shall be deemed to include moneysfrom
time to time invested from the Hay Point Tug Harbour Accountand
all interest accrued thereon.2.WHARFAGE DUES TO BE IMPOSED AND PAID TO HAY
POINTTUG HARBOUR ACCOUNT2.1The
parties hereby agree that the aggregate amount contributed by
theCQCACompaniestotheHayPointTugHarbourAccountasat30th
September,1984,includingallinterestaccruedthereonisFIFTEENMILLIONTHREEHUNDREDANDFORTY-SIXTHOUSAND EIGHT
HUNDRED AND EIGHTY-ONE DOLLARS($15,346,881.00).2.2Harbours Corporation agrees that it is its
intention not to require anyfurther
contributions by the CQCA Companies to the Hay Point TugHarbour Account after 30th September,
1984.2.3HarboursCorporationagreesthatbywayoftheby-lawsoftheHarbour of Hay Point it will cause to
be imposed on all coal shippedthrough the
Terminal by the respective Users and New Users fromtime
to time from the first day of October, 1984 a wharfage due
notexceeding seven (7) cents per tonne.2.4HarboursCorporationshallcausethewholeofthesaidwharfagedues
levied upon Users and New Users to be paid forthwith withoutdeduction to the Hay Point Tug Harbour
Account.

be discontinued by reason of the by-laws of the Portof
Hay Point or otherwise when the total wharfage dues paid by
UsersandNewUsersshallreach,inaggregate,FIFTEENMILLIONTHREEHUNDREDANDFORTY-SIXTHOUSANDEIGHTHUNDREDANDEIGHTY-ONEDOLLARS($15,346,881.00)PROVIDED THAT,
for the purposes of this clause, 2.5 and clause4.3(butonlyforsuchpurposes)incalculatingtheaggregateofwharfage dues paid, wharfage dues paid in
each three month periodafter30th
September,1984shallbedeemedtobereducedbytherelevantpercentageinthereductionofthevalueofadollarafter30th
September,1984calculatedinaccordancewithaninflationfactor as
measured by the price index of materials in building otherthanhousebuilding—Brisbane,aspublishedinTable1oftheAustralian
Bureau of Statistics Catalogue No. 6407.2.6InadditiontothewharfageduestobeimposedonNewUsersasprovided in Clause 2.3, Harbours
Corporation will also cause to beimposed on each
New User within seven (7) days of the date of thefirstshipmentbythatNewUserfromtheTerminalalumpsumwharfage due in accordance with the

pursuant to this clause, such price index at September 1984being 157.1.3.INVESTMENT OF AND EXPENDITURE FROM HAY
POINTTUG HARBOUR ACCOUNT3.1Harbours Corporation shall not deplete or
otherwise pay moneys nowor hereafter credited to the Hay Point
Tug Harbour Account except inaccordance with
the provisions of this Agreement and the HarbourDevelopment Agreement PROVIDED THAT Harbours
Corporationshall invest surplus moneys in the Hay Point
Tug Harbour Accountfrom time to time at commercial rates of
interest, and shall credit anyinterestaccruingorwhichitdeemstoaccruethereontothesaidaccount.3.2Except as provided in Clause 3.1, Harbours
Corporation shall applythefundsheldfromtimetotimeintheHayPointTugHarbourAccount only for
the purposes hereinafter provided and funds shall beapplied from the Hay Point Tug Harbour
Account in accordance withthe following priorities:(a)InreimbursementorprovidingforreimbursementtoDBCT-UDCL for all costs, charges, expenses

recoup to DBCT the amount of any payment by DBCTinto

Harbour.4.SHORTFALL IN HAY POINT TUG HARBOUR
ACCOUNTFOR CONSTRUCTION PURPOSES4.1Intheeventthat,notwithstandingthatdueconsultationandprocedurestolimitthescopeofWorksinaccordancewiththeHarbourDevelopmentAgreementhavebeenundertakenbythepartiestothatagreement,RecoverableCostsincurredbyDBCT-UDCLinaccordancewiththeHarbourDevelopmentAgreement shall
exceed the amount available in the Hay Point TugHarbour Account to reimburse DBCT-UDCL
therefor and to pay thepremium referred to in Clause 7,
Harbours Corporation shall use itsbest endeavours
in order to supplement funds in the Hay Point TugHarbour Account to raise loan funds to the
extent of the balance (ifany)ofcapacityofHarboursCorporation’sannualborrowingcapacityasdeterminedbytheDepartmentofthePremierofQueensland, after other capital demands
which Harbours Corporationconsiders to have higher priority have
been satisfied. Any such loanfunds shall be
paid to the Hay Point Tug Harbour Account. In theeventthatfundsavailableintheTugHarbouraccountarestillinsufficient to
fully reimburse DBCT-UDCL in accordance with theHarbour Development Agreement and to pay the
premium referred toinClause7,thenDBCTshallpaytoHarboursCorporationtobecredited to the Hay Point Tug Harbour
Account shall amounts as shallbe required to
enable Harbours Corporation to meet the whole of theRecoverable Costs of DBCT-UDCL in accordance
with the HarbourDevelopmentAgreementandtopaythepremiumreferredtoinClause 7.4.2IntheeventthatDBCTshallpayanyamounttoHarboursCorporationinaccordancewithclause4.1,suchamountshallberefundedbyHarboursCorporationtoDBCTtogetherwithinterestcalculatedinthemannerhereinafterprovidedbyquarterlyinstalmentsonthelastdaysofMarch,June,SeptemberandDecember in each year after such amount
shall have been paid untilthe same shall have been refunded in
full. Each instalment shall bepaid from the
Hay Point Tug Harbour Account and shall be equal to

first instalment). EachinstalmentshallbeapportionedfirstlytointerestaccruedonthebalanceoftheamountpaidbyDBCTandremainingunrefundedduring the three
months preceding the date of payment (and in thecaseofthefirstinstalment,sincethedateofpaymentbyDBCT)calculated at a
rate equal to the Australian Merchant Banker’s Billrate
for ninety days prime commercial bills for the first day of
suchthreemonthperiod(asthesameispublishedintheAustralianFinancial
Review), and then in reduction of the payment by DBCTremainingunrefunded.HarboursCorporationherebychargesinfavour of DBCT all receipts of harbour dues
paid by Users and NewUsers with the repayment of any
payment to Harbours Corporation byDBCT in
accordance with clause 4.1 of this Agreement.4.3NotwithstandinganythingtothecontraryinthisClause4,DBCTshallnotberequiredtopayanyamounttoHarboursCorporationwhich,togetherwithanyotheramountalreadypaidpursuanttoClause 4.1 and the total wharfage dues then
paid by Users and NewUsers in accordance with Clause 2.3
would exceed the total wharfageduestobepaidbyUsersandNewUserscalculatedinaccordancewith Clause
2.5.4.4References in this Clause 4, to DBCT
refer to DBCT in its own rightonly, and shall
in no event be construed to refer to the Users or DBCTas
agent of the Users.5.BUDGETSNot later than
1st September in each year Harbour Corporation willmake
available to DBCT and the Users a statement of the receipts
toand payments from the Hay Point Tug Harbour
Account during thefinancialyearendingonthepreceding30thJunetogetherwithabudgetforecastpreparedbyHarbourCorporationingoodfaithrelating to the Hay Point Tug Harbour
Account for the financial yearcommencing on
the preceding 1st July.

dollar amounts referred hereinshallbetakentobeexpressedasat30thSeptember,1984,andaccordinglyallreferencestodollaramountsshallbedeemedtobeincreased thereafter from time to time
in accordance with an inflationrate as measured
by the price index of materials in building other thanhouse building—Brisbane, as published in
Table 1 of the AustralianBureau of Statistics Catalogue No.
6407.6.2At any time subsequent to the issue of
the Final Certificate pursuantto Clause 13.5
of the Harbour Development Agreement, if any budgetforecast provided pursuant to in Clause 5 of
this Agreement indicatesthat the Hay Point Tug Harbour Account
shall at any time during arelevantyearhaveasurplusbalanceexceedingtwomillionfivehundred thousand dollars ($2,500,000)
(including interest paid and/oraccruingthereto),HarboursCorporationshallcausethewharfagedues levied
against Users and New Users in respect of coal shippedthroughtheTerminalbyreasonofthebylawsofthePortofHayPoint to be
reduced to a lesser or nominal amount from a date and foraperiodreasonablyconsideredbyHarboursCorporationasappropriate for the maintenance of the
balance in the Hay Point TubHarbour Account
at approximately two million five hundred thousanddollars($2,500,000.00).Ifduringsuchperiodthesurplusbalanceshallfallbelowtwomilliondollars($2,000,000),HarboursCorporation shall cause wharfage dues to be
increased to a rate notexceedingseven(7)centspertonneofcoalshippedthroughtheTerminal until such time as the surplus
balance maintains a level ofapproximatelytwomillionfivehundredthousanddollars($2,500,000.00),takingintoaccountprojectedexpenditureintheensuing twelve month period.7.INSURANCEIfonthedateofissueoftheFinalCertificateinaccordancewithClause 13.5 of the Harbour Development
Agreement the balance ofthe Hay Point Tug Harbour Account is
less than two million dollars($2,000,000),thenHarboursCorporationshalleffectapolicyofinsurance against damage to the Tug Harbour
such that the proceedsofsuchinsurancetogetherwiththebalanceintheHayPointTug

being suffered by theTug Harbour.8.CONSULTATION WITH DBCT & USERSHarbours Corporation undertakes to consult
with DBCT and the Userswith respect to any proposal to apply
funds from the Hay Point TugHarbour
AccounttofurtherdevelopandimprovetheTugHarbourbeyond the scope
of the Harbour Development Agreement.9.NO
DBCT TUG CHARGESHarboursCorporationshallensurethatnoharbour,wharfage,berthing, towage or other dues or any other
fees, charges, imposts ortaxes are imposed on DBCT or any
person or in relation to any eventsor
circumstances, concerning any tug or line boat operated for or
onbehalfofDBCTorotherwiseinconnectionwiththeTerminal,provided that
this clause shall not be interpreted to apply to any leaserentalchargeableagainstanytugoperatingcompanyinrespectofland
or buildings the property of Harbours Corporation occupied
bythesaidtugoperatingcompanyPROVIDEDFURTHERTHATnothing in this
clause shall be interpreted so as to restrict the right ofHarbours Corporation to impose harbour dues
in any other respect.

the parties will, at the request of either of them, confer in
goodfaith with a view to agreeing upon such
variation of this Agreement asmay be

(inter alia) harbour dues
upon vessels berthing, mooringor anchoring in
the said harbour or at any wharf or jetty the propertyof
Harbours Corporation and may pursuant to Section 136A of theHarboursAct1955-1982withtheapprovaloftheGovernor-in-Council by
Order-in-Council enter into agreement with aperson providing
for payment to be made to Harbours Corporation insatisfaction of any or all harbour dues of
various kinds which, exceptforsuchagreement,wouldbepayabletoHarboursCorporationpursuant to the
provisions of the said Act.H.HarboursCorporationmaypursuanttoSection65oftheHarboursAct
1955-1982lease or permit occupation of (inter-alia)
wharves.NOW THIS AGREEMENT WITNESSES as
follows:—1.DEFINITIONS AND INTERPRETATION1.1In this Agreement, unless the context
otherwise requires:—“Act”means(subjecttoClause1.2)the“HarboursAct1955-1982”.“Agreement”means this
Agreement as the same may be variedin writing from
time to time.

which the works are deemed to be readyforcommissioningpursuanttotheprovisionsofClause 13 of the Harbour Development
Agreement; or(iii)thedateuponwhichtheTugHarbourWorksarecertifiedbyanengineernominatedbyHarboursCorporation to
be completed so far as to be fit for thereception of
vessels;or any other date agreed by Harbours
Corporation, DBCTand UDCL for the purposes hereof.“Harbour”means the
Harbour of Hay Point.“HarbourDevelopmentAgreement”meansanagreemententeredintocontemporaneouslyherewithbyHarboursCorporation with
DBCT and UDCL relating to the designand construction
of the Tug Harbour.“Tug Harbour”means the
intended Tug Harbour at Half Tidehereinbefore
referred to and all associated works.“Wharf
Areas”means all wharves, quays, piers, jetties and
likeplatforms adjacent to and leading from
berthing basins andother berthing facilities within the Tug
Harbour as outlinedin red in the attached plan and all
facilities thereon and allberths and other facilities relating
to the mooring of vesselsthereat.1.2In
this interpretation of this Agreement, the singular shall include
theplural and the plural singular, reference to
any gender shall includeevery gender, references to a statute
shall be constructed as includingallstatutoryprovisionsconsolidatingamendingorreplacingthestatute referred and all regulations rules
by-laws proclamations ordersandotherauthoritiespursuantthereto,referencestopersonsshallincludebodiescorporate,governmentandgovernmentauthorities,

herein are for the purposes of reference only and shall not be
usedin the interpretation hereof.1.3In the event that the lease granted in
this Agreement shall be deemedto become a
lease to either DBCT or UDCL as a result of an eventreferredtoinClause2.3,allrightsandobligationsthereafterexpressed to
arise on the part of DBCT and UDCL by virtue of theprovisionsofthisAgreementshallbedeemedtoberightsandobligations only of the company continuing
as lessee.2.LEASE2.1For
the consideration aforesaid Harbours Corporation hereby
leasesto DBCT and UDCL the whole of the Wharf
Areas (to the intent thatDBCTandUDCLshallforthetermofsuchleasebeentitledtoberthing facilities for six (6) tugs and six
(6) line-handling launcheswithin the Tug Harbour) to be held by
DBCT and UDCL for a termcommencing on the Date of Commencement
and expiring (except asotherwise provided in this Agreement)
on the day sixteen (16) yearsfrom the date of
commencement.2.2TherentalpayablebyDBCTandUDCLfortheleasegrantedhereunder shall be the sum of One dollar
($1.00) per annum payable,ifdemandedinwritingbyHarboursCorporation,onorbeforetheDate
of Commencement and thereafter on or before the 1st day ofJanuary in each succeeding year.2.3In the event that for any reason
either:—(a)DBCTshallceasetomanagetheDalrympleBayCoalTerminal;
or(b)UDCLshallceasetobethemanageroftheCentralQueensland Coal Associates Joint
Venture,

the lease granted hereunder shall thereafter be deemed to be
alease over the whole of the Wharf Areas or

sufficient to facilitate the berthing ofthree(3)tugboatsandthree(3)line-handlinglaunches,andsuchlease shall be
deemed to be in favour in either DBCT or UDCL (as thecase
may be) being the party which continues to manage as
aforesaid.In the event that both of the events
aforesaid shall have occurred, thelease granted
hereunder shall thereupon be deemed to be terminated.NothinginthisClause2.3orinClause 1.3shallaffectanyright,obligation or
liability of DBCT and/or UDCL (as the case may be)arising at a time when such company was a
lessee by virtue of by*thisAgreement.2.4Nothing in this Agreement shall be construed
as constituting a leaseofanybuildingconstructedontheWharfAreas,andanysuchbuildings are hereby expressly excluded from
the lease hereunder.2.5Harbours Corporation shall at all
times allow DBCT and UDCL andtheservants,agentsandotherpersonsoperatingtugboatsandline-handling launches by, for, on behalf of
or with the authority ofDBCT or UDCL full ingress and egress
to and from the Tug Harbourand the Wharf
Areas.3.COMPLIANCE WITH ACTS, REGULATIONS,
ETC.3.1DBCT and UDCL shall at the expense of
DBCT and UDCL complywiththeprovisionsofallstatutes,ordinances,by-laws,regulationsand rules for
the time being in force affecting the Wharf Areas or anypart
or parts thereof AND shall forthwith and from time to time if
andwhen required so to do comply with and
satisfy all requirements ofanyLocalHealthAuthorityoranyotherAuthorityincludingtheCouncil of the Shire of Sarina with respect
to the Wharf Areas or anypart or parts thereof or any
improvements thereon.3.2DBCT and UDCL
shall comply with the provisions of the Act, theQueenslandMarineAct1958-1979,thePollutionofWatersbyOil*Sic.

use thereof.4.ENTRY ON TO WHARF AREAS4.1DBCTandUDCLshallatallreasonabletimespermitHarboursCorporation, its officers, servants, agents,
employees with workmenand others to enter upon the Wharf
Areas or any part or parts thereoffor the purpose
of viewing the state of repair thereof and repairing thesame
or for the purpose of ascertaining whether DBCT and UDCL areduly
observing performing and fulfilling all and every the
covenantstermsandconditionsonthepartofDBCTandUDCLwhetherpositive or negative herein contained or
implied on the part of DBCTand UDCL to be
performed observed and fulfilled.4.2DBCTandUDCLshallatallreasonabletimespermitHarboursCorporation and other relevant authorities
having jurisdiction in thatregard and their
officers, servants, agents, employees with workmenand
others to enter upon the Wharf Areas or any part or parts
thereoftoerect,re-erect,alter,remove,serviceandmaintainwheneverrequiredupontheWharfAreaselectricitysupply,mains,drainagemainsandpipeworkandanyotherserviceswhicharereasonablynecessary for
the purpose of servicing and aiding and for the efficientmaintenance and operation of tugs and
line-handling launches.4.3DBCT and UDCL
shall at all times permit Harbours Corporation, theCommonwealthandQueenslandGovernmentsandtheirofficers,servants,agents,employeeswithworkmenandothersfreeandunrestrictedaccesstofromandacrosstheWharfAreasforthepurpose of
erecting navigation lights or marks on the Wharf Areas oronanystructurethereonandforthepurposeofinspecting,maintaining,
repairing, altering or removing any navigation light ormark
AND DBCT and UDCL shall not in any way interfere with anynavigation mark or light erected (whether
erected before or after theDateofCommencement)lawfullyontheWharfAreasoranystructure thereon.4.4DBCT
and UDCL shall to the satisfaction of Harbours Corporationkeep
the sight line of any navigation leads which crosses the
WharfAreas clear of obstructions provided however
with the prior approval

from time to time and atalltimeshereafterduringthesaidtermindemnifyandkeepindemnifiedandsaveharmlessHarboursCorporationfromandagainst all actions, suits, claims,
demands, costs, losses, damages andexpenseswhichmaybebroughtagainstormadeuponHarboursCorporation or
which Harbours Corporation may pay, sustain or beputtobyreasonofanylossoflifeoforinjuryordamagetoanyperson or property including any
property of Harbours Corporation orDBCT or UDCL
caused by or arising in any manner whatsoever fromfire,explosion,leakageorotherwisehowsoeverinconnectionwiththe
use of the Wharf Areas by a tug or line-handling launch
operatedby, for, on behalf of or with the authority
of DBCT or UDCL (as thecasemaybe),exceptsuchlossoflifeoforinjuryordamagetopersonsorpropertyasmaybeoccasionedbytheactordefaultofHarbours Corporation’s servants or agents
PROVIDED HOWEVERthatHarboursCorporationshallnotwithoutgivingtoDBCTandUDCL
(as the case may be) at least thirty days notice in writing of
itsintention so to do incur any expense of
litigation (save and except forthe purpose of
complying with the exigencies of any process requiringaction to be taken by Harbours Corporation
within the said period ofthirtydays)normakeanyoffer,promise,payment,compromise,settlementoradmissionofliabilityinrespectofanysuchactions,claims and demands.6.HARBOURS CORPORATION NOT LIABLE FOR
PERSONALINJURYHarbours
Corporation shall not be called upon nor be required to paytoDBCTandUDCLnortoanyotherperson,firm,corporationorcompanyanysumorsumsofmoneywhetherintheformofcompensation or otherwise howsoever
for or in respect of injury toanyperson(whethernon-fatalorfatal)occurringupontheWharfAreas or arising
from any occurrence upon or in relation to the Wharf

Corporation or any officers, servants,employees or
authorised agents of Harbours Corporation.7.TRANSFER OR ASSIGNMENT OF LEASENeither DBCT nor UDCL shall transfer or
assign its rights under thisAgreement or
sublet, underlet or part with possession of the WharfAreas or any part or parts thereof without
the approval in writing ofthe Minister in accordance with
Section 65 of the Act PROVIDEDTHATHarboursCorporationagreesandherebycovenantsthattheMinister has agreed to persons from time to
time operating tugs andline-handlinglaunchesfor,onbehalfoforwiththeauthorityofDBCT
or UDCL exercising the rights and privileges of berthing at
theWharf Areas and ingress and egress thereto
and therefrom and to andfrom the Tug Harbour as afforded to
DBCT and UDCL hereunder.8.LEASE
COSTSAll costs of and incidental to the
preparation, completion, stampingand registration
of these presents as well as any other costs, chargesorexpensesinanywayincurredbyHarboursCorporationinconnection with these presents howsoever
arising shall be borne byDBCT and UDCL.9.DBCT
AND UDCL—HOLDING OF WHARF AREASDBCTandUDCLdulypayingtherentherebyreservedandobserving and fulfilling the several
covenants and conditions hereincontainedorimpliedandonthepartofDBCTandUDCLtobeobserved, performed and fulfilled shall
peacefully hold and enjoy theWharfAreasduringthesaidtermwithoutanyinterruptionbyHarbours Corporation or any person
rightfully claiming under or intrust for
Harbours Corporation.

Corporation agrees upon the expiry of the term of the leasegranted hereunder to renew the lease granted
under this Agreementforafurthertermofsixteenyearsuponthetermsandconditionsherein appearing
(including this clause for renewal), but in no case sothat
the original term and all succeeding terms granted by
HarboursCorporation to DBCT and UDCL pursuant to
this clause and similarclauses shall exceed in aggregate
seventy-five (75) years.12.NO TUG
CHARGESHarboursCorporationshallnotimposeorcauseorallowtobeimposed any harbour, wharfage,
berthing, towage or other dues or anyother fees,
charges, imposts or taxes whatsoever on DBCT, UDCL oranyotherpersonorinrespectofanyeventsorcircumstancesinrelation to any tug or line-handling launch
operated by, for, on behalfoforwiththeauthorityofDBCTorUDCLinrelationtotheDalrympleBayCoal
TerminalorthecoalloadingfacilitiesatHayPoint.13.NOTICES13.1Allnotices,notifications,approvals,consents,agreements,authorisations,
and the like (hereinafter called “the communications”)under this Agreement shall be in
writing.13.2The communications, without prejudice
to any other proper mode ofservice or

otherwise requires:—“Agreement”means this
agreement as the same may be variedin writing from
time to time.“ApprovedConstructionProgramme”bearsthemeaninggiven to that
expression in Clause 9.5.“Hay Point”means Hay Point
Harbour and all on-shore landsadjacent thereto
and held howsoever under the control ofHarbours
Corporation.“Hay Point Tug Harbour Account”means an account with thatnamemaintainedwithintheaccountingrecordsofHarbours Corporation’s Harbour Assets
Replacement andImprovement Fund with a credit balance as at
the 30th dayof June, 1984 of $15,613,413.“Plans and Specifications”means the drawings referred to inClause 2.3 together with plans and
specifications relating totheTugHarbourwhichareapprovedbyHarboursCorporationincludinganyamendmentsormodificationseitherrequiredtheretobyHarboursCorporationorapprovedpursuanttoClause2.7and,ifapplicable,assentedtobytheGovernor-in-Council,pursuanttoClause 6.6.“RecoverableCosts”meansallthosecostsandexpensesreferred to in
Clause 3.2.“TugHarbour”meanstheTugHarbouratHalfTidehereinbefore referred to and all associated
works.“TugHarbourAccount—DBCTAgreement”meansanagreemententeredorintendedtobecontemporaneously

the construction of the Tug Harbour andcontemplated
(inter alia) in the scope
of Works set out inClause 2.2.1.2IninterpretationofthisAgreement,thesingularshallincludetheplural and the plural singular, reference to
any gender shall includeevery gender, references to a statute
shall be constructed as includingallstatutoryprovisionsconsolidating,amendingorreplacingthestatute referred to and all regulations,
rules, by-laws, proclamations,ordersandotherauthoritiespursuantthereto,referencestopersonsshallincludebodiescorporategovernmentsandgovernmentauthorities,referencestowritingincludeprinting,typingandothermeansofreproducingwordsinavisibleform,referencestoagreementsandothercontractualinstrumentsshallbedeemedtoinclude all subsequent amendments thereto or
changes therein enteredinto in accordance with their
respective terms but only to the extent towhichsuchamendmentsorchangesareexpresslyorimpliedlypermitted by the
terms of this Agreement, references to clauses shallunlessotherwiseindicatedrefertoclausesofthisAgreement,andheadings used herein are for the purposes of
reference only and shallnot be used in the interpretation
hereof.2.AGREEMENT TO CONSTRUCT TUG HARBOUR
ANDSCOPE OF WORKS2.1InconsiderationoftheagreementsonthepartofHarboursCorporation set
forth in this Agreement and subject to approvals by

and will perform, fulfil, comply with, submit to, andobserveallandsingulartheprovisionsconditionsstipulationsandrequirements and all matters and things
expressed in this Agreementwhich are to be
performed, fulfilled, complied with, submitted to orobserved hereunder by or on the part of
DBCT-UDCL.2.2Withoutlimitingthegeneralityoftheforegoing,thescopeoftheWorks shall include:—(a)developmentofaquarryatMtGriffiths,approximately2.8 kilometres
from the constructions site and elsewhere asmay be
considered necessary;(b)construction of
a haul road from the said Mt Griffiths quarryto the
construction site, including three single span bridgesto
be constructed using precast concrete deck units;(c)constructionofacausewayconnectingthemainlandwiththe
High Water Islet at Half Tide;(d)construction of a rubble mound breakwater to
form the TugHarbour, of approximately 325,000 cubic
metres of rock;(e)dredgingofanentrancechannelandmooringbasinforsix tugs and ancillary
equipment;(f)constructionofanaccessjettyandaccesswalkwaystoberthingfacilitiesforsixtugs,includingfenderingandmooring bollards;(g)construction of a floating pontoon and
connecting walkwaysto berthing facilities for four line boats
and one pilot launch;(h)construction of
a suitable building to accommodate serviceand tug
personnel;(i)construction and provisions of
fuelling facilities;(j)constructionofaprotectionbarriersafeguardingtheadministration and control room buildings at
the DalrympleBay Coal Terminal from fly-rock;

Agreement, nor shall they make anysubstantial
alterations to designs, plans and specifications previouslyapprovedbyHarboursCorporationwithoutinallcasesthepriorapprovalofHarboursCorporationandifrequiredbytheHarboursAct
1955-1982also of the Governor-in-Council.2.5DBCT-UDCL agree to monitor the
progress of the Works and to usetheirbestendeavourstoattempttoensurethat,wheneveritispractical so to do, the construction
and performance of the Works willbe carried out
in a manner and time frame such that the amounts ofmoneysthatitisanticipatedshallremaintobereimbursedtoDBCT-UDCLunderClause3.2atanytimewillnotexceedtheamountsofmoneyanticipatedtobeavailableattherelevanttimefromtheHayPointTugHarbourAccountwithoutresorttoanypaymentbyDBCTtoHarboursCorporationpursuanttotheTugHarbour Account—DBCT Agreement.2.6If,uponreceiptoftendersfortheWorks,eitherDBCTorUDCLconsiders that
the cost of the Works may exceed the funds likely to beavailable from the Hay Point Tug Harbour
Account to meet such costs(without resort to any payment by DBCT
pursuant to the Tug HarbourAccount—DBCTAgreement)thenthatpartymaybynoticein

proceed with this Agreement,andthereafter,withtheexceptionofClause17ofthisAgreementwhich shall remain of full force and effect

notice by DBCT and /or UDCL, this Agreement shall bedeemed to be terminated and the parties
shall have no further rightsagainst or
liabilities to each other hereunder.2.7If
DBCT-UDCL upon receipt of tenders (if applicable) or at any
timeconsider that the cost of the Works yet to
be completed will or mayreasonably be expected to exceed the
amount available from the HayPoint Tug
Harbour Account to meet such costs, then DBCT-UDCLmaynotifyHarbourCorporationsaccordinglyandrecommendamanner in which the scope of the Works
should be varied to ensure sofarasispracticablethatanticipatedRecoverableCostsshallnotexceed the amount expected to be available
from the Hay Point TugHarbourAccountwithoutresorttoanypaymentbyDBCTinaccordance with the provisions of the Tug
Harbour Account—DBCTAgreement.HarboursCorporationshallnotunreasonablyrefusetoapproveavariationrecommendedaccordingly.UponHarboursCorporation’sapprovinganyrecommendationofDBCT-UDCLasaforesaid,thescopeoftheWorksshall(subjecttoanynecessaryconsent of the
Governor-in-Council pursuant to Clause 6.6, which thepartiesundertaketoendeavourtoprocure)thereuponbevariedaccordingly.HarboursCorporationshallinnoeventrequireDBCT-UDCL to
expend moneys or to incur liabilities pursuant heretowhich in aggregate exceed the total amount
available from the HayPoint Tug Harbour Account (including
payments by DBCT pursuantto the Tug Harbour Account—DBCT
Agreement) to meet the same.2.8All
services performed and matters and things done and
expenditureincurredpriortothedateofthisAgreementbyDBCT-UDCLinconnection with the Works and in conformity
with the provisions andintentofthisAgreementshallbedeemedtohavebeenperformed,done and
incurred under this Agreement.3.RECOVERABLE COSTS3.1In
consideration of the agreements on the part of DBCT-UDCL in
thisAgreementsetforth,HarboursCorporationwillmakepaymentsto

submitted to or observed by or on the part of HarboursCorporation.3.2HarboursCorporationshallreimburseDBCT-UDCLfromtheHayPointTugHarbourAccountforallcostschargesexpensesandliabilitiesincurredbyDBCT-UDCLinorinconnectionwiththeperformance of this Agreement
including but not limited to:(i)The
actual costs and expenses incurred by DBCT-UDCL inrespect of outside consultants engaged
during or prior to thecommencement of this Agreement,
provided that HarboursCorporationhasapprovedtheengagementofsuchconsultants(whichconsentshallnotunreasonablybewithheld).(ii)The
cost of all equipment, materials and supplies used orconsumed in the performance of the Works or
which are tobeincorporatedintheWorks,includingthecostofexpediting,transportation,freight,storageandhandlingthereoflessrecoveriesfromdisposalofequipmentandmaterials.(iii)Costsofreproductionofplans,specifications,reportsandother data.(iv)Postage,telegraph,telephone,officesuppliesandothermiscellaneouscostsandexpensesincurredinconnectionwith the
Works.(v)The cost of acquisition of
construction equipment and tools,whetherpurchased,leasedorhired,includingallcostsrelated thereto
such as transportation and storage, operationand maintenance
of such equipment and tools.(vi)All
amounts paid or payable to contractors, sub-contractorsorotherspursuanttoorinconnectionwithcontracts,sub-contractsrelatingtotheWorksandallothercosts,expensesandliabilitiesassociatedwithorincurredin

assessments, levies, imposts, duties, excises andlicenses, except taxes levied directly on or
measured by netincomeofthepartiescomprisingtheDBCT-UDCLJointVenture.(viii)ThecostofpremiumsandothercostsofmaintaininginsuranceeffectedbyDBCT-UDCLpursuanttothisAgreement or
otherwise in connection with the performanceof the
Works.(ix)InsurancedeductiblesincurredbyDBCT-UDCLinconnection with the performance of the
Works.(x)Any and all other costs, expenses and
liabilities incidental toand reasonably necessary for the
performance of the WorksortheobligationsunderthisAgreementonthepartofDBCT-UDCL including the cost of
preparing, calling andconsideringtenders(ifapplicable)andthecostoftheProjectDirectorandanypersonnelassistinghiminsuperintending the Works.(xi)Any travel,
accommodation and associated expenses of theProject Director
and DBCT-UDCL or the Project Director’spersonnel or
agents in relation to superintending the Works.(xii) Allcostsandexpensesofestablishing,manningandoperating a DBCT-UDCL site
office.(xiii)All other costs expenses and
liabilities arising howsoever inconnection with
or as a result of the Works.3.3IfdespiteavariationorvariationsinthescopeoftheWorksinaccordance with Clause 2.7 or for any other
reason the cost of theWorksandothertheReimbursableCostsexceedstheamountoffunds available from Hay Point Tug Harbour
Account and such othersources as may be available to
Harbours Corporation in accordancewiththeTugHarbourAccount—DBCTAgreement,andDBCT-UDCL elect to proceed with the Works
then the shortfall willbelentbyDBCTtoHarboursCorporationinaccordancewiththeterms of Tug Harbour Account—DBCT
Agreement.

or otherwise pay moneys nowor hereafter
credited to the Hay Point Tug Harbour Account except inaccordance with the provisions of this
Agreement, the Tug HarbourAccount—CQCA Agreement and the Tug
Harbour Account—DBCTAgreementPROVIDEDTHATHarboursCorporationshallinvestsurplus moneys
in the Hay Point Tug Harbour Account from time totimeatcommercialratesofinterest,andshallcreditanyinterestaccruing or
which it deems to accrue thereon to the said account ANDPROVIDEDFURTHERTHATHarboursCorporationshallbeentitled to reimburse from the Tug
Harbour Account all reasonableexpenses
incurred by it incidental to this Agreement.4.APPOINTMENT OF REPRESENTATIVES4.1DBCT-UDCLandHarboursCorporationshallforthwithuponexecutionofthisAgreementeachappointforthepurposesofthisAgreement a
senior representative, to be known as “Project Director”and
“Senior Harbours Corporation Representative” respectively,
andthe parties hereto shall thereupon give to
the other written notice ofsuch
appointment.4.2The Senior Harbours Corporation
Representative shall be the personforthetimebeingappointedtothepositionofAssistantDirector,HarboursManagement,andshallhaveresponsibilityfortheadministrationandco-ordinationofthisAgreementonbehalfofHarbours Corporation.4.3The
Project Director shall have responsibility for the
administrationand co-ordination of this Agreement on
behalf of DBCT-UDCL inaccordance with the terms of the joint
venture hereinbefore recited.4.4Subjecttotheprovisionshereof,theSeniorHarboursCorporationRepresentativeandtheProjectDirectorshallactonbehalfofHarbours Corporation and DBCT-UDCL
respectively in all matterspertaining to
this Agreement and the respective rights and duties ofHarbours Corporation and DBCT-UDCL
hereunder, and shall be theprimecontactsinanyliaisonbetweenHarboursCorporationandDBCT-UDCL.

HARBOURSCORPORATION5.1Unless the parties shall otherwise agree,
Harbours Corporation shallprocure as may be necessary for
DBCT-UDCL to perform the Worksand to meet the
Approved Construction Programme, all concessions,approvals,permits,licences,roadopenings,leases,easementsandrightsofwaywhichmayberequiredinconnectionwithandnecessaryforaccessto,constructionof,quarryingpursuantto,transportinrelationto,completionofandcommissioningoftheWorks, including any and all licences
and permits for water crossings,railway, highway
and public utility crossings and quarrying from MtGriffiths.5.2HarboursCorporationshallassistDBCT-UDCLtoeffectare-alignment of the Hay Point Road to
facilitate a road directly fromthe quarry
aforesaid to Half Tide.6.DESIGN AND
ENGINEERING6.1DBCT-UDCL,eitherthemselvesorthroughtheservicesofconsultants and others selected by them and
approved by HarboursCorporation,shallprepareandsubmittoHarboursCorporationalldesigns, general engineering plans, layout
and general arrangementdrawings,quantityestimates,andgeneralspecificationsfortheWorksandalsodetailedconstructionplansanddrawingsandspecifications to the extent required for
the planning, execution andcompletion of
the Works.6.2Onreceiptofthesame,HarboursCorporationshallwithoutdelayexaminethesaiddesigns,plans,drawings,estimatesandspecifications (all herein called “plans and
specifications”) submittedtoitand(subjecttotheprovisionsofClause2.7,ifapplicable)inrespect of each shall either:—(a)rejectsuchplanorspecificationsifitconsidersthesameunsatisfactory;
or(b)approve such plan or specifications;
or

modifications as it, after consultation withDBCT-UDCL, may
consider advisable.6.3HarboursCorporationshallnotrejectanyplansorspecificationswithoutfirstconsultingwithDBCT-UDCLandinformingDBCT-UDCLofthereasonfortheintendedrejection.PlansandspecificationssorejectedshallbepreparedagainbytheDBCT-UDCL and
shall be re-submitted to Harbours Corporation forapproval.6.4DBCT-UDCL shall amend and modify any plans
and specificationsin the manner directed by Harbours
Corporation and shall re-submitthemwiththoseamendmentsandmodificationstoHarboursCorporation for
approval.6.5DBCT-UDCL shall not implement or
procure the implementation ofanyplansandspecificationsunlessthoseplansandspecificationshave first been
approved by Harbours Corporation.6.6Without limiting the generality of the
foregoing, DBCT-UDCL shallprepare or cause to be prepared the
plans required by subsection (3) ofSection 86 of
“The Harbours Acts 1955-1982”
and shall submit themtoHarboursCorporationforapproval.Onthoseplans,amendedormodifiedasrequiredbyHarboursCorporation,beingapprovedbyHarbours Corporation, they shall be lodged
in duplicate by HarboursCorporationwithTheMarineBoardofQueensland,andHarboursCorporationshalluseitsbestendeavourstohavetheplanssodepositedapprovedbytheGovernorinCouncilatnocosttoDBCT-UDCL.TheplanssoapprovedbytheGovernor-in-Councilshallnotbemateriallyalteredorextendedwithoutthefurtherapproval of the
Governor in Council and the Works shall be carriedout
substantially in accordance with those plans with such
alterationsand extensions approved as aforesaid.7.DOCUMENTATIONDBCT-UDCL,inconsultationwithHarboursCorporation,shallprepare contract and any appropriate tender
documents relating to thecontracting or subcontracting of the
Works, including conditions oftendering (if
applicable) and conditions of contract, and if
requested

expedient.8.PURCHASING8.1Subject to the following provisions of this
clause DBCT-UDCL shallpurchaseorarrangeforthepurchaseorsupplyofsuchplant,machinery,equipment,goodsandservicesforincorporationintheWorksoruseinconnectionwiththeWorksascontractorsorsub-contractors have not agreed to
supply.8.2DBCT-UDCL from time to time shall
prepare and submit to HarboursCorporation for
approval (which approval shall not be unreasonablywithheld)listsofitemsofplant,machinery,equipment,goodsandservices (other than those referred to
in Clause 8.3), the estimated costof and suitable
suppliers for each item. Harbours Corporation shallthereafter without delay notify
DBCT-UDCL:—(a)of which items it approves the
purchase or supply;(b)of the items for which it desires
tenders to be called;(c)any suggested
suppliers of whom it disapproves; and(d)other suppliers (if any) whom it considers
may be suitableand of whom it approves.DBCT-UDCL shall
not purchase any item or order any services notapproved by
Harbours Corporation and shall not purchase an item ororderservicesfromasupplierofwhomHarboursCorporationhasnotified its disapproval in relation to that
item.8.3Day to day supplies and goods or
services of a minor nature (viz notexceeding
$20,000 in any instance) may be supplied or purchased byDBCT-UDCLwithoutconsultationwithorapprovalofHarboursCorporation.9.CONTRACTING9.1DBCT-UDCLshallenterintosuchcontractsandsubcontractasitshallconsiderappropriatetoeffecttheWorks,and,ifHarbours

called on a competitive basisfor the
construction and performance of the Works and for those
itemsinrespectofwhichHarboursCorporationnotifiesDBCT-UDCLtenders shall be
called pursuant to Clause 8.2 of this Agreement.9.2Tenders, if so required, shall be
called and contracts entered into byDBCT-UDCL in the
name of DBCT-UDCL as principal. The methodand procedure
for calling tenders (if applicable) and the conditions oftenderingandcontractshallbegenerallyinaccordancewiththosenormallyusedbyHarboursCorporationfromtimetotime,unlessotherwise agreed between the parties
hereto.9.3DBCT-UDCLshallexaminealltenderssubmitted,shallreportthereontoHarboursCorporationandshallrecommendtowhomcontracts and
sub-contracts should be awarded.9.4IfHarboursCorporationapprovestherecommendationofDBCT-UDCLastotheacceptanceofatender,thenDBCT-UDCLshallacceptsuchtenderandperformanyfurtheractsorsignsuchdocuments as may be necessary to enter into
a contract pursuant to theacceptance of such tender.9.5The program of construction resulting
from the acceptance of tendersand letting of
contracts (as the same may be varied from time to time)is
herein called the “Approved Construction Programme”.10.SURVEYS10.1DBCT-UDCLshallperformorensuretheperformancewhetherpursuanttocontractsmadewithcontractorsorotherwiseofallnecessary surveying, including the
establishment of grade elevations,benchmarks,locations,andothersurveycontrolsrequiredforthelaying out and
construction and performance of the Works.11.SCHEDULES, ESTIMATES AND REPORTSDBCT-UDCL shall prepare and submit to
Harbours Corporation:—(a)forthwith upon
execution of this Agreement an estimate ofthe cost of the
Works and of each category of the Works, andfrom time to
time as circumstances warrant or as Harbours

category of Works;(b)forthwith upon execution of this
Agreement a constructionschedule showing proposed commencement
and completiondates of the construction of each category
of the Works;(c)estimatesofmonthlycashrequirementsandrevisedestimates
thereof at such times, for such periods and in suchdetailasmayreasonablyberequiredbyHarboursCorporation;(d)notlaterthanthefifteenthdayofeachmonthafterthecommencementofconstructionorperformanceoftheWorks a report on the progress of the
Works;(e)on completion (except for work to be
performed by othersunderprovisionsrelatingtomaintenanceandguaranteeafter practical
completion) of the Works a certificate that theWorks have been
so completed; and(f)after final completion of the Works a
complete descriptionthereof and report thereon.12.SUPERVISION AND INSPECTIONSubjecttoapprovalanddirectionbyHarboursCorporationasprovided for in this Agreement, DBCT-UDCL
shall either directly orby any other approved
arrangement:—(a)planandsuperviseaprogramfortheconstructionandperformance of the Works;(b)supervise and administer the
construction and performanceof the Works and
regularly inspect work in progress;(c)supervise and control the handling,
receiving, warehousingand despatching of goods and materials
as may be requisite;(d)examine and
approve (or approve subject to amendments) orreject as
DBCT-UDCL may deem appropriate contractors’and
sub-contractors’ construction details and drawings anddrawingssubmittedbysuppliersofplant,machineryandequipment;

of parts of the Worksasmayberequiredinaccordancewithgoodengineeringpractice;(f)co-ordinate the activities of
contractors, sub-contractors andsuppliersattheplaceswheretheWorksarebeingconstructed and
performed;(g)examineandcheckaccounts,certificates,reports,complaintsandcommunicationsbycontractors,sub-contractors
and suppliers;(h)perform all field engineering and
general field and job siteservicesreasonablyrequiredinconnectionwiththesupervisionandmanagementoftheconstructionandperformance of the Works.13.COMPLETION AND COMMISSIONING13.1When the Works have been completed in
accordance with the PlansandSpecifications(exceptforminoromissionsorvariations),DBCT-UDCL shall
so advise Harbours Corporation.HarboursCorporationshallwithinonemonthofsuchnotification,either notify
DBCT-UDCL in writing of its acceptance of the Worksready for commissioning as of the date in
DBCT-UDCL’s notice, orsubmittoDBCT-UDCLadetailedlistofremedialworkwhichHarboursCorporationdeemsnecessarybeforetheWorksconformwiththePlansandSpecificationsandaredeemedtobereadyforcommissioning.13.2IfHarboursCorporationfailstogiveeitherofthenoticeswithinone month, the
Works shall be deemed to be ready for commissioningasofthedateinDBCT-UDCL’snotice.IfHarboursCorporationsubmitssuchlistofremedialworkbeingwithintheWorks,DBCT-UDCL shall
promptly direct contractors, sub-contractors andsupplierstoperformsuchworkandtheprocedureoutlinedaboveshallberepeateduntilHarboursCorporationacceptstheWorksasready for commissioning or fails to notify
remedial work PROVIDEDTHAT Harbours Corporation shall not be
entitled in any subsequentnotice to require the performance of
any works other than those whichshall have been
already required in the immediately preceding notice,

from the date of Harbours Corporation’s acceptance of the
Worksas ready for commissioning, Harbours
Corporation shall, subject tothe obligations
of any contractor or sub-contractor in relation to thesame,performallmaintenanceoftheWorks,furnishingsuchpersonnel, materials and tools as may be
required for such purpose.Until Harbours Corporation’s
acceptance, no part of the Works shallbe used except
for testing, or other construction purposes.13.4Aftertheworksarereadyforcommissioning,DBCT-UDCLpersonnel shall commission the Works.13.5At the expiration of six months after
the date upon which:—(i)Harbours
Corporation informs DBCT-UDCL in writing ofits acceptance
of the Works ready for commissioning; or(ii)the
Works are deemed to be ready for commissioning,(whicheveristheearlier)HarboursCorporationshallissuetoDBCT-UDCL a Final Certificate. The Final
Certificate shall constituteconclusiveevidenceforallpurposesandinanyproceedingswhatsoeverbetweenHarboursCorporationandDBCT-UDCL,thatDBCT-UDCL have satisfactorily executed or
complied with each andeveryoneoftheobligationsassumedbyDBCT-UDCLunderthisAgreement.14.DISPUTES14.1DBCT-UDCL shall report immediately to
Harbours Corporation anymajor disputes or disagreements with
contractors, sub-contractors orsuppliers giving
brief details of the substance thereof.14.2DBCT-UDCLshallconductallnegotiationswithcontractors,sub-contractorsorsupplierswithaviewtosettlingdisputesordisagreementsandshallkeepHarboursCorporationreasonablyinformedoftheprogressofnegotiationsandshallnotifyHarboursCorporation of
the proposed terms of settlement of each dispute ordisagreement.

Agreements) Act1987SCHEDULE 5 (continued)15.ACCOUNTING AND REPORTING15.1Prior to commencement of the
construction of works, DBCT-UDCLand Harbours
Corporation shall create suitable accounting proceduresand
systems and codes of accounts in connection with the
accountingmatters specified in this clause 15.15.2DBCT-UDCLshallperformsuchaccountingservicesasmayberequisitetoadministerandcontrolcontractswithcontractors,sub-contractors
and suppliers. DBCT-UDCL shall also keep detailedaccountsofthecostofitsservicesandtheservicesoftheProjectDirector and his
staff under this Agreement and of all payments madeby
it which are Recoverable Costs.15.3DBCT-UDCL shall keep appropriate records and
accounts in respectof the performance of the Works. DBCT-UDCL
shall allow HarboursCorporation access at all reasonable
times to the said accounts andrecords.15.4DBCT-UDCLmaysubmitstatementstoHarboursCorporationnotmore
frequently than monthly. Each such statement shall contain:—(a)an itemised statement of all
Recoverable Costs incurred byDBCT-UDCL since
the previous statement (or in the case ofthefirststatement,astatementofallRecoverableCostsincurred prior to the date of such
statement);(b)ifapplicable,astatementoftheamountofanypaymentspaid by Harbours
Corporation to DBCT-UDCL on accountofanticipatedRecoverableCostspursuanttotheimmediately preceding
statement;(c)ifapplicable,anycreditsforamountspaidbyHarboursCorporation to
DBCT-UDCL pursuant to statements prior totheimmediatelyprecedingstatementandunexpended,summarised
according to the systems and codes agreed topursuant to
Clause 15.1;(d)anitemisedstatementoftheRecoverableCostsestimatedbyDBCT-UDCLaslikelytobeincurredbythemintheperiodofone(1)monthcommencingonthedateofthestatement;

and (c).15.5HarboursCorporationshallpaytoDBCT-UDCLtheamountrequested in
each statement pursuant to Clause 15.4(e) within seven(7)
days after receipt of the statement referred to in Clause 15.4.
Ifpayment is not made within such time, the
unpaid balance shall bearinterestuntilpaymentatarateequaltotheAustralianMerchantBankers’ Bill Rate for 90 day prime
commercial bills for the last dayof the month
preceding the month in which the payment fell due, asthe
same is published in the Australian Financial Review, and
suchinterestshallbereceivablebyDBCT-UDCLontheirownaccountseverally and in
equal shares and shall be deemed not to constituteamountspaidoradvancedbyHarboursCorporationtomeetRecoverable
Costs.15.6DBCT-UDCL shall cause an annual audit
of the accounts kept by itpursuanttothisAgreementtobemadebyaqualifiedauditor.Inaddition, an audit of such accounts shall be
made if this Agreement isterminated for any reason. The cost of
performing such audit will be aRecoverable
Cost.15.7OncompletionoftheWorksDBCT-UDCLinconsultationwithHarboursCorporationshallprepareandprovidetoHarboursCorporation a
statement showing the cost of the Works.15.8On
completion of the Works DBCT-UDCL shall provide HarboursCorporationwithanassetsregisterinaformandcontainingtheinformationrequiredbyHarboursCorporationinrespectoftheWorks.16.INSURANCE16.1FromthedateofcommencementofthisAgreement(orassoonthereafter as reasonably practicable) and
continuing until the issue ofthe Final
Certificate in accordance with Clause 13.5, DBCT-UDCLshall maintain insurance policies (inter alia) as
follows:—(a)Workers’Compensationinsuranceforitsemployeesinaccordance with the statutory
requirements of the State ofQueensland,togetherwithemployers’liabilityinsurance

liability;(b)Comprehensivegeneralliabilityinsuranceinrespectofbodilyinjuryandpropertydamageliability,includingautomobile(owned,non-ownedorhired)andcontractualliabilities.Suchinsuranceshallbeinacombinedsinglelimit of FIVE MILLION DOLLARS ($5,000,000)
for anyone occurrence.(c)Statutory third party motor vehicle
insurance in accordancewith the requirements of the State of
Queensland coveringmotor vehicles utilised by DBCT-UDCL in
connection withthe completion of the work.(d)Professional indemnity
insurance;(e)“Allphysicalloss”builder’sriskinsuranceprotectingtherespectiveinterestsofDBCT-UDCLandHarboursCorporationandallcontractorsandsub-contractorsandcovering such parties in respect of physical
loss or damageto the Works, temporary works and
construction, or plant,materials, machinery and equipment, or
supplies that are tobe incorporated in the Works during
fabrication away fromthe site, whilst in transit to the
site, during storage on site;duringerectionandtesting,anduntilissueoftheFinalCertificate in accordance with Clause 13.5.
This insuranceshall be maintained to cover the replacement
value of theinsured property referred to above.16.2The insurance required to be
maintained by DBCT-UDCL pursuant toClause16.1hereofshallbemaintainedwithinsurersacceptabletoHarbours Corporation and the terms of
coverage shall be evidencedbycertificatesfurnishedtoHarboursCorporation.Suchcertificatesshallprovidethat30dayswrittennoticeshallbegiventoDBCT-UDCL and Harbours Corporation prior to
cancellation of anypolicy.17.LIABILITY AND INDEMNIFICATION17.1HarboursCorporationshallindemnifyandholdDBCT-UDCLharmlessfromallactionssuitsclaimscostschargesexpenses

which DBCT-UDCL maysuffer, made by any person in respect of or
in connection with anypersonalinjuryordeathand/ordamagetopropertyand/orconsequential loss and/or pecuniary loss and
all other losses, damagesand liabilities whatsoever to which
DBCT-UDCL may become liablearising out of
or in any way connected with the implementation of thisAgreement except to the extent that such
actions suits claims costschargesexpensesdemandsandotherliabilitiesariseoutofanynegligence on the part of DBCT-UDCL or any
of its employees.17.2Harbours Corporation hereby
indemnifies and shall keep indemnifiedDBCT-UDCLanditsservantsandagentsinrespectofanythingperformed, done
or left undone by DBCT-UDCL or its servants oragentsingoodfaithandwithoutnegligence,fromandagainstallactions suits liabilities or other
proceedings which may be brought byHarboursCorporationagainstDBCT-UDCLoreitherofthemfordamageslossorliabilitysufferedbyHarboursCorporation(including,withoutlimitation,liabilityforlossofuseorprofitsorgeneral business interruption) as a
result of or in connection with theWorks.18.NOTICES18.1All
notices, notifications, reports, statements, certificates,
approvals,appointments,consents,agreements,authorisations,andthelike(hereinafter
called “the communications”) under this Agreement shallbe
in writing.18.2The communications, without prejudice
to any other proper mode ofservice or
giving, shall be properly given:—(a)to
Harbours Corporation:(i)if posted by
prepaid post by the fastest means (otherthan express
rate) to—“The Director,Department of
