north of latitude 11º south thatare part of the

1981PART 2—THE RAINE ISLAND CORPORATIONDivision1—Constitution5Constitution of corporation(1)There shall be constituted from time
to time as prescribed by this Actabodycorporateunderthenameandstyle‘RaineIslandCorporation’which,bythatnameandstyle,shallhaveperpetualsuccessionandacommon seal, and
shall be capable in law of suing and being sued and ofacquiring, holding and disposing of land and
other property, of grantingand taking leases of land and other
property, and of doing and suffering allsuch other acts
and things as bodies corporate may in law do and suffer.(2)Allcourts,judgesandpersonsactingjudiciallyshalltakejudicialnotice of the
common seal of the corporation affixed to any document andshall
presume that it was duly affixed.(3)The
common seal of the corporation shall be kept in such custody
asthe corporation directs and shall not be used
except as authorised by thecorporation.6Membership of corporation(1)Thecorporationmustconsistofatleast8,butnotmorethan9,members.(2)The members must include the following
persons—(a)the chief executive;(b)the chief executive of the department
in which theCommunityServices (Torres
Strait) Act 1984is administered;(c)a
Torres Strait Islander who—(i)has,underIslandcustom,aconnectionwith,orwiththesurrounding seas of, Maclennan Cay, Moulter
Cay or RaineIsland; or(ii)is
the chairperson of the Torres Strait Regional Authority;(d)a person of the Aboriginal race of
Australia who—

connection with, or withthesurroundingseasof,MaclennanCay,MoulterCayorRaine Island; or(ii)is
the chairperson of the Wuthathi Land Trust;2(e)a person who is representative of the
Australian community andhas—(i)a
demonstrated interest in conservation; and(ii)knowledgeof,orexperiencein,financialmanagementorfund raising;(f)2 of
the following persons—(i)a lineal
descendant of the deceased Doctor Wilmer EdwardGeorge Butler,
son-in-law of Mrs Ella Hibberd who was atrustee of the
Benjamin Meaker Charities Trust;(ii)if
there are no lineal descendants of Doctor Wilmer EdwardGeorgeButler—arelative(a“nominatedrelative”)ofDoctorWilmerEdwardGeorgeButlerpreviouslynominatedbyalinealdescendant,orarelativeofDoctorWilmer Edward
George Butler nominated by a nominatedrelative.(3)Also, the members must include 1 or 2
persons who hold pre-eminentscientificqualificationsorpre-eminentqualificationsintheconservationfield.(4)The Governor in Council must appoint
the members mentioned insubsection (2)(c) to (f) and subsection
(3).(5)A member must be appointed for a term
of not more than 3 years.(6)The chief
executive is the chairperson of the corporation.(7)TheGovernorinCouncilmustappointapersonmentionedinsubsection (3) as the deputy
chairperson of the corporation.(8)A
person mentioned in subsection (2)(a) or (b) may appoint an
officerof the person’s department to act as the
person’s deputy as a member.(9)A
person appointed as a deputy under subsection (8)—2The Wuthathi Land Trust is a land
trust incorporated under theAboriginal
LandRegulation 1991,part 3. The
incorporation of the land trust was notified in thegazette on 17 November 1995 at page

(Raine Island Research) Act 1981(a)mayactasthememberforwhichthepersonisdeputyinthemember’s absence, but must not act as
chairperson; and(b)has all the powers and functions of
the member for which theperson is deputy.9Vacating member’s office(1)A
member, other than a member mentioned in section 6(2)(a) or
(b)may, by writing addressed to the Minister,
resign office at any time.(2)TheGovernorinCouncilmayatanytimeremovefromofficeamember, other than a member mentioned in
section 6(2)(a) or (b).(3)A member shall be
deemed to have vacated his or her office—(a)in
the event of resignation, upon the receipt by the Minister
ofnotice of resignation;(b)in
the event of removal, upon the issue by the Minister of
noticeof removal;(c)intheeventofabsencewithoutthecorporation’sleavefirstobtainedfrom3consecutiveordinarymeetingsofthecorporation of which notice has been
duly given to the member.(4)For the purposes
of subsection (3)—(a)the non-attendance of a member at the
time and place appointedfor an ordinary meeting shall not
constitute absence from suchmeeting unless a
meeting of the corporation at which a quorum ispresent is
actually held on that day;(b)the attendance of
a member at the time and place appointed foran ordinary
meeting shall be deemed to constitute presence at anordinary meeting notwithstanding that by
reason of the lack of aquorum a meeting is not actually held
on that day;(c)thenamesofthememberswhoattendatthetimeandplaceappointed for an
ordinary meeting shall be entered in the minutebook provided
pursuant to this Act.10Casual vacancy in
member’s office(1)A casual vacancy shall be taken to
arise in the office of a member,other than a
member mentioned in section 6(2)(a) or (b)—

the member dies in office; or(b)ifthemember’sofficebecomesvacantasprescribedbysection 9(3).(2)Ifacasualvacancyoccursintheofficeofamemberduringthecurrencyofthemember’stermofappointmentanotherpersonmaybeappointed to fill that office in
accordance with section 8.(3)Thetermofappointmentofapersonappointedtofillacasualvacancyshallcontinueforaslongastheappointmentofhisorherpredecessor had the casual vacancy not
occurred.11Allowances(1)Each
member shall be paid such allowances (if any) as are from
timeto time decided by the Governor in
Council.(3)Each member shall be paid such
expenses as are necessarily incurredbythememberinthedischargeofdutiesasamemberandasthecorporation
approves.12Holders of office not affected by
restrictive employmentprovisionsA provision of
any enactment requiring the holder of an office to devotethe
whole of his or her time to the duties of the office or prohibiting
theholder from engaging in employment outside
the duties of the office shallnot operate to
hinder holding that office and also—(a)that
of member of the corporation; or(b)the
acceptance and retention of any allowance payable under thisAct.Division2—Functionsandpowers13FunctionsThe functions of
the corporation are—(a)to promote research in respect of the
nature and the environmentof—(i)Raine
Island; and

the surrounding seas; and(b)topromote,bywhatevermeansmaybeappropriateandpracticable, the preservation and protection
of the nature and theenvironment of—(i)Raine
Island; and(ii)Moulter and Maclennan Cays;and
the surrounding seas; and(c)topromotethedevelopmentandapplicationofscienceandtechnology for the purpose of the
preservation and protection ofthe nature and
the environment of—(i)Raine Island; and(ii)Moulter and Maclennan Cays;and
the surrounding seas; and(d)toinvestigatethefeasibilityofrestoringorpreservinganyimprovements or relics situated on Raine
Island; and(e)to promote, through the publication of
the results of the researchconducted, the conservation of the
nature and the environment ofthe Great Barrier
Reef Province.14PowersThe corporation
may do all things which are necessary or convenient tobe
done for or in connection with or incidental to the performance of
itsfunctions and in particular—(a)may cause such restoration or
preservation work to be carried outin respect of any
improvements or relics situated on Raine Islandas appears to it
to be desirable; and(b)may establish such research facilities
on or in relation to RaineIsland as appear to it to be necessary
for the proper performanceof its functions.

(Raine Island Research) Act 1981Division3—Proceedingsandbusiness15Conduct of businessSubjecttothisdivision,thecorporationmustconductitsbusiness,including its
meetings, in the way it considers appropriate.16QuorumA quorum for a
meeting of the corporation is 4 members, including atleast
1 of the members mentioned in section 6(2)(f).17Attendance by proxy(1)A
member may attend a meeting by proxy.(2)A
member is not entitled to preside at a meeting merely because
themember is the proxy holder for another
member, who if present, would beentitled to
preside.18Time and place of meetings(1)Meetings of the corporation must be
held at the times and places thecorporation
decides.(2)Thesecretaryofthecorporationmustgivewrittennoticeofeachmeeting, including
an adjourned meeting, to each member at least 7 daysbefore
the day of the meeting unless it is impracticable to give the
notice.(3)The notice must state—(a)the day and time of the meeting;
and(b)the place where the meeting is to be
held; and(c)the business to be conducted at the
meeting.19Presiding at meetings(1)The chairperson of the corporation
must preside at all meetings of thecorporation at
which the chairperson is present.(2)If
the chairperson is absent from a meeting of the corporation and
thedeputy chairperson is present, the deputy
chairperson must preside.

both the chairperson and deputy chairperson are absent from
themeeting, a member elected by the other
members present at the meetingmust
preside.20Conduct of meetings(1)A question at a meeting of the
corporation is decided by a majority ofthe votes of the
members present.(2)Each member has a vote on each
question to be decided, and if thevotes are equal,
the member presiding also has a casting vote.(3)The
corporation may hold its meetings, or allow members to take
partin its meetings, by using any technology that
reasonably allows members tohear and take part
in discussions as they happen.Example of
technology—Teleconferencing.(4)A
member who takes part in a meeting under subsection (3) is
takento be present at the meeting.(5)Aresolutionisvalidlymadebythecorporation,evenifitisnotpassed at a meeting, if—(a)notice of the resolution is given
under procedures approved bythe corporation;
and(b)amajorityofitsmembersgivewrittenagreementtotheresolution.20A Minutes and
records(1)The corporation must keep—(a)minutes of its meetings; and(b)a record of resolutions made under
section 20(5).(2)Each entry in the minutes for a
meeting of the corporation must besigned by the
member presiding at the next meeting after the meeting forwhich
the minutes were taken.

Act 1981s 20B20B Disclosure of interest(1)If a member becomes aware that the
member has a conflict of interestaboutanissuebeingconsidered,orabouttobeconsidered,bythecorporation, the member must disclose
the nature of the conflicting interestto a meeting of
the corporation.(2)Unless the corporation otherwise
directs, the member must not—(a)be
present when the corporation considers the issue; or(b)take part in a decision of the
corporation about the issue.(3)The
member must not be present when the corporation is
consideringwhether to give a direction under subsection
(2).(4)Ifthereisanothermemberwhomust,undersubsection(1)alsodisclose an interest in the issue, the
other member must not—(a)be present when
the corporation is considering whether to give adirection under subsection (2); or(b)take part in making the decision about
giving the direction.(5)If—(a)because of this section, a member is
not present at a meeting ofthecorporationforconsideringordecidinganissue,orforconsideringordecidingwhethertogiveadirectionundersubsection (2); and(b)there
would be a quorum if the member were present;theremainingmemberspresentareaquorumofthecorporationforconsidering or deciding the issue, or for
considering or deciding whether togive the
direction, at the meeting.(6)A member has a
conflict of interest about an issue if the member hasaninterest,financialorotherwise,thatcouldconflictwiththeproperperformance of the member’s duties.(7)Adisclosureundersubsection(1)mustberecordedinthecorporation’s minutes.(8)A contravention of this section does
not invalidate any decision of thecorporation or the
performance of a function or exercise of a power by thecorporation.

(Raine Island Research) Act 198122Protection of membersApersonwhoisorhasbeenamemberisnotpersonallyliableforanythingdoneoromittedingoodfaithin,orinconnectionwiththeexerciseofanypowerconferredortheperformanceofanyfunctionimposedonthecorporationbythisAct,orreasonablybelievedbythatperson to have
been conferred or imposed by this Act.PART 3—FINANCIAL
PROVISIONS23Trust fund(1)The
corporation shall establish and at all times keep a trust
fund.(2)There shall be paid into the trust
fund of the corporation all moneyspaid to the
corporation for any purpose in connection with the exercise
ofits powers or the performance of its
functions.(3)The corporation shall apply the money
from time to time standing tothe credit of the
trust fund to the use or purpose for which it was paid to
thecorporation.(4)Where
no use or purpose is specified in relation to any money paid
tothe corporation that money may be used for
any special project approvedby resolution of
the corporation.(5)Notwithstandingtheprovisionsofsubsections(3)and(4)ortheterms of any trust upon which money is
held by the corporation, moneysstandingtothecreditofthetrustfundmaybeappliedinpaymentofexpenses of the corporation incurred in or in
connection with the carryingout of its
functions.24Corporation is statutory body(1)Under theStatutoryBodiesFinancialArrangementsAct1982, thecorporation is a
statutory body.(2)TheStatutory Bodies
Financial Arrangements Act 1982, part 2B
setsout the way in which the corporation’s powers
under this Act are affectedby theStatutory Bodies
Financial Arrangements Act 1982.

corporation must, frame,adopt and present to the Minister a
budget for its trust fund showing itsestimates of its
receipts and disbursements for the financial year.(1A)Onapplicationbythecorporation,theMinistermayextendthetime
for compliance with subsection (1).(2)In
framing the budget for its trust fund the corporation shall
estimatein respect of the financial year for which
the budget is being framed andshall therein
show—(a)the amounts to be disbursed upon the
several works, matters andthings to which the fund is
applicable; and(b)the amounts expected to be received
from the several sources ofincomeandothermoneysofthecorporationwhichincomeorother
moneys are required by this Act to be paid to the fund.(3)In any budget—(a)the
estimates of receipts shall be set out, as nearly as may be,separatelyinaccordancewiththeseveralsourcesofreceiptsrequired by this
section to be shown in the budget;(b)theestimatesofdisbursementsrequiredbythissectiontobeshowninthebudgetshallbesetout,asnearlyasmaybe,inaccordance with each power or function of
the corporation;(c)theestimatesofreceiptsanddisbursementsthatrelatetocommon powers or functions shall be set out,
as nearly as maybe, opposite each other.(4)Each
budget shall show—(a)estimates of receipts and
disbursements adopted for the financialyear previous to
that for which the budget is framed; and(b)actual receipts and disbursements for the
financial year previousto that for which the budget is
framed.(5)A budget of the corporation shall be
of no force or effect until it isapproved by the
Minister.(6)When the Minister has approved of a
budget of the corporation thebudget as approved
shall be binding upon the corporation.

(Raine Island Research) Act 198126Observance of budget(1)Subjecttosubsection(2),thecorporationshallconfineitsdisbursementsthroughoutafinancialyearwithintheitemsandamountscontained in its
budget for that financial year as approved by the Minister.(2)Ifduringanyfinancialyearitappearstothecorporationthatanextraordinarycircumstancehasarisenwhichrequiresthecorporationtomake a
disbursement in that financial year that was not provided for in
thebudget(asapproved)forthatfinancialyearorthatexceedstheamountestimated in
respect of that disbursement in the budget (as approved) forthat
financial year the corporation shall, before making the
disbursement orexcess disbursement—(a)byresolution,approvethatthedisbursementorexcessdisbursement be
made; and(b)obtaintheapprovaloftheMinisterforanamendmenttothebudget(theMinisterbeingherebyauthorisedtograntsuchapproval).(3)Thecorporationshallensurethatthebudgetasamendedandapprovedwillnotthenbeexceededinparticularorintotalbythedisbursement or excess disbursement
referred to in subsection (2).(4)If
the corporation makes a disbursement in any financial year from
itstrust fund that has not been provided for in
the approved budget relating tothat fund for that
financial year, then except where the disbursement hasbeen
made in emergent or extraordinary circumstances, the members of
thecorporation who knowingly voted for such
expenditure shall be jointly andseverally liable
to repay to the corporation the amount of the disbursementandsuchamountmayberecoveredbyactioninacourtofcompetentjurisdiction as a
debt due and owing by all and each of such members to thecorporation.27Treatment of ordinary expenditure, surplus
and deficit(1)Any disbursement of the corporation in
any financial year prior to theadoption of the
budget framed for that financial year is authorised and
shallbe shown as a disbursement in the budget
framed for that financial year.(2)If at
the close of any financial year for which a budget is framed
thereisasurplusordeficitthesameshallbecarriedforwardandtakenintoaccount in framing the budget for the next
following financial year.

the close of each financial year for which a budget is framed
allauthorisations of expenditure and votes of
money for any item provided forin the budget so
framed shall lapse but may be reauthorised or revoted, asthe
case may be.29Statement of accounts of fund(1)Thesecretaryofthecorporationshallpresenttoeachordinarymeetingofthecorporationstatementsoftheaccountsinrelationtothebudget for the period of the financial
year from commencement to the closeof the month last
concluded.(2)These statements of account shall show
both estimated receipts anddisbursementsandactualreceiptsanddisbursementswithsuchexplanations as will give a true
indication of the progressive state of thevotes provided in
the budget and, in addition, the statements submitted tothe
first meeting of the corporation held after the last day of
December andMarch shall include an estimate of the
anticipated position at the end of thefinancial
year.PART 4—GENERAL PROVISIONS32Power to accept gifts etc.(1)The corporation may accept a gift
(whether by devise, bequest or giftinter vivos) of
any real or personal property and may agree to any conditionpertaining to any such gift.(2)For the purposes of the application of
the rule of law known as therule against
perpetuities to any gift to the corporation it shall be
deemedthat the purposes of the corporation are
charitable purposes.34Consultants(1)The
corporation may engage persons having suitable
qualificationsand experience as consultants to the
corporation.(2)Thetermsandconditionsoftheengagementofapersonundersubsection (1) are such as are determined by
the corporation.
