following members—(a)the chief executive;(b)notmorethan9persons(theappointedmembers)appointed by the Governor in
Council.(2)Indecidingwhethertoappointaperson,theGovernorinCouncil must have regard to the person’s
business expertise,financial management expertise and knowledge
of the touristand travel industry.7AChairperson and deputy chairperson of the
corporation(1)TheGovernorinCouncilmustappoint1memberofthecorporation to be the chairperson, and
another member to bethe deputy chairperson, of the
corporation.(2)Apersonmaybeappointedasthechairperson,ordeputychairperson, at
the same time the person is appointed as anappointed
member.(3)Thechairpersonordeputychairpersonholdsofficefortheterm decided by the Governor in
Council.(4)However,avacancyoccursintheofficeofchairpersonordeputy chairperson if the person holding the
office resigns theoffice by signed notice of resignation given
to the Minister orstops being a member of the
corporation.(5)Apersonresigningtheofficeofchairpersonordeputychairperson may
continue to be a member of the corporation.(6)The
deputy chairperson is to act as chairperson—(a)during a vacancy in the office of

that by reason of the lack of a quorum ameeting is not
actually held on that day;(c)the names of the
appointed members who attend at thetime and place
appointed for an ordinary meeting shallbe entered in
the minute book.12Fees and allowances of members(1)SuchfeesandallowancesastheGovernorinCouncilapproves from
time to time shall be paid to every appointedmember.(2)Each member of the corporation shall
be paid such expensesas are necessarily incurred by the
member in the discharge ofduties as a member and as the
corporation approves.Division 2Functions,
powers and duties ofcorporation13Functions of corporation(1)The
functions of the corporation are—(a)to
facilitate the following—(i)thepromotionandmarketing,domesticallyandinternationally, of tourism and
travel;(ii)the development
of the tourist and travel industry;(iii)the
making of tourism and travel arrangements;(iv)theprovisionoftourismandtravelinformationservices;
and(b)toprepareaStatetouristandindustrystrategicmarketing plan; and(c)to
advise the Minister on matters relating to paragraphs(a)
and (b).(2)IncarryingoutitsfunctionsunderthisActtheprimaryresponsibility of the corporation is to

Minister may issue written directions to the corporationonmattersofpolicyandtheexerciseofitspowersandfunctions and the corporation shall observe
and carry out thedirections so given.(4)InthepreparationofitsStatetouristandindustrystrategicmarketing plan the corporation is to
extensively consult withthetouristindustry,thegeneralcommunityandappropriatedepartments.(5)Areferenceinthissectiontofacilitatingathingincludesdoing the thing.14Powers of corporation(1)The
corporation has all the powers, and the legal capacity, ofan
individual.(2)Without limiting subsection (1), the
corporation may—(a)acquire, hold, let, lease and alienate
(by exchange, saleorotherwise)realandpersonalpropertyforthepurposes of the
conduct of the corporation’s operationsunderthisActwhetherthepropertyissituatedinQueensland or elsewhere; and(b)actasanagentforanypersonorbody,whethercorporate or unincorporate, engaged in the
provision oftravel or tourist facilities; and(c)provideorassistintheprovisionoftouristandtravelinformationservicesbyitself,byanypersonorbodywhethercorporateorunincorporateorinconjunctionwith that person
or body or the Government of any otherplace;
and(d)demand and receive fees, retainers, or
commissions foractingasanagentorforthesaleoftravel,accommodation or

Queenslandandencouragetheupgradingofexistingtouristandtravel facilities; and(f)undertake research into the
requirements of the touristand travel
industry and the means of promoting touristprojects and
make available, with or without any chargeor fee the
corporation may specify, the results of suchresearch to
interested parties; and(g)recommend to the
Minister the granting of financial andotherassistancetopromotersoftouristandtravelortouristortravelprojectsforthedevelopmentofsuchprojects;
and(h)encourage improvements in standards by
such means asitconsidersappropriateincludingtheestablishingofawards for special competence and
innovation; and(i)establishstafftrainingfacilitiesandprovidetrainingcourses and scholarships, and arrange
contracts betweentrained personnel seeking employment and
prospectiveemployers within the industry; and(j)liaise with Australian and overseas
travel operators andother representative tourist industry
bodies; and(k)liaise with regulatory authorities
affecting operations oftourist and travel enterprises;
and(l)holdseminars,workshopsandconferencesforandonbehalf of the
Queensland tourist industry; and(m)publish papers, magazines and periodicals in
respect ofthe tourist and travel industry; and(n)compoundorproveinacourtallamountsofmoneypayable to it;
and(o)exercise other powers given to it
under this or anotherAct.(3)Also, the corporation may enter into an
arrangement with apersonforthepersontodoathingmentionedinsection13(1)(a)(i) to

power conferred by theLand Act 1994on the Governor
inCouncil to grant in fee simple, or lease for
a term of years orinperpetuityanyunallocatedStatelandwithinQueenslandincludespowertomakesuchagrantorleasetothecorporation for any purpose under this
Act and to make such agrant or lease in priority to and to
the exclusion of all otherpersons notwithstanding the provisions
of theLand Act 1994.(5)In this section—arrangementincludes—(a)alicenceagreementfortheuseofpropertyofthecorporation by a person; or(b)a contract for the transfer of an
asset or liability of thecorporation to a person.15Corporation is statutory body(1)UndertheStatutoryBodiesFinancialArrangementsAct1982, the
corporation is a statutory body.(2)TheStatutory Bodies Financial
Arrangements Act 1982, part2B sets out the
way in which the corporation’s powers underthisActareaffectedbytheStatutoryBodiesFinancialArrangements Act 1982.16Corporation may enter into work
performancearrangements(1)Thecorporationmayenterinto,andgiveeffectto,aworkperformance arrangement with—(a)the employing office; or(b)the appropriate authority of another
government entity.(2)A work performance arrangement may
make provision for allmattersnecessaryorconvenienttobeprovidedunderthearrangement.(3)For

appointment of a person to an office, and the holdingof
the office by the person, for the arrangement; and(b)theauthorisingofapersontoexercisepowersforthearrangement;
and(c)whether payment is to be made for work
done under thearrangement and, if so, what payment is to
be made andwho is to make the payment.(4)A person performing work for the
corporation under a workperformance arrangement entered into
under subsection (1)—(a)is not employed
by the corporation; and(b)remainsanemployeeoftheemployingoffice,oranemployeeoftheothergovernmententitywhoseappropriate
authority is a party to the arrangement.(5)To
remove any doubt, it is declared that the corporation doesnot
have power to employ a person performing work for thecorporationunderaworkperformancearrangemententeredinto
under subsection (1).19Delegation(1)The corporation may delegate its
powers to—(a)a member of the corporation; or(b)the general manager of the
corporation; or(c)anappropriatelyqualifiedemployeeoftheemployingofficeorofanothergovernmententitywhoperformsworkforthecorporationunderaworkperformancearrangement;
or(d)an appropriately qualified employee of
the corporation.(2)In this section—appropriatelyqualifiedincludeshavingthequalifications,experience or
standing appropriate to exercise the power.Example of
standing—a person’s seniority level in an

consultants and legal andtechnical advisers as the corporation
considers necessary fromtime to time for enabling the
corporation to carry out its dutiesunder this
Act.(2)Thecorporationmayfromtimetotimeenterintoarrangementswithanybodyorpersonwithrespecttoanyinvestigation,studyorresearchthat,intheopinionofthecorporation, is
necessary or desirable for the purposes of thisAct.Division 2AGeneral
manager20AAppointment of general manager(1)There is to be a general manager of
the corporation.(2)The general manager is to be appointed

the corporation, the representative attending ameetinginplaceofthechiefexecutiveistakentobethechairperson, or
deputy chairperson, for the meeting.21Meetings of corporationThe corporation
shall, by its resolution, appoint the times andplacesatwhichitsmeetingswillbeheldandshallholditsmeetings as so resolved from time to
time.22Presiding at meetings(1)Thechairpersonofthecorporationshallpresideateverymeeting of the
corporation at which the chairperson is presentand, in the
chairperson’s absence, the deputy chairperson ofthe
corporation shall so preside, if the deputy chairperson ispresent.(2)Ifboththechairpersonanddeputychairpersonareabsentfromanymeetingthemembersofthecorporationwhoarepresent, if they constitute a quorum,
may appoint 1 of theirnumbertoactaschairpersonofthemeetingandsuchappointee may
preside at the meeting and exercise the powersand functions of
the chairperson.23Quorum at meetingsThe quorum of
the corporation shall consist of a majority ofthe number of
members of the corporation for the time beingholding
office.24Notice of meetings(1)Notice of every meeting or adjourned
meeting, other than ameeting adjourned to a later hour of
the same day on whichsuch meeting was appointed to be held,
shall be in writing andshall be given to each member of the
corporation at least 7days prior to the date appointed for

Tourism Queensland[s 25](2)However,incircumstanceswhichintheopinionofthechairperson of
the corporation or of 2 other members of thecorporation
constitute an emergency the chairperson or, as thecasemaybe,such2membersmayuponnoticetoallthemembers call a meeting of the corporation
and the same maybevalidlyheldnotwithstandingthatthenoticegivenisforless than the
time prescribed by subsection (1) for a notice ofmeeting.(3)A
notice of a meeting or an adjourned meeting may be giventoamemberofthecorporationbyprepaidpostletteraddressed to his
or her place of business or place of residencelast known to
the chairperson.25Adjournment of meetings(1)Thememberspresentatameetingofthecorporationmayadjourn the meeting from time to
time.(2)If a quorum is not present at a
meeting within 15 minutes afterthe time
appointed for the meeting to commence the memberor
members present or the majority of them if more than 2 arepresent may adjourn such meeting to any time
not later than14 days from the date of such
adjournment.(3)No provision of subsection (2) shall
be construed to preventthe adjournment of a meeting to a
later hour of the same dayon which such meeting was appointed to
be held.26Conduct of corporation’s
affairs(1)The corporation shall exercise or
perform a power, authority,function, duty
or obligation by majority vote of its memberspresent and
voting at the meeting at which such exercise ofperformance is
to occur.(1A)The person who
is duly presiding at a meeting, if the person isentitled to vote, shall have a deliberative
vote and, in the eventof an equality of votes, a casting

corporation shall cause to be recorded in a book providedforthepurpose(theminutebook),keptunderthesuperintendence of the chairperson of
the corporation—(a)particulars of all proceedings of the
corporation;(b)the names of the members of the
corporation present ateach meeting of the
corporation;(c)the names of all members voting on any
question beforethe corporation on which a division is
called.(2A)Every entry in
the minute book shall be signed at the meetingofthecorporationnextfollowingthemeetingatwhichtheproceedingstowhichtheentryrelatesweretaken,bythechairpersonofthecorporationorotherpersonwhodulypresides at such
next following meeting.(3)Everyentryintheminutebookpurportingtobesignedasprescribedandeverywritingpurportingtobeacopyoforextractfromsuchanentry(purportingtobesignedbythechairperson of the corporation and
sealed with the seal of thecorporation)
shall upon its production in any proceeding beevidence,andintheabsenceofevidencetothecontraryconclusive
evidence, of the matters contained therein withoutfurtherproofoftheregularityofthemeetingtowhichtheentry relates or of any other matter
referred to therein.27Custody of seal—authentication of
documents(1)The common seal of the corporation
shall be in the custody ofa person appointed by the
corporation.(2)The common seal shall not be affixed
to a document exceptunder the authority of a resolution of
the corporation and shallbeaffixedbythepersonwhohascustodyofthesealinaccordance with this Act.(3)ExceptwhereitisbythisActotherwiseprescribed,adocument made or issued by the corporation
for the purposesof this Act shall be sufficiently
authenticated if it is made or,as the case may
be, signed by the chairperson or other personauthorised by

members(1)Thissectionappliestoamemberofthecorporation(theinterested member) if—(a)the interested member has a direct or
indirect financialinterestinanissuebeingconsidered,orabouttobeconsidered, by the corporation;
and(b)the interest could conflict with the
proper performanceofthemember’sdutiesabouttheconsiderationoftheissue.(2)Assoonaspracticableaftertherelevantfactscometotheinterestedmember’sknowledge,themembermustdisclosethe nature of
the interest to a corporation meeting.(3)Unlessthecorporationotherwisedirects,theinterestedmember must
not—(a)be present when the corporation
considers the issue; or(b)take part in a
decision of the corporation about the issue.(4)Theinterestedmembermustnotbepresentwhenthecorporation is considering whether to
give a direction undersubsection (3).(5)If
there is another member of the corporation who must, undersubsection (2), also disclose an interest in
the issue, the othermember must not—(a)be
present when the corporation is considering whethertogiveadirectionundersubsection(3)abouttheinterested member; or(b)takepartinmakingthedecisionaboutgivingthedirection.(6)If—(a)because of this
section, a member of the corporation isnot present at a
corporation meeting for considering ordecidinganissue,orforconsideringordecidingwhether to give
a direction under subsection (3); and(b)there would be a quorum if the member were

corporation(1)TheentitycalledQueenslandHolidaysandTravel(thesubsidiary corporation) continues in
existence.(2)The subsidiary corporation—(a)is a body corporate; and(b)is to have a seal; and(c)mayacquire,holdanddisposeofrealandpersonalproperty whether
situated in or outside Queensland; and(d)may
sue and be sued in its corporate name.(3)Allcourtsandpersonsactingjudiciallyaretotakejudicialnotice of the seal of the subsidiary
corporation and, until thecontraryisproved,aretopresumethatthesealwasdulyaffixed to a
document on which it appears.29BFunctions of subsidiary corporation(1)The primary functions of the
subsidiary corporation are—(a)to
make tourism and travel arrangements; and(b)toactasanagentforanypersonorbody(whetherincorporatedorunincorporated)engagedintheprovision of

provisions30Funds to be maintainedThecorporationshallestablishandatalltimesmaintaininaccordance with this Act the following
funds—(a)a general fund;(b)a
trust fund.31General fund(1)The
corporation shall credit to the general fund—(a)allmoneysappropriatedfromtimetotimebyParliament for the purposes of the
corporation;(b)allmoneysreceivedbythecorporationbywayofcommissions;(c)all
moneys arising from any source when such moneysarenotrequiredbythisActtobepaidintoanyotherfund.(2)Moneys from time to time forming the
general fund shall beapplied to—(a)expenditureincurredintheexercise,performanceanddischarge of its powers, authorities,
functions and dutiessavewherethisActexpresslyprovidesthatsuchexpenditure should be charged to any other
fund kept bythe corporation;(d)crediting in accordance with the regulations
of moneysto a prescribed fund kept pursuant to
section 34.32Trust fund(1)The
corporation must credit to the trust fund all moneys paidby
way of deposit or in trust for any person (including touristand

travel operatorsshall be applied accordingly.(3)In this section, a reference to moneys
paid by way of depositis a reference to moneys paid as a
pledge and not to a depositof moneys as a
loan, subsidy or grant.34Other prescribed
funds(1)Aregulationmayprescribe1ormoreotherfundstobeestablished and kept by the
corporation and the purposes forwhich such funds
are to be applied.(2)The corporation shall establish and
