said Estates Buildings Pty. Limited is a subsidiary of theAustralianEstatesCompanyLimitedacompanydulyregistered in the State.3EstatesBuildingsPty.LimitedandtheAustralianEstatesCompany Limited (hereinafter jointly and
severally togetherwith their and each of their successors and
assigns called thecompanies)aredesirousofconstructingandthereaftermaintaining a
viaduct above the surface of the said HastingsStreet so as to
afford by means thereof direct communicationbetween the lands
of the said Estates Buildings Pty. Limitedhereinbefore

Brisbane City Council(thecouncil)theconsentofthecounciltotheconstructionand maintenance
of the said viaduct (so far as the council isempoweredtosoconsent)andanagreementinthatbehalfwason30October1962madeandenteredintobyandbetweenthecouncilandthecompanies(acopyofwhichagreement and of the sketch therein referred
to is set forth inthe schedule).5The
companies have procured the consents to the constructionandmaintenanceofthesaidviaductofthePostmaster-GeneraloftheCommonwealth,thecouncil,theBrisbane Gas Co. Ltd., and the Southern
Electric Authority ofQueensland.6The
companies are ready and willing in the construction andmaintenanceofthesaidviaducttocarryintoeffectandtoconforminallrespectswiththecovenants,conditions,stipulations and
provisoes set forth in the agreement betweenthe council and
the companies hereinbefore mentioned.7The
construction and maintenance of the said viaduct will beofgreatadvantagetothecompaniesincarryingontheirbusiness, and if
the terms and conditions in the said agreementset forth are at
all times observed and conformed with by thecompaniesthesaidviaductmaybeconstructedandmaintainedwithoutdisadvantagetothepublicortothecouncil or any
other persons or corporations possessing anypowers, rights or
authorities in respect of or in relation to thesaid street and
the surface of the same and the subsoil lyingthereunder.8Itisexpedientthatthecompaniesbegrantedauthoritytoconstructandmaintainthesaidviaductsubjecttotheprovisions in
this Act contained, and also subject to the termsand

New Farm(1)TheAustralianEstatesCompanyLimitedandEstatesBuildingsPty.Limited(hereinafterjointlyandseverallytogether with
their and each of their successors and assignscalled thecompanies) are hereby

Act and to the terms and conditions in the saidagreement set
forth, but without limitation of or prejudice totherightsorremediesofthecounciloranypersonorcorporation against the companies under the
said agreementnoactionorotherproceedingsshallbecommenced,prosecutedormaintainedagainstthecompaniesoranycontractorwiththesameoranypersonactingundertheauthorityofthesamefororinrespectoftheconstruction,maintenance,
continuance, repair, renewal or use of the saidviaductorthecarryingoutofanysubsidiaryworksinconnection therewith or in relation
thereto or for or in respectof the temporary
closing or partial closing of the said street totraffic during such time as may be necessary
for the carryingout of any works or subsidiary works in
connection with or inrelation to the said viaduct or for or
in respect of any damages,lossorexpenseoccasionedorallegedtobeoccasionedbyreasonofanysuchworksorsubsidiaryworks,orofanyobstructionorallegedobstructionofthesaidstreetorinanywise whatever
arising from the construction, maintenance,continuance,

hereto annexed.ANDWHEREASTheAustralianEstatesCompanyLimitedhasconstructed certain buildings on the
northern side of Hastings Street, NewFarmforthepurposeofitsbusinessofwoolbrokersstockandstationagents and dealers
in animal food and farming products and subject to theapproval of the Council The Australian
Estates Company Limited and itssubsidiary Estates
Buildings Pty. Limited which latter Company carries onthe
business of land acquisition and development and building erection
areabout to construct further buildings on the
southern side of Hastings Streetaforesaid.AND
WHEREAS the Companies for the purpose of the more convenientoperation of their business and for the
purpose of pedestrian access to andfromtheproposednewbuildingshaverequestedthepermissionoftheCouncil to construct a private viaduct
across and above the surface of thesaidroadwayatthelocationmarkedViaductonthesaidsketchplantoconnectthesaidlandsandthebuildingsconstructedandabouttobeconstructed thereupon
respectively.ANDWHEREAStheCompanieswarrantthattheyhavesecuredtheconsentsoftheBrisbaneGasCo.Ltd.,thePostmaster-GeneralandtheReprint 1Page

Council relying upon such warranty has consented tothe
construction of such viaduct subject to the covenants conditions
andstipulations and provisoes hereinafter set
forth.NOW THIS INDENTURE WITNESSETH and it is
hereby covenanted byand between the parties hereto as
follows—1SubjectashereinafterprovidedtheCouncilherebygrantspermission for
the construction by the Companies of a privateviaduct cross and
above Hastings Street at the position shownon the said
sketch plan for the purpose of connecting the landsof
Estates Buildings Pty. Limited hereinbefore described onthe
southern side of Hastings Street with the lands of EstatesBuildings Pty. Limited hereinbefore
described on the northernside of that street and the buildings
constructed or about to beconstructed thereupon
respectively.2The said viaduct shall be constructed
only across that part ofHastings Street markedViaducton the said
sketch plan. ThedesignandconstructionsshallbetothesatisfactionoftheChief Engineer and Manager of the
Council’s Department ofWorks,hereinaftercalledtheEngineer,andunlesstheCouncil shall agree in writing to any
variation thereof shallcomply with the following general
requirements—(a)It shall have a minimum clearance of
sixteen (16) feetabove the carriageway of Hastings Street and
fourteen(14) feet above the footpaths of Hastings
Street;(b)It shall have a roof and enclosed
sides for the full lengthof the structure with adequate windows
for lighting andventilation;(c)Itshallnotbewiderthanfourteen(14)feetbetweenexternal wall
faces.3The Companies shall give to the
Council fourteen (14) cleardays’noticeinwritingoftheirintentiontocommencethework
of constructing the said viaduct and the carrying out ofall
subsidiary works. Upon the expiration of the said noticethe
Companies shall proceed as expeditiously as possible withthe
construction of the work the subject of the said notice. IfPage

other than fire flood storm tempest or other actofGodorcausesbeyondthecontroloftheCompaniesthesaid
works once having been commenced shall not proceed tocompletionwithoutinterruptiontothesatisfactionoftheEngineer the Companies shall be liable
to pay to the Councilon demand by way of liquidated damages
and not by way ofpenalty a sum of Ten pounds (£10) for every
day or part of aday during which the work has been or has
been allowed bythe Companies to be interrupted.4The Companies shall at their own
expense make all necessaryarrangementswiththePostmaster-General,theCouncil,theBrisbane Gas Co. Ltd. and the Southern
Electric Authority ofQueenslandasmaybenecessaryforthedisconnectionshifting
alteration and or replacement of any conduits mainscables or pipes the property of the said
Postmaster-General,theCouncil,theBrisbaneGasCo.Ltd.,ortheSouthernElectric
Authority of Queensland as the case may be but theexecution hereof by the Council shall
connote and be deemedtoconnotetheconsentoftheCounciltoanyofthedisconnectingshiftingalterationandorreplacementofanyconduits mains cables or pipes the
property of the Council.5TheCompanieswillnotuseorpermitanyotherpersonwhomsoever other than its contractors
workmen servants andagents to use the said viaduct for any
purpose until the samehas been completed to the satisfaction
of the Engineer.6Thesaidviaductandallworkssubsidiarytheretoshallbeconstructed carried out and performed
in every particular instrict accordance with the plans and
specifications approvedbetweenandsignedbythepartiespriortotheexecutionhereof, a counterpart of which is
acknowledged to be held byeach party, and if the Companies shall
in the future deem itnecessary to alter the said plans of
the structures in relation tothesaidviaduct,thenallworksinaccordancewithsuchalteredplansshallbecarriedoutonlyaftertheapprovalinwriting of the Council under the hand of the
Town Clerk hasbeen first obtained.7TheCompaniesshallnotpermitthesaidviaductorthesupports thereof to operate as an
obstruction to the legal userof the road but
the Companies shall not be liable in an actionReprint 1Page

and expense in allthingsoftheCompaniestocarryoutallworksinrelationtothedisconnectingshiftingalterationandorreplacement and or the relaying of the
Council’s serviceinstallationsinHastingsStreetincludinganyconduitsdrainsmainscablesorpipesasaforesaidasmaybenecessary or
expedient in the opinion of the Engineer toenabletheCompanies tocarryoutthe constructionofthe
viaduct.(b)TheCompaniesshallondemandpaytotheCouncilprior
to the commencement thereof the estimated cost ofthe
work to be performed by the Council pursuant to thisclause.Uponcompletionoftheworktheactualcostshall
be ascertained and if the amount thereof exceedsthe
estimated cost the Companies will pay the excess tothe
Council on demand; alternatively should the actualcost
prove less than the estimated cost the Council willimmediately refund the difference to the
Companies. Inascertaining the estimated and actual cost
the Council’susualchargeof121/2percent.foradministrationandsupervision shall be included in each
case.(c)The Companies
will bear all risk and responsibility ofandincidentaltothebuildingconstructionandmaintenanceofthesaidviaductandifatanytimeortimeshereafteranysubsidenceorotherdamageorinjury shall result to the roadway of
Hastings Street oranysewersmainsorpipeslaidinHastingsStreetorelectricityorotherserviceinstallationsthereinorthereonbyreasonofthebuildingconstructionmaintenance or
existence of the said viaduct or the usethereoforoftheescapetherefromofanywatergaselectricity or any fluid force energy
substance or thingtheCompanieswillpaytotheCounciltheamountofany
expenses incurred by the Council in making goodand reinstating
the said roadway sewers mains pipes andservice
installations and the Companies will at all timeskeeptheCouncilindemnifiedagainstallclaimsPage 12Reprint 1

Street, New Farm, Viaduct Authorization Act1962Scheduledemandsproceedingsdamagesorcostsbyorattheinstanceofanypersonorbodyinrelationtoorinconnectionwiththeconstructionbuildingorexistenceof the viaduct or
any injury or accident arising therefromor from the use
thereof or from the escape therefrom ofanywatergasorelectricityoranyfluidforceenergysubstance or
thing whatsoever.9TheCouncilwillfromtimetotimeasmaybenecessaryarrange for the temporary closure of
Hastings Streetor anypart thereof
during the period of construction and during anyperiodthereafterrequiredforthemaintenanceofthesaidviaduct.10At all reasonable times the Council
shall be at liberty to enterthe lands
hereinbefore described and the viaduct and inspectthe
progress of the works associated with the said constructionof
the viaduct and after the completion thereof the like
libertyto enter the said lands and inspect the said
viaduct during theexistence thereof and the Companies
undertake and agree thatat all times they shall at their own
cost and expense maintainthesaidviaductandthesupportsthereofandallpipesandother services therein and all
appurtenances pertaining theretoin a good and
substantial state and condition of repair and theCouncil may from time to time by notice in
writing inform theCompanies of all defects or want of
maintenance or repair andifanysuchnoticebenotobeyedtothesatisfactionoftheEngineer within such time as may be
prescribed in such noticethe Council may itself perform the
work and reparation andrecoverallcostschargesandexpensesinconnectiontherewith from
the Companies.11ShouldEstatesBuildingsPty.LimitedorTheAustralianEstatesCompanyLimitedoranyofitssubsidiariesatanytime cease to be the owner of the land
abutting either end oftheviaducttheCouncilshallhavetherightatanytimethereafter by resolution to divest the
property in the viaductfrom Estates Buildings Pty. Limited or

subsidiaries and vest the sameabsolutelyintheCouncilandtheCouncilmayatanytimeaftermakingthesaidresolutioncloseremoveorotherwisedealwiththesaidviaductinanymanneritthinksfitandReprint 1Page

payment shall be madetotheCompaniesonaccountofsuchdivestingorvesting:Provided always
and it is expressly agreed that this right shallnot
enure to the Council in the event of the acquisition fromEstates Buildings Pty. Limited by any other
person companycorporation society or association of both
such abutting landsatthesametime.IntheeventoftheCouncilremovingtheviaduct in exercise of the right
contained in this clause it shallnot be
responsible to make good any part of the building orbuildings structure or structures on the
abutting lands to whichthe said viaduct was attached or
connected immediately priorto removal.12The
Companies shall be entitled to use the said viaduct onlyfor
the passage without vehicles of their employees servantsagentscontractorsandinviteesandfortheconveyancebymechanicalconveyorsorbymotorisedvehiclesorbyanyothermeansofwoolandwoolproducts,andfortheconveyancebypipesorconduitsofwaterandelectricalcurrentsandanyothersubstanceofanyotherkindusedoremployed by the
Companies in the conduct of their businessas aforesaid
which may be approved by the Council; but it isexpressly agreed
that the said viaduct is intended to be used inconnection with
the ownership of the lands described in therecitals to
this1agreement and for the purposes of any
worksand operations and of any industry conducted
in any buildingserected thereon and shall not be deemed to
be public utilities.13Allquestionsordifferenceswhatsoeverwhichmayarisebetween the
Council and the Companies as to the said viaductandorsubsidiaryworksaswellastotheconstructionandmeaning of this agreement and as to anything
to be done orobserved or omitted to be done or observed
hereunder shall(indefaultofanyothermutualagreementbeingarrivedatbetween the parties) be referred to two
arbitrators one to beappointed by each party or their
umpire to be appointed beforeentering upon the
business of the reference and in either casein accordance
with the provisions ofThe Interdict Act of 1867oranystatutorymodificationthereofforthetimebeinginforce.Page 14Reprint 1

continuance of the said viaductandforthetemporaryclosingorpartialclosingofthesaidroadway and footways or part of the roadway
and footways totrafficduringsuchconstructionandormaintenanceandduringthecarryingoutofanyoftheworksincidentalandnecessaryinrespectofthedisconnectingshiftingalterationreplacement and
or relaying of any conduits mains cables orpipes by the
Council or any other appropriate authority.15Inthisagreementthetermviaductshall,unlessthecontextotherwiseindicatesorrequires,beconstruedtoincludethesupports of the said viaduct.16Allcostschargesandexpensesofandincidentaltothepreparationandcompletionofthisagreementincludingthestamp duty thereon shall be borne and
