guid="_bd337f22-f357-4c19-970c-d07d2ada6d81" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.3-ssec.1-def.fault" guid="_488b95ff-ed3b-477b-afa8-ab352b350249" type="definition">fault</defterm> means wrongful act or default.</txt></definition><definition id="sec.3-ssec.1-def.futuregoods_" guid="_de7f7341-421c-4118-852b-66715f691a7b" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.3-ssec.1-def.futuregoods" guid="_dafeb450-d3dd-46f0-943a-e4293f5f0e1b" type="definition">future goods</defterm> means goods to be manufactured or acquired by the seller after the making of the contract of sale.</txt></definition><definition id="sec.3-ssec.1-def.goods_" guid="_c74422fe-9f2c-4986-a711-c50492f40ef7" other than things in action and money, and also includes emblements and things attached to or forming part of the land which are agreed to be severed before sale or under the contract of id="sec.3-ssec.1-def.warranty" guid="_a54b093e-084d-427a-97e9-bb34435e26a7" type="definition">warranty</defterm> means an agreement with reference to goods which are the subject of a contract of sale but collateral to the main purpose of such contract, the breach of which gives rise to a claim for damages but not to a right to reject the goods and treat the contract as repudiated.</txt></definition></deflist></block></subclause><subclause id="sec.3-ssec.2" guid="_232fe6e5-fbc7-45cb-95a0-2bc09a0d4a46" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">A thing is deemed to be done <defterm id="sec.3-def.ingoodfaith" guid="_ae0972f0-055d-4267-adec-b5024cd92049" type="definition">in good faith</defterm> within the meaning of this Act when it is in fact done honestly, whether it is done negligently or not.</txt></block></subclause><subclause id="sec.3-ssec.3" guid="_0af0f939-2b57-4499-a2f8-30dd64320dda" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">A person is deemed to be insolvent within the meaning of this Act who either has ceased to pay the person’s debts in the ordinary course of business, or cannot pay the person’s debts as they become due, whether the person has committed an act of insolvency or guid="_44821c00-ee43-4f30-9ac6-7a10e3e3b382" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">A contract of sale of goods is a contract whereby the seller transfers or agrees to transfer the property in goods to the buyer for a money consideration, called the <defterm id="sec.4-def.price" guid="_2069851f-0e84-4646-a9ff-0efa224ee4df" type="definition">price</defterm>.</txt></block></subclause><subclause id="sec.4-ssec.1A" guid="_f15ed858-ae50-4a7a-b66e-e19fc5b7fec7" affected.by.uncommenced="0" provision.type="other"><no>(1A)</no><block><txt break.before="0">There may be a contract of sale between one part owner and another.</txt></block></subclause><subclause id="sec.4-ssec.2" guid="_79e496ad-9cb1-422b-a022-925b044f8c11" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">A contract of sale may be absolute or conditional.</txt></block></subclause><subclause id="sec.4-ssec.3" guid="_3f8d4adb-da20-4691-b786-9f537379fef0" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">When under a contract of sale the property in the goods is transferred from the seller to the buyer the contract is called a <defterm id="sec.4-def.sale" guid="_9b5f085c-dedd-4786-8cf3-e28d55fafe6b" type="definition">sale</defterm>; but when the transfer of the property in the goods is to take place at a future time or subject to some condition thereafter to be fulfilled the contract is called an <defterm id="sec.4-def.agreementtosell" guid="_a7e8cf9e-a19f-4f8c-bc25-d553f2caf633" type="definition">agreement to sell</defterm>.</txt></block></subclause><subclause id="sec.4-ssec.4" guid="_a4efdb34-2971-4281-91f8-f1121308bc61" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">An agreement to sell becomes a sale when the time has elapsed or the conditions have been fulfilled subject to which the property in the goods is to be provision.type="other"><no>(1)</no><block><txt break.before="0">Capacity to buy and sell is regulated by the general law concerning capacity to contract, and to transfer and acquire property.</txt></block></subclause><subclause id="sec.5-ssec.2" guid="_522edb3e-1f8b-4533-857e-7527fc2b0229" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">However, when necessaries are sold and delivered to an infant, or to a person who by reason of mental incapacity or drunkenness is incompetent to contract, the person must pay a which form the subject of a contract of sale may be either existing goods, owned or possessed by the seller, or future goods.</txt></block></subclause><subclause id="sec.8-ssec.2" sale of specific goods, and the goods without the knowledge of the seller have perished at the time when the contract is made, the contract is void.</txt></block></clause><clause id="sec.10" perishing before sale, but after agreement to sell</heading><block><txt break.before="1">When there is an agreement to sell specific goods, and subsequently the goods, without any fault on the part of the seller or buyer, perish before the risk passes to the buyer, the agreement is avoided.</txt></block></clause></division><division id="pt.2-div.4" guid="_a54f1ad0-d989-4aaa-a32b-8ae1ab21fb26" provision.type="other"><no>(1)</no><block><txt break.before="0">The price in a contract of sale may be fixed by the contract, or may be left to be fixed in manner thereby agreed, or may be determined break.before="1">When there is a contract for the sale of goods by description there is an implied condition that the goods shall correspond with the description; and if the sale is by sample, as well as by description, it is not sufficient that the bulk of the goods corresponds with the sample if the goods do not also correspond with the description.</txt></block></clause><clause id="sec.17" exchange, the buyer is bound to return the bill of lading if the buyer does not honour the bill of exchange, and if the buyer wrongfully retains the bill of lading the property in the goods does not until the property therein is transferred to the buyer, but when the property therein is transferred to the buyer, the goods are at the buyer’s risk whether delivery has been made or is prosecuted to conviction, the property in the goods so stolen revests in the person who was the owner of the goods, or the person’s personal representative, notwithstanding any intermediate dealing sale, has the same effect as if the person making the delivery or transfer were expressly authorised by the owner of the goods to make the same.</txt></block></subclause><subclause id="sec.27-ssec.2" documents of title under any sale, pledge, or other disposition thereof, to any person receiving the same in good faith and without notice of any lien or other right of the original seller in respect of the goods, has the same effect as if the person making the delivery or transfer were a mercantile agent in possession of the goods or documents of title with the consent of the guid="_ed8807fc-424a-4dc4-a474-a3e81327ca28" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">A writ of fieri-facias or other writ of execution against goods binds the property in the goods of the execution debtor as from the time when the writ is delivered to the sheriff to be executed; and, for the better manifestation of such time, it is the duty of the sheriff upon the receipt of any such writ to endorse upon the back thereof the hour, day, month, and year when the sheriff received it.</txt></block></subclause><subclause id="sec.28-ssec.1A" guid="_27fb222d-d381-4163-900d-0c54c3730520" affected.by.uncommenced="0" provision.type="other"><no>(1A)</no><block><txt break.before="0">But the delivery of such a writ to the sheriff does not prejudice the title to such goods acquired by any person in good faith and for valuable consideration, unless such person had at the time when the person acquired the person’s title notice that such writ or any other writ by virtue of which the goods of the execution debtor might be seized or attached had been delivered to and remained unexecuted in the hands of the sheriff.</txt></block></subclause><subclause id="sec.28-ssec.2" guid="_b0bfde32-93ee-40d8-902b-bc734e6b68ef" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt of the seller to deliver the goods, and of the buyer to accept and pay for them, in accordance with the terms of the contract of sale.</txt></block></clause><clause id="sec.30" and delivery are concurrent conditions</heading><block><txt break.before="1">Unless otherwise agreed, delivery of the goods and payment of the price are concurrent conditions, that is to say, the seller must be ready and willing to give possession of the goods to the buyer in exchange for the price, and the buyer must be ready and willing to pay the price in exchange for possession of the goods.</txt></block></clause><clause id="sec.31" guid="_5e5025c4-15ae-48e2-8516-94c68401d40f" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>31</no><heading id="sec.31-he" guid="_5b0665d8-b707-45d9-a8e3-d355274d34fa">Rules as to delivery</heading><subclause id="sec.31-ssec.1" guid="_4a8bed1f-b79f-4330-84de-8f8482b7c5de" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">Whether it is for the buyer to take possession of the goods or for the seller to send them to the buyer is a question depending in each case on the contract, express or implied, between the parties.</txt></block></subclause><subclause id="sec.31-ssec.1A" guid="_446f640c-edf9-4cff-a57d-9c874fb305a7" affected.by.uncommenced="0" provision.type="other"><no>(1A)</no><block><txt break.before="0">Apart from any such contract, express or implied, the place of delivery is the seller’s place of business, if the seller has one, and if not, the seller’s residence.</txt></block></subclause><subclause id="sec.31-ssec.1B" guid="_2a5d62dc-c1a3-4feb-acae-5768d88101f1" affected.by.uncommenced="0" provision.type="other"><no>(1B)</no><block><txt break.before="0">However, if the contract is for the sale of specific goods which to the knowledge of the parties when the contract is made are in some other place, then that place is the place of delivery.</txt></block></subclause><subclause id="sec.31-ssec.2" guid="_79b0d241-6461-439a-a3ac-20814bfa0fcc" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">When under the contract of sale the seller is bound to send the goods to the buyer, but no time for sending them is fixed, the seller is bound to send them within a reasonable time.</txt></block></subclause><subclause id="sec.31-ssec.3" guid="_f9ba169e-ceba-4dc9-bf48-6e0d03672026" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">When the goods at the time of sale are in the possession of a third person, there is no delivery by the seller to the buyer unless and until such third person acknowledges to the buyer that the third person holds the goods on the buyer’s behalf.</txt></block></subclause><subclause id="sec.31-ssec.4" guid="_daaacd26-df21-4ae9-8676-2b34813dfa0a" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">Demand or tender of delivery may be treated as ineffectual unless made at a reasonable hour.</txt></block></subclause><subclause id="sec.31-ssec.4A" guid="_3c16ec6f-5c68-4319-8c78-bdb0cee66d5c" affected.by.uncommenced="0" provision.type="other"><no>(4A)</no><block><txt break.before="0">What is a reasonable hour is a question of fact.</txt></block></subclause><subclause id="sec.31-ssec.5" provision.type="other"><no>(6)</no><block><txt break.before="0">This section does not affect the operation of the issue or transfer of any document of title to id="sec.32-he" guid="_f6d03b75-b2cd-4405-a8c9-52468eb7f24a">Delivery of wrong quantity</heading><subclause id="sec.32-ssec.1" guid="_b523cf7c-8827-42c0-9e28-92837bc9d7f1" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">When the seller delivers to the buyer a quantity of goods less than the seller contracted to sell, the buyer may reject them, but if the buyer accepts the goods so delivered the buyer must pay for them at the contract rate.</txt></block></subclause><subclause id="sec.32-ssec.2" guid="_408febda-0f89-4264-afab-fb4f802af3d9" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">When the seller delivers to the buyer a quantity of goods larger than the seller contracted to sell, the buyer may accept the goods included in the contract and reject the rest, or the buyer may reject the whole.</txt></block></subclause><subclause id="sec.32-ssec.2A" guid="_d881df82-7f66-41cf-897a-9a10518a1a9b" affected.by.uncommenced="0" provision.type="other"><no>(2A)</no><block><txt break.before="0">If the buyer accepts the whole of the goods so delivered the provision.type="other"><no>(3)</no><block><txt break.before="0">When the seller delivers to the buyer the goods which the seller contracted to sell mixed with goods of a different description not included in the contract, the buyer may accept the goods which are in accordance with the contract and reject the rest, or the buyer may reject the whole.</txt></block></subclause><subclause is not bound to accept delivery of them by instalments.</txt></block></subclause><subclause id="sec.33-ssec.2" guid="_725b3f11-d03e-408b-9f40-a18640320723" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">When there is a contract for the sale of goods to be delivered by stated instalments, which are to be separately paid for, and the seller makes defective deliveries in respect of 1 or more instalments, or the buyer neglects or refuses to take delivery of or pay for 1 or more instalments, it is a question in each case depending on the terms of the contract and the circumstances of the case, whether the breach of contract is a repudiation of the whole contract or whether it is a severable breach giving rise to a claim for compensation but not to a right to treat the whole contract as repudiated.</txt></block></subclause></clause><clause id="sec.34" guid="_92729642-8037-404d-bfe1-67e60c74b9f2" the seller is authorised or required to send the goods to the buyer, delivery of the goods to a carrier, whether named by the buyer or not, for the purpose of transmission to the buyer is prima facie deemed to be a delivery of the goods to the buyer.</txt></block></subclause><subclause id="sec.34-ssec.2" guid="_939c33dc-3ee9-4699-adca-dc0dfb271d9e" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">Unless otherwise authorised by the buyer, the seller must make such contract with the carrier on behalf of the buyer as may be to treat the delivery to the carrier as a delivery to himself or herself, or may hold the seller responsible in damages.</txt></block></subclause><subclause id="sec.34-ssec.3" guid="_3c352098-424d-4958-ae61-39ca0ca2a0ab" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">Unless otherwise agreed, when goods are sent by the seller to the buyer by a route involving sea transit, under circumstances in which it is usual to insure, the seller must give such notice to the buyer as may enable the buyer to insure them during their sea transit, and if the seller fails to do so, the goods are deemed to be at the seller’s risk during such sea transit.</txt></block></subclause></clause><clause id="sec.35" where goods are delivered at distant place</heading><block><txt break.before="1">When the seller of goods agrees to deliver them at the seller’s own risk at a place other than that where they are when sold, the buyer must, nevertheless, unless otherwise agreed, take any risk of deterioration in the goods necessarily incident to the course of transit.</txt></block></clause><clause id="sec.36" break.before="0">When goods are delivered to the buyer, which the buyer has not previously examined, the buyer is not deemed to have accepted them unless and until the buyer has had a reasonable opportunity of examining them for the purpose of ascertaining whether they are in conformity with the contract.</txt></block></subclause><subclause id="sec.36-ssec.2" the lapse of a reasonable time, the buyer retains the goods without intimating to the seller that the buyer has rejected them.</txt></block></clause><clause id="sec.38" affected.by.uncommenced="0"><no>(b)</no><block><txt break.before="0">when a bill of exchange or other negotiable instrument has been received as conditional payment, and the condition on which it was received has not been fulfilled by reason of the dishonour of the instrument or otherwise.</txt></block></li></list></block></subclause><subclause id="sec.40-ssec.2" guid="_8e3eef2c-414a-4a14-862a-315fc82c4bf1" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">In this Part—</txt><deflist><definition the goods has the right of stopping them <defterm guid="_c57b4adf-7f62-4ea4-ae98-e9a02fc34539" type="mention">in transitu</defterm>, that is to say, the unpaid seller may resume possession of the goods as long as they are in course of transit, and may retain them until payment or tender of the price.</txt></block></clause><clause id="sec.46" guid="_707a074f-8579-4643-8090-e7fc1602b7d2" from the time when they are delivered to a carrier by land or water, or other bailee, for the purpose of transmission to the buyer, until the buyer, or the buyer’s agent in that behalf, takes delivery of them from such carrier or other bailee.</txt></block></subclause><subclause id="sec.46-ssec.2" guid="_4868ff14-741f-440b-8cc8-85d0799eaf42" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">If the buyer or the buyer’s agent in that behalf obtains delivery of the goods before their arrival at the appointed destination, the transit is at an end.</txt></block></subclause><subclause id="sec.46-ssec.3" guid="_92af26db-5f51-44db-a96e-e093f0259d2b" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">If, after the arrival of the goods at the appointed destination, the carrier or other bailee acknowledges to the buyer, or the buyer’s agent, that the carrier or other bailee holds the goods on the buyer’s behalf and continues in possession of them as bailee for the buyer or the buyer’s agent, the transit is at an end, and it is immaterial that a further destination for the goods may have been indicated by the buyer.</txt></block></subclause><subclause id="sec.46-ssec.4" guid="_b7a90d6b-8912-4570-90fb-1b7eb7646fd3" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">If the goods are rejected by the buyer and the carrier or other bailee continues in possession of them, the transit is not deemed to be at an end, even if the seller has refused to receive them back.</txt></block></subclause><subclause id="sec.46-ssec.5" guid="_45bdb6fd-4309-4f98-92f0-39c068067e26" affected.by.uncommenced="0" provision.type="other"><no>(5)</no><block><txt break.before="0">When goods are delivered to a ship chartered by the buyer it is a question depending on the circumstances of the particular case, whether they are in the possession of the master as a carrier or as agent to the buyer.</txt></block></subclause><subclause id="sec.46-ssec.6" guid="_7af9bcc3-6855-4705-9505-70113c9a8542" affected.by.uncommenced="0" provision.type="other"><no>(6)</no><block><txt break.before="0">When the carrier or other bailee wrongfully refuses to deliver the goods to the buyer or the buyer’s agent in that behalf, the transit is deemed to be at an end.</txt></block></subclause><subclause id="sec.46-ssec.7" guid="_f397e23b-32c9-48ec-a216-0a7bb56c709b" affected.by.uncommenced="0" provision.type="other"><no>(7)</no><block><txt break.before="0">When part delivery of the goods has been made to the buyer, or the buyer’s agent in that behalf, the remainder of the goods may be stopped <defterm guid="_06708232-9d2c-4b81-98da-42d9c92716db" type="mention">in transitu</defterm>, unless such part delivery has been made under such circumstances as to show an agreement to give up possession of the whole of the goods.</txt></block></subclause></clause><clause id="sec.47" guid="_7b695331-7693-449b-9076-34de78a17130" affected.by.uncommenced="0" spent.amends="0" guid="_08c1593f-351f-470a-acb0-2043bcc080a6" type="mention">in transitu</defterm> either by taking actual possession of the goods, or by giving notice of the unpaid seller’s claim to the carrier or other bailee in whose possession the goods are.</txt></block></subclause><subclause id="sec.47-ssec.1A" guid="_89a594c0-4238-4386-bc08-7dd122739429" affected.by.uncommenced="0" provision.type="other"><no>(1A)</no><block><txt break.before="0">Such notice may be given either to the person in actual possession of the goods or to the person’s principal.</txt></block></subclause><subclause id="sec.47-ssec.1B" guid="_4edac1c9-b665-4966-9347-5283d42c7d1e" affected.by.uncommenced="0" provision.type="other"><no>(1B)</no><block><txt break.before="0">In the latter case the notice, to be effectual, must be given at such time and under such circumstances that the principal, by the exercise of reasonable diligence, may communicate it to the principal’s servant or agent in time to prevent a delivery to the buyer.</txt></block></subclause><subclause id="sec.47-ssec.2" guid="_462eb626-b777-4e15-a1f2-599ec299d576" transitu</defterm> is given by the seller to the carrier, or other bailee in possession of the goods, the carrier or other bailee must re-deliver the goods to, or according to the directions of, the mentioned transfer was by way of sale the unpaid seller’s right of retention or stoppage <defterm guid="_5b4e6133-8f4c-4e8c-84c7-952e1ab25057" type="mention">in transitu</defterm> is defeated, and if such last mentioned transfer was by way of pledge or other disposition for value, the unpaid seller’s right of retention or stoppage <defterm guid="_ec113765-552a-42de-a94b-facf83d76e23" id="sec.53-ssec.1" guid="_c36130a6-0391-4024-8f40-6df78d93bc1f" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">In an action for breach of contract to deliver specific or ascertained goods the court may, if it thinks fit, on the application of the plaintiff, by its judgment direct that the contract shall be performed specifically, without giving the defendant the option of retaining the goods on payment of damages.</txt></block></subclause><subclause id="sec.53-ssec.2" guid="_2ff6b863-4368-4ba1-b7bc-d6a76f2c6232" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">The judgment may be unconditional, or upon such terms and conditions as to damages, payment of the price, and otherwise, as to the court seller, or when the buyer elects, or is compelled, to treat a breach of a condition on the part of the seller as a breach of warranty, the buyer is not by reason only of such breach of warranty entitled to reject the goods; but the buyer may—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.54-ssec.1-para1.a" guid="_bde3751d-2636-4b18-baa5-fec5d316317f" provision.type="other" affected.by.uncommenced="0"><no>(a)</no><block><txt break.before="0">set up against the seller the breach of warranty in diminution or extinction of the price; or</txt></block></li><li id="sec.54-ssec.1-para1.b" guid="_52a08648-ef6b-4d9f-ac65-ba74e79e4fd0" provision.type="other" affected.by.uncommenced="0"><no>(b)</no><block><txt break.before="0">maintain an affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">The measure of damages for breach of warranty is the estimated loss directly and naturally resulting, in the ordinary course of events, from the breach of warranty.</txt></block></subclause><subclause id="sec.54-ssec.3" guid="_e0e5cde9-1987-41a2-9b3c-ab30dc1aabee" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">In the case of breach of warranty of quality such loss is prima facie the difference between the value of the goods at the time of delivery to the buyer and the value which they would have had if they had answered to the warranty.</txt></block></subclause><subclause id="sec.54-ssec.4" guid="_675f604f-6893-44bd-9410-cea3b0717cdf" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">The fact that the buyer has set up the breach of warranty in diminution or extinction of the price does not damages in any case in which by law interest or special damages are recoverable, or to recover money paid when the consideration for the payment of it has
