check="valid">schedule&#160;3</intref>, comes into operation immediately before the <legref jurisd="CTH" type="act" target.doc.id="act-2001-050" target.version.series="C2004A00818" check="valid"><name emphasis="yes">Corporations Act 2001</name> (Cwlth)</legref>, as originally enacted, comes into operation.</txt></block></subclause><subclause id="sec.2-ssec.2" guid="_94107415-b5bc-4d51-a909-442d0018a56b" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0"><intref refid="sch.3" target.guid="_6cbfe9a3-fd01-4aab-9214-c3093adb8448" check="valid">Schedule&#160;3</intref> comes into operation when the <legref jurisd="CTH" type="act" target.doc.id="act-2001-050" target.version.series="C2004A00818" check="valid"><name emphasis="yes">Corporations Act 2001</name> (Cwlth)</legref>, as originally enacted, comes into operation.</txt></block></subclause></clause><clause id="sec.3" guid="_8f33ba9b-c1a5-47b4-82c0-30b79b0632cb" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>3</no><heading id="sec.3-he" guid="_549a4379-e9fa-40cf-b208-f86f4ce8ffa4">Purpose</heading><block><txt break.before="1">The purpose of this Act is to enact ancillary provisions, including transitional provisions, relating to the enactment by the Parliament of the Commonwealth of new corporations legislation and new ASIC legislation under its legislative powers, including powers with respect to matters referred to that Parliament for the purposes of <legref jurisd="CTH" type="act" refid="sec.51" check="invalid">section&#160;51</legref><legref jurisd="CTH" type="act" refid="sec.51-para1.xxxvii" check="invalid">(xxxvii)</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">Commonwealth Constitution</name></legref>.</txt><note id="sec.3-note" guid="_95979293-6d2b-40b5-a3df-8f911fb4a668" type="example"><heading id="sec.3-note-he" guid="_af55e5b8-5432-44e3-a0de-a333048315e5">Note—</heading><block><txt break.before="1">The <legref jurisd="QLD" type="act" target.doc.id="act-2001-043" target.version.series="75549e7e-11b5-42fd-92ad-77b98e4ec811" check="valid"><name emphasis="yes">Corporations (Commonwealth Powers) Act 2001</name></legref> refers certain matters relating to corporations and financial products and services to the Parliament of the Commonwealth for the purposes of <legref jurisd="CTH" type="act" refid="sec.51" check="invalid">section&#160;51</legref><legref jurisd="CTH" type="act" refid="sec.51-para1.xxxvii" check="invalid">(xxxvii)</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">Constitution</name></legref>.</txt></block></note></block></clause><clause id="sec.4" guid="_0e99041d-b1c3-45ee-8157-74e40e2f7227" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>4</no><heading id="sec.4-he" guid="_a2d4301e-2a6f-496a-9baa-e7fab1a82cf3">Definitions</heading><subclause id="sec.4-ssec.1" guid="_d23e441e-8dae-4f21-a7c7-fa85bdd91656" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">In this Act—</txt><deflist><definition id="sec.4-ssec.1-def.ASIC_" guid="_356f9bde-42fb-4a47-a5f3-341518684755" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.ASIC" guid="_57286a01-351f-417c-8872-5551c863f16c" type="definition">ASIC</defterm> means the Australian Securities and Investments Commission.</txt></definition><definition id="sec.4-ssec.1-def.carriedoverprovision_" guid="_1830ed77-898e-417f-9367-5025ea373ad2" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.carriedoverprovision" guid="_e767770d-3d46-4edc-89fd-cb65f71e5128" type="definition">carried over provision</defterm>—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.4-ssec.1-def.carriedoverprovision-para1.a" guid="_dc188275-1e8d-4863-acfd-e830467d8dcd" provision.type="other"><no>(a)</no><block><txt break.before="0">of the old corporations legislation means a provision of that legislation that—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.4-ssec.1-def.carriedoverprovision-para1.a-para2.i" guid="_1eb633be-47f7-424d-b85c-2effe77ea8b4" provision.type="other"><no>(i)</no><block><txt break.before="0">was in force immediately before the relevant time; and</txt></block></li><li id="sec.4-ssec.1-def.carriedoverprovision-para1.a-para2.ii" guid="_b880d3dc-76a7-4b25-997a-5f2688793909" provision.type="other"><no>(ii)</no><block><txt break.before="0">corresponds to a provision of the new corporations legislation; and</txt></block></li></list></block></li><li id="sec.4-ssec.1-def.carriedoverprovision-para1.b" guid="_1832386f-3cca-4228-a8b1-8eb9e43681af" provision.type="other"><no>(b)</no><block><txt break.before="0">of the old ASIC legislation means a provision of that legislation that—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.4-ssec.1-def.carriedoverprovision-para1.b-para2.i" guid="_87ca57ba-987d-4acb-9ffb-33de2d62ffab" provision.type="other"><no>(i)</no><block><txt break.before="0">was in force immediately before the relevant time; and</txt></block></li><li id="sec.4-ssec.1-def.carriedoverprovision-para1.b-para2.ii" guid="_fe04dd5b-e808-400c-849d-b3438d44dc25" provision.type="other"><no>(ii)</no><block><txt break.before="0">corresponds to a provision of the new ASIC legislation.</txt></block></li></list></block></li></list></definition><definition id="sec.4-ssec.1-def.cooperativeschemelaw_" guid="_2bc9c06c-a49a-4023-8e2b-6838251bd45a" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.cooperativeschemelaw" guid="_b1300a9a-ebc2-4440-85f9-21e79882a778" type="definition">cooperative scheme law</defterm> has the meaning given by the <legref jurisd="QLD" type="act" target.doc.id="act-1990-098" target.version.series="bc758956-79d0-4dfa-8277-e0cd70553851" check="valid"><name emphasis="yes">Corporations (Queensland) Act 1990</name></legref>, <legref jurisd="QLD" type="act" refid="sec.84" target.doc.id="act-1990-098" target.version.series="bc758956-79d0-4dfa-8277-e0cd70553851" target.guid="_d9f11df5-6b29-4115-8eb6-ed8ff5f7d064" check="valid">section&#160;84</legref>.</txt></definition><definition id="sec.4-ssec.1-def.corresponds_" guid="_f92d2525-683e-4687-8543-6bb2a9218144" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.corresponds" guid="_74d73fcc-ea89-48a0-aeed-a67e55c30402" type="definition">corresponds</defterm> has a meaning affected by <intref refid="sec.5" target.guid="_98e52d69-c69d-4728-b1f6-c87c85229489" check="valid">section&#160;5</intref>.</txt></definition><definition id="sec.4-ssec.1-def.lawoftheState_" guid="_b5ca6f88-023b-420d-b6af-f226f046963b" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.lawoftheState" guid="_a924e258-d860-4460-90a2-f7642cb722eb" type="definition">law of the State</defterm> includes a statutory instrument and any other instrument of a legislative character made under an Act.</txt></definition><definition id="sec.4-ssec.1-def.liability_" guid="_cf5f6d7d-2022-48ff-8c08-237bb208de1b" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.liability" guid="_6d9bb8b1-ffd5-4ef8-9864-63d97107caef" type="definition">liability</defterm> includes duty and obligation.</txt></definition><definition id="sec.4-ssec.1-def.made_" guid="_feee7816-6773-4486-9b24-4c1eeca06aaf" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.made" guid="_dde13331-9f13-4475-b0c1-fbe9b8b07dd9" type="definition">made</defterm> includes issued, given and published.</txt></definition><definition id="sec.4-ssec.1-def.nationalschemelawofthisjurisdiction_" guid="_f2b55321-a8c6-47d1-a956-b3ebaa9d35c0" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.nationalschemelawofthisjurisdiction" guid="_dc53d025-7bc0-4573-ad1b-d731eb57ca0e" type="definition">national scheme law of this jurisdiction</defterm> has the same meaning as in the <legref jurisd="QLD" type="act" target.doc.id="act-1990-098" target.version.series="bc758956-79d0-4dfa-8277-e0cd70553851" check="valid"><name emphasis="yes">Corporations (Queensland) Act 1990</name></legref>, <legref jurisd="QLD" type="act" refid="sec.3" target.doc.id="act-1990-098" target.version.series="bc758956-79d0-4dfa-8277-e0cd70553851" target.guid="_a75589fc-e69e-481c-b0dd-3bcef0dea7f4" check="valid">section&#160;3</legref><legref jurisd="QLD" type="act" refid="sec.3-ssec.1" target.doc.id="act-1990-098" target.version.series="bc758956-79d0-4dfa-8277-e0cd70553851" target.guid="_8324cf0f-d4fd-4275-b39e-95c1b3c39bed" check="valid">(1)</legref>.</txt></definition><definition id="sec.4-ssec.1-def.newASICAct_" guid="_5155360a-1860-4756-bdb5-838e375d4e10" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.newASICAct" guid="_cb0c7594-6267-4ad3-b2c3-f21c7f1ceae5" type="definition">new ASIC Act</defterm> means the <legref jurisd="CTH" type="act" target.doc.id="act-2001-051" target.version.series="C2004A00819" check="valid"><name emphasis="yes">Australian Securities and Investments Commission Act 2001</name> (Cwlth)</legref>.</txt></definition><definition id="sec.4-ssec.1-def.newASIClegislation_" guid="_051a4444-4950-416f-a6b0-0b6fb523dcf2" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.newASIClegislation" guid="_4a219ced-6dbb-4ba1-bacf-454b526e8967" type="definition">new ASIC legislation</defterm> means—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.4-ssec.1-def.newASIClegislation-para1.a" guid="_5fb9867b-685c-4909-8ff5-8de9a83c8028" provision.type="other"><no>(a)</no><block><txt break.before="0">the new <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">ASIC Act</name></legref>; and</txt></block></li><li id="sec.4-ssec.1-def.newASIClegislation-para1.b" guid="_9ea0dfa1-b6f8-4689-8acc-535521861cce" provision.type="other"><no>(b)</no><block><txt break.before="0">the new ASIC Regulations (as amended and in force from time to time) and any other regulations made under the new <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">ASIC Act</name></legref>; and</txt></block></li><li id="sec.4-ssec.1-def.newASIClegislation-para1.c" guid="_17768794-e846-46c9-9ac2-d20f5679552e" provision.type="other"><no>(c)</no><block><txt break.before="0">the laws of the Commonwealth referred to in <intref refid="sec.4-ssec.1-def.newASIClegislation-para1.a" target.guid="_5fb9867b-685c-4909-8ff5-8de9a83c8028" check="valid">paragraph&#160;(a)</intref><intref refid="sec.4-ssec.1-def.newASIClegislation-para1.a-para2.ii" check="invalid">(ii)</intref> and (in relation to the State) <intref refid="sec.4-ssec.1-def.newASIClegislation-para1.b" target.guid="_9ea0dfa1-b6f8-4689-8acc-535521861cce" check="valid">paragraph&#160;(b)</intref><intref refid="sec.4-ssec.1-def.newASIClegislation-para1.b-para2.iii" check="invalid">(iii)</intref> of the definition <defterm guid="_b0109183-b1ae-4ef6-9f69-b6bd492966b6" type="mention">old ASIC legislation</defterm> in <legref jurisd="CTH" type="act" refid="sec.254" check="invalid">section&#160;254</legref><legref jurisd="CTH" type="act" refid="sec.254-ssec.1" check="invalid">(1)</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new ASIC Act</name></legref>, being those laws as they apply after the relevant time; and</txt></block></li><li id="sec.4-ssec.1-def.newASIClegislation-para1.d" guid="_13d04d87-a029-40a7-9c64-17000b8811d3" provision.type="other"><no>(d)</no><block><txt break.before="0">the preserved instruments.</txt></block></li></list></definition><definition id="sec.4-ssec.1-def.newASICRegulations_" guid="_29dae643-f75a-4d1c-a9a4-86eaab7778ac" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.newASICRegulations" guid="_1aa21c9d-65dc-418b-a87a-04ccf8b72cef" type="definition">new ASIC Regulations</defterm> means the old ASIC Regulations that, because of <legref jurisd="CTH" type="act" refid="sec.264" check="invalid">section&#160;264</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new ASIC Act</name></legref>, have effect as if they were made under <legref jurisd="CTH" type="act" refid="sec.251" check="invalid">section&#160;251</legref> of that Act.</txt></definition><definition id="sec.4-ssec.1-def.newCorporationsAct_" guid="_e58c03d7-6500-434e-a605-927d842473b2" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.newCorporationsAct" guid="_eb9cf31d-c1d7-464b-83aa-c3bae78e3f69" type="definition">new Corporations Act</defterm> means the <legref jurisd="CTH" type="act" target.doc.id="act-2001-050" target.version.series="C2004A00818" check="valid"><name emphasis="yes">Corporations Act 2001</name> (Cwlth)</legref>.</txt></definition><definition id="sec.4-ssec.1-def.newcorporationslegislation_" guid="_c62d3120-99b7-4a5a-837d-1f386e925441" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.newcorporationslegislation" guid="_1e6decb2-e6f8-4ab6-8108-c1331e1763aa" type="definition">new corporations legislation</defterm> means—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.4-ssec.1-def.newcorporationslegislation-para1.a" guid="_96db188f-af07-4427-95e4-809bcd4a9b53" provision.type="other"><no>(a)</no><block><txt break.before="0">the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref>; and</txt></block></li><li id="sec.4-ssec.1-def.newcorporationslegislation-para1.b" guid="_99f573e6-d2d3-444a-acd3-55d36f1e476c" provision.type="other"><no>(b)</no><block><txt break.before="0">the new Corporations Regulations (as amended and in force from time to time) and any other regulations made under the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref>; and</txt></block></li><li id="sec.4-ssec.1-def.newcorporationslegislation-para1.c" guid="_b742b379-9c55-42cc-a8f4-a8ad3e4dfc83" provision.type="other"><no>(c)</no><block><txt break.before="0">the laws of the Commonwealth referred to (in relation to the State) in <intref refid="sec.4-ssec.1-def.newcorporationslegislation-para1.c" target.guid="_b742b379-9c55-42cc-a8f4-a8ad3e4dfc83" check="valid">paragraph&#160;(c)</intref> of the definition <defterm guid="_fc9bc1fe-026e-41ae-9a9c-d11b83ff12c6" type="mention">old corporations legislation</defterm> in <legref jurisd="CTH" type="act" refid="sec.1371" check="invalid">section&#160;1371</legref><legref jurisd="CTH" type="act" refid="sec.1371-ssec.1" check="invalid">(1)</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref>, being those laws as they apply after the relevant time; and</txt></block></li><li id="sec.4-ssec.1-def.newcorporationslegislation-para1.d" guid="_de821098-fe4d-46c8-a4fb-9b0f01cd37e9" provision.type="other"><no>(d)</no><block><txt break.before="0">the preserved instruments.</txt></block></li></list></definition><definition id="sec.4-ssec.1-def.newCorporationsRegulations_" guid="_32ffa3c8-91ab-487b-8dfc-b1c17d22f798" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.newCorporationsRegulations" guid="_43501deb-36c9-4ce5-bc06-ef27662eaa1e" type="definition">new Corporations Regulations</defterm> means the old Corporations Regulations that, because of <legref jurisd="CTH" type="act" refid="sec.1380" check="invalid">section&#160;1380</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref>, have effect as if they were made under <legref jurisd="CTH" type="act" refid="sec.1364" check="invalid">section&#160;1364</legref> of that Act.</txt></definition><definition id="sec.4-ssec.1-def.oldapplicationAct_" guid="_c8c6b800-243f-481b-b067-6c188f975056" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.oldapplicationAct" guid="_adba70b6-b994-4b44-941c-f52dde519447" type="definition">old application Act</defterm> means the <legref jurisd="QLD" type="act" target.doc.id="act-1990-098" target.version.series="bc758956-79d0-4dfa-8277-e0cd70553851" check="valid"><name emphasis="yes">Corporations (Queensland) Act 1990</name></legref> as in force from time to time before the relevant time.</txt></definition><definition id="sec.4-ssec.1-def.oldASICAct_" guid="_ae08dab6-4d7b-4a09-8f0d-717f13bf0267" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.oldASICAct" guid="_abd20888-d5d5-4365-a997-8d8cd3dcef77" type="definition">old ASIC Act</defterm> means the <legref jurisd="CTH" type="act" target.doc.id="act-1989-090" target.version.series="C2004A03838" check="valid"><name emphasis="yes">Australian Securities and Investments Commission Act 1989</name> (Cwlth)</legref> as in force from time to time before the relevant time.</txt></definition><definition id="sec.4-ssec.1-def.oldASICLaw_" guid="_19529798-4b00-4c99-9650-2a334a10de38" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.oldASICLaw" guid="_01619478-8a68-404d-91ba-b031294ea8d0" type="definition">old ASIC Law</defterm> means the ASIC Law of Queensland, within the meaning of the old application Act, as in force from time to time before the relevant time.</txt></definition><definition id="sec.4-ssec.1-def.oldASIClegislation_" guid="_2b62c802-0d6d-4384-a3cf-f7e0cc507e9c" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.oldASIClegislation" guid="_c3264664-6fdb-411b-80c8-9aeaa26ee576" type="definition">old ASIC legislation</defterm> means—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.4-ssec.1-def.oldASIClegislation-para1.a" guid="_06ffeabe-0d9e-4d33-a83d-9f7b1a89a7b9" provision.type="other"><no>(a)</no><block><txt break.before="0">the old ASIC Law and the old ASIC Regulations, and any instruments made under that law or those regulations; and</txt></block></li><li id="sec.4-ssec.1-def.oldASIClegislation-para1.b" guid="_a5adff41-f608-4163-87d9-fa0e6f9c3d08" provision.type="other"><no>(b)</no><block><txt break.before="0">the old application Act, and any instruments made under that Act, as applying in relation to the old ASIC Law and the old ASIC provision.type="other"><no>(c)</no><block><txt break.before="0">the laws of the Commonwealth as applying in relation to the old ASIC Law and the old ASIC Regulations from time to time before the relevant time as laws of, or for the government of, the State because of <legref jurisd="QLD" type="unknown" check="invalid">part&#160;8</legref> of the old application Act, and any instruments made under those laws as so applying.</txt></block></li></list></definition><definition id="sec.4-ssec.1-def.oldASICRegulations_" guid="_07ee0586-b897-4b0c-8f76-14a92f485b9c" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.oldASICRegulations" guid="_2c1d59fc-cd33-4a15-bc0a-a5c84a135321" type="definition">old ASIC Regulations</defterm> means the ASIC Regulations of Queensland, within the meaning of the old application Act, as in force from time to time before the relevant time.</txt></definition><definition id="sec.4-ssec.1-def.oldCorporationsLaw_" guid="_35ededa6-7361-43d3-be04-2510c75faefa" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.oldCorporationsLaw" guid="_a7764a9f-65c9-4769-acf1-4eb0ed511345" type="definition">old Corporations Law</defterm> means the Corporations Law of Queensland, within the meaning of the old application Act, as in force from time to time before the relevant time.</txt></definition><definition id="sec.4-ssec.1-def.oldcorporationslegislation_" guid="_0375baa7-c054-4ece-9a7a-a684e88bc608" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.oldcorporationslegislation" guid="_1c3b3de5-1ec9-484f-b925-15c4e48515d3" type="definition">old corporations legislation</defterm> means—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.4-ssec.1-def.oldcorporationslegislation-para1.a" guid="_07f2c842-53f2-4d3e-80b8-0a1c94023295" provision.type="other"><no>(a)</no><block><txt break.before="0">the old Corporations Law and the old Corporations Regulations, and any instruments made under that law or those regulations; and</txt></block></li><li id="sec.4-ssec.1-def.oldcorporationslegislation-para1.b" guid="_db365e1e-5ad9-43bc-8dd8-0a5562f3a676" provision.type="other"><no>(b)</no><block><txt break.before="0">the old application Act, and any instruments made under that Act, as applying in relation to the old Corporations Law and the old Corporations Regulations from time to time before the relevant time; and</txt></block></li><li id="sec.4-ssec.1-def.oldcorporationslegislation-para1.c" guid="_82f1c061-acfe-4b7c-851b-0dd7b8adc71c" provision.type="other"><no>(c)</no><block><txt break.before="0">the laws of the Commonwealth as applying in relation to the old Corporations Law and the old Corporations Regulations from time to time before the relevant time as laws of, or for the government of, the State because of <legref id="sec.4-ssec.1-def.oldCorporationsRegulations" guid="_7174e0f4-538f-43a2-8876-8fc1d39aca12" type="definition">old Corporations Regulations</defterm> means the Corporations Regulations of Queensland, within the meaning of the old application Act, as in force from time to time before the relevant time.</txt></definition><definition id="sec.4-ssec.1-def.order_" guid="_445c5c4c-cb98-4470-9f0f-1629fa03a4cc" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.order" guid="_62d0c2bc-0ccb-4b36-aa94-c67a71fa0bd4" type="definition">order</defterm>, in relation to a court, includes any judgment, conviction or sentence of the court.</txt></definition><definition id="sec.4-ssec.1-def.preservedinstrument_" guid="_b8036e56-8d2a-48ce-b4de-271379ea5ff4" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.preservedinstrument" guid="_b4eda542-111e-4661-851e-bf555707d0a9" type="definition">preserved instrument</defterm> means—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.4-ssec.1-def.preservedinstrument-para1.a" guid="_90246e8f-45f6-415b-88a7-80f4b169fbc7" provision.type="other"><no>(a)</no><block><txt break.before="0">in relation to the new corporations legislation, an instrument that, because of <legref jurisd="CTH" type="act" refid="sec.1399" check="invalid">section&#160;1399</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref>, has effect after the relevant time as if it were made under a provision of the new corporations legislation; and</txt></block></li><li id="sec.4-ssec.1-def.preservedinstrument-para1.b" guid="_7dcbf34d-f42e-49cd-ba23-88fcc7d3ba1c" provision.type="other"><no>(b)</no><block><txt break.before="0">in relation to the new ASIC legislation, an instrument that, because of <legref jurisd="CTH" type="act" refid="sec.275" check="invalid">section&#160;275</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new ASIC Act</name></legref>, has effect after the relevant time as if it were made under a provision of the new ASIC legislation.</txt></block></li></list></definition><definition id="sec.4-ssec.1-def.previousStatecorporationslaw_" guid="_5d2b336d-1073-4ae3-9705-7444f8003c69" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.previousStatecorporationslaw" guid="_c20e1089-23d5-49ef-8e85-7cfca53c13e4" type="definition">previous State corporations law</defterm> means—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.4-ssec.1-def.previousStatecorporationslaw-para1.a" guid="_2ded50d2-1d62-4965-8bb8-d948838274ec" provision.type="other"><no>(a)</no><block><txt break.before="0">the repealed <legref jurisd="QLD" type="act" check="invalid"><name emphasis="yes">Companies Act 1961</name></legref>; or</txt></block></li><li id="sec.4-ssec.1-def.previousStatecorporationslaw-para1.b" guid="_fde309d0-3f18-46b3-9be4-5410266e1a01" provision.type="other"><no>(b)</no><block><txt break.before="0">the repealed <legref jurisd="QLD" type="act" target.doc.id="act-1970-006" target.version.series="64515fa7-1bde-42b2-9905-606c7bfbd901" check="valid"><name emphasis="yes">Marketable Securities Act 1970</name></legref>; or</txt></block></li><li id="sec.4-ssec.1-def.previousStatecorporationslaw-para1.c" guid="_b2332946-fc88-4d96-8aa4-0fbc3ea3b0da" provision.type="other"><no>(c)</no><block><txt break.before="0">the repealed <legref jurisd="QLD" type="act" target.doc.id="act-1975-078" target.version.series="ba48556d-9aba-432d-b5ef-8b077313ed14" check="valid"><name emphasis="yes">Securities Industry Act 1975</name></legref>; or</txt></block></li><li id="sec.4-ssec.1-def.previousStatecorporationslaw-para1.d" guid="_24bc6b45-08a7-4a61-b944-f47b30842126" provision.type="other"><no>(d)</no><block><txt break.before="0">a cooperative scheme law; or</txt></block></li><li id="sec.4-ssec.1-def.previousStatecorporationslaw-para1.e" guid="_cb5e570a-320d-476b-b983-3dde214a7192" provision.type="other"><no>(e)</no><block><txt break.before="0">any other Act, or provision of an Act, specified under a regulation under <intref refid="sec.4-ssec.2" target.guid="_4532e2cf-55ff-407b-a892-ff2e1504bd88" check="invalid">section&#160;4</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref>.</txt></definition><definition id="sec.4-ssec.1-def.relevanttime_" guid="_41a84dbc-1a63-4785-9b5e-cd9b7a4954ed" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.4-ssec.1-def.relevanttime" guid="_d8b275d5-f22b-45e1-9905-077ce0464329" type="definition">relevant time</defterm> means the time when the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations guid="_3c9f826b-7cff-4bb4-a44f-2f14cf3b4b38" type="definition">State</defterm> includes the Northern Territory.</txt></definition><definition id="sec.4-ssec.1-def.Territory_" type="definition">Territory</defterm> means the Australian Capital Territory or the Jervis Bay Territory.</txt></definition></deflist></block></subclause><subclause id="sec.4-ssec.2" guid="_4532e2cf-55ff-407b-a892-ff2e1504bd88" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">A regulation may provide that a specified Act, or a specified provision of an Act, is a previous State corporations law for the purposes of this Act.</txt></block></subclause></clause><clause id="sec.5" guid="_98e52d69-c69d-4728-b1f6-c87c85229489" provision.type="other"><no>(d)</no><block><txt break.before="0">other differences of a kind prescribed under a regulation for this paragraph.</txt></block></li></list></block></subclause><subclause guid="_77a9c3d9-37ca-494e-a114-9dc1b347dbaa" affected.by.uncommenced="0" provision.type="transitional"><no>(1)</no><block><txt break.before="0">The national scheme laws of this jurisdiction operate of their own force only in relation to—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.7-ssec.1-para1.a" guid="_57a0b4e3-93ca-4e24-b882-a71ceed1cf2f" target.version.series="C1901A00002" check="valid"><name emphasis="yes">Acts Interpretation Act 1901</name> (Cwlth)</legref> contains provisions dealing with the effect of repeal of an Act. These provisions protect accrued rights and liabilities and allow legal proceedings in respect of them to be commenced or continued. However, this section and section&#160;10 have the effect of cancelling certain rights and liabilities and terminating certain legal proceedings.</txt></block></note></block></subclause><subclause Act</name></legref> or <legref jurisd="CTH" type="act" refid="pt.16" check="invalid">part&#160;16</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new ASIC Act</name></legref> a person acquires, accrues or incurs a right or liability in substitution for a pre-commencement right or liability, the pre-commencement right or liability is cancelled at the relevant time and ceases at that time to be a right or liability under a law of the State.</txt></block></subclause><subclause id="sec.8-ssec.3" guid="_f32fce0d-e64b-4fe0-8906-d4835e6075a5" affected.by.uncommenced="0" provision.type="transitional"><no>(3)</no><block><txt break.before="0">Despite subsection&#160;(1), a proceeding in a court that—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.8-ssec.3-para1.a" guid="_b8d92384-0362-4895-abbf-e3abed40802a" provision.type="transitional"><no>(a)</no><block><txt break.before="0">was started before the relevant time; and</txt></block></li><li id="sec.8-ssec.3-para1.b" guid="_f21eb6d7-3963-4120-a40e-3d702fcf660a" provision.type="transitional"><no>(b)</no><block><txt break.before="0">was—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.8-ssec.3-para1.b-para2.i" guid="_f92abb8d-2695-4335-bd35-9f1a3a9b14b6" provision.type="transitional"><no>(i)</no><block><txt break.before="0">under a provision of the old corporations legislation or the old ASIC legislation; or</txt></block></li><li id="sec.8-ssec.3-para1.b-para2.ii" guid="_28846931-8171-4df7-a552-cf61a59d68ea" provision.type="transitional"><no>(ii)</no><block><txt break.before="0">brought as, or connected with, a prosecution for an offence against a provision of the old corporations legislation or the old ASIC legislation; and</txt></block></li></list></block></li><li id="sec.8-ssec.3-para1.c" guid="_94c484c4-8394-42a1-93f5-3575153b7a9f" provision.type="transitional"><no>(c)</no><block><txt break.before="0">was a proceeding to which <legref jurisd="CTH" type="act" refid="sec.1383" check="invalid">section&#160;1383</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref> or <legref jurisd="CTH" type="act" refid="sec.267" check="invalid">section&#160;267</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new ASIC Act</name></legref> applies at the relevant time; and</txt></block></li><li id="sec.8-ssec.3-para1.d" guid="_c8cc6dd2-3dff-4c81-b40c-a4d509da5311" provision.type="transitional"><no>(d)</no><block><txt break.before="0">had not been concluded or terminated before the relevant time;</txt></block></li></list></block><block><txt break.before="1">is terminated at the relevant time by force of this subsection.</txt></block></subclause><subclause id="sec.8-ssec.4" guid="_afbd0c8e-ab19-4acb-b385-4d6c2d97581b" affected.by.uncommenced="0" provision.type="transitional"><no>(4)</no><block><txt break.before="0">Despite subsection&#160;(1), if by force of a Commonwealth Act (other than the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref>) referred to in <legref jurisd="CTH" type="act" refid="sec.1393" check="invalid">sections&#160;1393</legref> to <legref jurisd="CTH" type="act" refid="sec.1396" check="invalid">1396</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref> a person becomes liable to pay an amount that is the same, and is in respect of the same matter, as an amount (the <defterm id="sec.8-def.precommencementamount" guid="_d66564e6-5a2e-48e8-b1e3-8052d48e3d54" type="definition">pre-commencement amount</defterm>) that was payable by the person before the relevant time under a provision of the old corporations legislation, the person’s liability to pay the pre-commencement amount is cancelled at the relevant time and ceases at that time to be a liability under a law of the State.</txt></block></subclause><subclause id="sec.8-ssec.5" guid="_432cabbf-29e2-46fa-b287-12d8e9a73e0a" affected.by.uncommenced="0" provision.type="transitional"><no>(5)</no><block><txt break.before="0">In subsection&#160;(2)—</txt><deflist><definition id="sec.8-ssec.5-def.precommencementrightorliability_" guid="_c7de5e0c-0bf5-4aab-aac6-1b402e3efde4" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.8-ssec.5-def.precommencementrightorliability" guid="_3e58c5bb-c88e-4859-b565-ea394e7b3fdb" type="definition">pre-commencement right or liability</defterm> means a right or liability, whether civil or criminal, other than a right or liability under an order made by a court before the relevant time or a liability referred to in <legref jurisd="CTH" type="act" refid="sec.1397" check="invalid">section&#160;1397</legref><legref jurisd="CTH" type="act" refid="sec.1397-ssec.4" check="invalid">(4)</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref>, that—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.8-ssec.5-def.precommencementrightorliability-para1.a" guid="_3c410734-376e-44a3-ba46-8285d712ad46" provision.type="transitional"><no>(a)</no><block><txt break.before="0">was acquired, accrued or incurred under—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.8-ssec.5-def.precommencementrightorliability-para1.a-para2.i" guid="_8a592c95-ae34-450f-a6b8-355ae65629e5" provision.type="transitional"><no>(i)</no><block><txt break.before="0">a carried over provision of the old corporations legislation or the old ASIC legislation; or</txt></block></li><li id="sec.8-ssec.5-def.precommencementrightorliability-para1.a-para2.ii" guid="_09e3732f-38c4-4ebc-92c2-123d4a14e823" provision.type="transitional"><no>(ii)</no><block><txt break.before="0">a provision of the old corporations legislation or the old ASIC legislation that was no longer in force immediately before the relevant time; and</txt></block></li></list></block></li><li id="sec.8-ssec.5-def.precommencementrightorliability-para1.b" guid="_0c745d68-555d-46db-94b4-797207d6b9f7" provision.type="transitional"><no>(b)</no><block><txt break.before="0">was in existence immediately before the relevant time.</txt></block></li></list></definition></deflist></block></subclause><subclause id="sec.8-ssec.6" guid="_07aebb01-e085-4405-b146-cbe4f4314bc7" affected.by.uncommenced="0" provision.type="transitional"><no>(6)</no><block><txt break.before="0">Nothing in this Act revives the cooperative scheme law or otherwise affects the superseding of those laws by the national scheme laws of this jurisdiction as provided by division&#160;2 of <legref jurisd="QLD" type="unknown" check="invalid">part&#160;13</legref> of the old application Act and any regulations made under <legref jurisd="QLD" type="unknown" check="invalid">section&#160;80</legref> of that Act for the purposes of that division.</txt></block></subclause></clause><clause id="sec.9" guid="_086d167a-7ff1-4bcd-a82e-54c45cdc0904" affected.by.uncommenced="0" spent.amends="0" provision.type="transitional"><no>9</no><heading id="sec.9-he" guid="_2006e9c0-4b72-46a7-a00b-8acf88cb7d0f">Certain provisions of State law taken to operate despite national&#160;scheme&#160;law</heading><subclause id="sec.9-ssec.1" guid="_3bb2444a-2edc-44e5-a3f6-ce391f1e836b" affected.by.uncommenced="0" provision.type="transitional"><no>(1)</no><block><txt break.before="0">Any provision of a relevant law of the State that—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.9-ssec.1-para1.a" guid="_43957ce0-3e8f-4776-9534-16b52decbfc8" provision.type="transitional"><no>(a)</no><block><txt break.before="0">makes (or, if not in force, would make on coming into force) provision in relation to a matter in a way that is inconsistent with a provision or provisions of a national scheme law of this jurisdiction; or</txt></block></li><li id="sec.9-ssec.1-para1.b" guid="_5fa9891e-aa07-4d89-a48b-2a1a6ddb8f1a" provision.type="transitional"><no>(b)</no><block><txt break.before="0">but for the operation of <legref jurisd="QLD" type="unknown" check="invalid">section&#160;5</legref> of the old application Act would have made (or, if not in force, would have made on coming into force) provision in relation to a matter in a way that is inconsistent with a provision or provisions of a national scheme law of this jurisdiction;</txt></block></li></list></block><block><txt break.before="1">is declared by this subsection to have effect despite the provision or provisions of the national scheme law of this jurisdiction with which it is inconsistent and as if the relevant law, or (in the case of a relevant law that is not an Act) the <legref jurisd="QLD" type="act" check="invalid">Act</legref> under which the relevant law was made, had itself provided expressly for this outcome.</txt><note id="sec.9-ssec.1-note" guid="_e71d62c5-105b-4ba9-8a5d-3059e580a1ac" type="example"><heading id="sec.9-ssec.1-note-he" guid="_93004657-dd9c-4943-b49d-2f8a45d5fb52">Note—</heading><block><txt break.before="1"><legref jurisd="CTH" type="act" refid="sec.5G" target.doc.id="act-2001-050" target.version.series="C2004A00818" check="invalid">Section&#160;5G</legref> of the <legref jurisd="CTH" type="act" target.doc.id="act-2001-050" target.version.series="C2004A00818" check="valid"><name emphasis="no">Corporations Act</name></legref> applies to a provision of a State law that is inconsistent with a provision of the Corporations legislation to which part&#160;1.1A of that Act applies if that provision operated, immediately before the commencement of that Act, despite the provision of the old Corporations Law or the old ASIC Law that corresponds to the Commonwealth provision.</txt></block></note></block></subclause><subclause id="sec.9-ssec.2" guid="_38781f9c-6480-48c6-8375-1075e17c4abd" affected.by.uncommenced="0" provision.type="transitional"><no>(2)</no><block><txt break.before="0">Any provision of a relevant law of the State that provides that the whole of a previous State corporations law or a specified provision of a previous State corporations law does not apply to a matter is declared by this subsection to also provide that the whole of the old Corporations Law and the old ASIC Law or the corresponding provision (if any) of the old Corporations Law or the old ASIC Law (as the case requires) does not apply to that matter.</txt><note id="sec.9-ssec.2-note" guid="_44472a65-a563-434d-b069-76d4bcef653c" type="example"><heading id="sec.9-ssec.2-note-he" guid="_45d586bd-091c-4985-8703-b2c003407236">Note—</heading><block><txt break.before="1">Under <legref jurisd="CTH" type="act" refid="sec.5F" target.version.series="C2004A00818" check="invalid">section&#160;5F</legref><legref jurisd="CTH" type="act" refid="sec.5F-ssec.4" target.version.series="C2004A00818" check="invalid">(4)</legref> of the <legref jurisd="CTH" type="act" target.doc.id="act-2001-050" target.version.series="C2004A00818" check="valid"><name emphasis="no">Corporations Act</name></legref> if the old Corporations Law or the old ASIC law, or a provision of that Law, did not apply to a matter immediately before the commencement of that Act, then the Corporations legislation to which part&#160;1.1A of that Act applies, or the corresponding provision of that legislation, does not apply to the matter.</txt></block></note></block></subclause><subclause id="sec.9-ssec.4" guid="_9f66e2cb-11f6-4931-93e1-cbf526ee8eb9" affected.by.uncommenced="0" provision.type="transitional"><no>(4)</no><block><txt break.before="0">For subsection&#160;(1), a provision of a relevant law of the State is inconsistent with a provision of a national scheme law of this jurisdiction if it would be inconsistent within the meaning of <legref jurisd="CTH" type="act" refid="sec.109" check="invalid">section&#160;109</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">Commonwealth Constitution</name></legref> if the national scheme law were an Act of the Commonwealth.</txt></block></subclause><subclause id="sec.9-ssec.5" guid="_34452e2b-96f7-44ba-91eb-0c334ebf6258" affected.by.uncommenced="0" provision.type="transitional"><no>(5)</no><block><txt break.before="0">Nothing in this section affects the operation of <legref jurisd="QLD" type="unknown" check="invalid">section&#160;6</legref> of the old application Act in relation to an Act (a <defterm id="sec.9-def.relevantAct" guid="_5d9ea5f6-7943-4a9c-8abc-225bb7a21f87" type="definition">relevant Act</defterm>) enacted before the commencement of that section or an instrument made under a relevant Act.</txt></block></subclause><subclause id="sec.9-ssec.6" guid="_0ea0fe1f-6ac9-4c1d-8067-33a11bd784bf" affected.by.uncommenced="0" provision.type="transitional"><no>(6)</no><block><txt break.before="0">In this section—</txt><deflist><definition id="sec.9-ssec.6-def.matter_" guid="_9125674f-61a1-46dd-b615-cc70d8f7fa39" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.9-ssec.6-def.matter" guid="_c9856bdd-06cc-423d-8fb6-7255b5fca830" type="definition">matter</defterm> includes act, omission, body, person or thing.</txt></definition><definition id="sec.9-ssec.6-def.relevantlawoftheState_" guid="_506c5f99-58d5-4957-9c8a-de901f6f286b" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.9-ssec.6-def.relevantlawoftheState" guid="_699fadcb-acf6-4ee7-8f36-adafde35b1f3" type="definition">relevant law of the State</defterm> means a law of the State enacted or made before the relevant time (whether or not it is in force before that time) other than a national scheme law of this jurisdiction or a previous State corporations law.</txt></definition></deflist></block></subclause><historynote><txt break.before="1"><b>s&#160;9</b> (3) exp 30 June 2003 (see s&#160;28(1))</txt></historynote></clause><clause id="sec.10" guid="_b455ad18-d1d5-4c7d-8397-765b8ff79291" affected.by.uncommenced="0" spent.amends="0" provision.type="transitional"><no>10</no><heading id="sec.10-he" guid="_fc48a822-7c9f-41d5-afca-c0887d596979">Court proceedings and orders</heading><subclause id="sec.10-ssec.1" guid="_23739fb0-3e2a-4747-947d-06d219d35e8f" affected.by.uncommenced="0" provision.type="transitional"><no>(1)</no><block><txt break.before="0">This section applies to a proceeding, whether criminal or civil, in relation to which the following paragraphs are satisfied—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.10-ssec.1-para1.a" guid="_2d4de8b6-70e7-4b5f-ac5f-110df2272e75" provision.type="transitional"><no>(a)</no><block><txt break.before="0">the proceeding was started in a court before the relevant time;</txt></block></li><li id="sec.10-ssec.1-para1.b" guid="_3d97245b-3faa-4982-b98a-3db5e2cb1840" provision.type="transitional"><no>(b)</no><block><txt break.before="0">the proceeding was—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.10-ssec.1-para1.b-para2.i" guid="_0d5a95d0-c64f-46b1-8269-92d8ee7c9348" provision.type="transitional"><no>(i)</no><block><txt break.before="0">under a provision of the old corporations legislation or the old ASIC legislation; or</txt></block></li><li id="sec.10-ssec.1-para1.b-para2.ii" guid="_9708ec8e-1c01-4e4a-9cdc-de91bca6b95e" provision.type="transitional"><no>(ii)</no><block><txt break.before="0">brought as, or connected with, a prosecution for an offence against a provision of the old corporations legislation or the old ASIC legislation;</txt></block></li></list></block></li><li id="sec.10-ssec.1-para1.c" guid="_f4b3d701-710c-43e2-82ac-0f40ff080cd8" provision.type="transitional"><no>(c)</no><block><txt break.before="0">the proceeding was not a proceeding to which <legref jurisd="CTH" type="act" refid="sec.1383" check="invalid">section&#160;1383</legref> or <legref jurisd="CTH" type="act" refid="sec.1384" check="invalid">1384</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref> or <legref jurisd="CTH" type="act" refid="sec.267" check="invalid">section&#160;267</legref> or <legref jurisd="CTH" type="act" refid="sec.268" check="invalid">268</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new ASIC Act</name></legref> applies;</txt></block></li><li id="sec.10-ssec.1-para1.d" guid="_a2b53cad-d6f1-4033-8bfb-694b8387b011" provision.type="transitional"><no>(d)</no><block><txt break.before="0">the proceeding had not been concluded or terminated before the relevant time.</txt></block></li></list></block></subclause><subclause id="sec.10-ssec.2" guid="_f369f6cc-b3e1-43d7-9f46-a768f7701460" affected.by.uncommenced="0" provision.type="transitional"><no>(2)</no><block><txt break.before="0">Without limiting section&#160;8(1) but subject to subsection&#160;(3), a proceeding (a <defterm id="sec.10-def.relevantproceeding" guid="_845baef0-9636-44da-8f7a-c46e7192523e" type="definition">relevant proceeding</defterm>) to which this section applies may be continued, and any order made by a court in a relevant proceeding may be appealed against, reviewed or enforced as if section&#160;7 had not been enacted.</txt></block></subclause><subclause id="sec.10-ssec.3" guid="_c150baf7-844e-4a82-851d-f48f36acc38a" affected.by.uncommenced="0" provision.type="transitional"><no>(3)</no><block><txt break.before="0">Nothing in this part, or in the <legref jurisd="CTH" type="act" target.doc.id="act-1901-002" target.version.series="C1901A00002" check="valid"><name emphasis="yes">Acts Interpretation Act 1901</name> (Cwlth)</legref> as applying by force of section&#160;8(1), operates to preserve the effect of an order (a <defterm id="sec.10-def.relevantorder" guid="_cf81206f-153d-438f-9e6e-7c854bbcde1f" type="definition">relevant order</defterm>) to which <legref jurisd="CTH" type="act" refid="sec.1383" check="invalid">section&#160;1383</legref><legref jurisd="CTH" type="act" refid="sec.1383-ssec.5" check="invalid">(5)</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref> or <legref jurisd="CTH" type="act" refid="sec.267" check="invalid">section&#160;267</legref><legref jurisd="CTH" type="act" refid="sec.267-ssec.5" check="invalid">(5)</legref> of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new ASIC Act</name></legref> applies and, at the relevant time, that order ceases to have effect as an order of the court by which it was made and any proceeding in relation to a relevant order is terminated by force of this subsection.</txt></block></subclause><subclause id="sec.10-ssec.4" guid="_2215f378-9b3d-4b05-9a9f-b816539faa4e" affected.by.uncommenced="0" provision.type="transitional"><no>(4)</no><block><txt break.before="0">For the avoidance of doubt, <legref jurisd="QLD" type="unknown" check="invalid">part&#160;9</legref> of the old application Act continues to have the same application to a proceeding to which this section applies as it did before the relevant time.</txt></block></subclause><subclause id="sec.10-ssec.5" guid="_35a90be6-19df-4ae3-a389-e6e1063b2e3e" affected.by.uncommenced="0" provision.type="transitional"><no>(5)</no><block><txt break.before="0">In this section—</txt><deflist><definition id="sec.10-ssec.5-def.proceeding_" guid="_ee5d030b-fad3-4cf6-b1e6-5d177e7261b6" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.10-ssec.5-def.proceeding" guid="_03ac3be1-4b3b-479e-8194-b84733d0f491" type="definition">proceeding</defterm> includes—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.10-ssec.5-def.proceeding-para1.a" guid="_8c7c5bc8-d787-45da-aaca-a28f29a8fba4" provision.type="transitional"><no>(a)</no><block><txt break.before="0">a proceeding by way of appeal against, or otherwise seeking review of, an order made by a court; and</txt></block></li><li id="sec.10-ssec.5-def.proceeding-para1.b" guid="_0daee892-bb0f-4ba4-a12b-91581edd45d8" provision.type="transitional"><no>(b)</no><block><txt break.before="0">a proceeding to enforce an order made by a court; and</txt></block></li><li id="sec.10-ssec.5-def.proceeding-para1.c" guid="_9bd4050e-f449-4c58-9f3b-4597d250d2d9" provision.type="transitional"><no>(c)</no><block><txt break.before="0">any other proceeding in respect of a breach of an order made by a court.</txt></block></li></list></definition></deflist></block></subclause></clause><clause id="sec.11" guid="_2e8ab72e-fca2-4db2-914d-4a8a88bed8f8" affected.by.uncommenced="0" spent.amends="0" provision.type="transitional"><no>11</no><heading id="sec.11-he" guid="_d627b57d-20d6-421f-b66d-6ee5a647af83">Existing rules of court continue to have effect</heading><subclause id="sec.11-ssec.1" guid="_ffdd8d61-acb5-4d5b-8c7f-bbb102b82af2" affected.by.uncommenced="0" provision.type="transitional"><no>(1)</no><block><txt break.before="0">The corporation rules of court, as in force immediately before the relevant time, continue to have effect (and may be dealt with) at and after the relevant time as if—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.11-ssec.1-para1.a" guid="_7b677bc8-2997-46ed-b6ba-1d4b20519c48" provision.type="transitional"><no>(a)</no><block><txt break.before="0">they were rules of court in force under section&#160;24 and the <legref jurisd="QLD" type="act" target.doc.id="act-1991-068" target.version.series="89bc253b-08ed-4cc7-8476-6cdd758b6736" check="valid"><name emphasis="yes">Supreme Court of Queensland Act 1991</name></legref>; and</txt></block></li><li id="sec.11-ssec.1-para1.b" guid="_77ab0d39-13ed-49c2-a704-4db394e95ad9" provision.type="transitional"><no>(b)</no><block><txt break.before="0">they were made for the purposes of the provisions of the corporations legislation (within the meaning of section&#160;24) that correspond to the provisions of the old Corporations Law for which they were made.</txt></block></li></list></block></subclause><subclause id="sec.11-ssec.2" guid="_d96bdad2-e19d-4193-be73-0447c5908aed" affected.by.uncommenced="0" provision.type="transitional"><no>(2)</no><block><txt break.before="0">In this section—</txt><deflist><definition id="sec.11-ssec.2-def.corporationrulesofcourt_" guid="_76e8dcf2-fb7d-46b1-8f43-092eda7b9bf3" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.11-ssec.2-def.corporationrulesofcourt" guid="_047bf2d7-e6b4-4da9-a75a-662e821ba1a3" type="definition">corporation rules of court</defterm> means rules of court made under the <legref jurisd="QLD" type="act" target.doc.id="act-1991-068" target.version.series="89bc253b-08ed-4cc7-8476-6cdd758b6736" check="valid"><name emphasis="yes">Supreme Court of Queensland Act 1991</name></legref>, <legref jurisd="QLD" type="act" refid="sec.85" target.doc.id="act-1991-068" target.version.series="89bc253b-08ed-4cc7-8476-6cdd758b6736" target.guid="_c8908561-8897-4c37-956c-bafc895f0929" check="valid">section&#160;85</legref> in relation to a matter mentioned in <legref jurisd="QLD" type="act" refid="sch.1" target.doc.id="act-1991-068" target.version.series="89bc253b-08ed-4cc7-8476-6cdd758b6736" target.guid="_f4b4805c-c35e-4b1a-b966-9bb160948357" check="valid">schedule&#160;1</legref>, <legref jurisd="QLD" type="act" refid="sch.1-sec.25" target.doc.id="act-1991-068" target.version.series="89bc253b-08ed-4cc7-8476-6cdd758b6736" target.guid="_9d4e893c-c5a8-4632-bcfc-9961dbe2209a" check="valid">section&#160;25</legref>, and all other enabling powers.</txt></definition></deflist></block></subclause><historynote><txt break.before="1"><b>s&#160;11</b> amd <legref jurisd="QLD" type="act" target.doc.id="act-1991-068" guid="_2f76e9cb-be47-4365-a11a-108a67d5d2e8" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>20</no><heading id="sec.20-he" guid="_a770c941-3281-4e55-b898-83c1b7650437">Implied application of regulations and other provisions of Corporations&#160;legislation</heading><subclause id="sec.20-ssec.1" guid="_47545709-34fc-403f-b445-90132cfcb881" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">Unless a declaratory provision provides otherwise, the following provisions of the Corporations legislation, or of an Act, regulations or other instrument forming part of the Corporations legislation, are also taken to apply to a matter that is the subject of a declaratory provision as if they were laws of the State—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.20-ssec.1-para1.a" guid="_00219098-f5fe-4a54-8eca-86bb5d2ed0a1" provision.type="other"><no>(a)</no><block><txt break.before="0">the provisions of any regulations made under the applied law;</txt></block></li><li id="sec.20-ssec.1-para1.b" guid="_5eb36956-c93c-4ab2-8196-89de2afe551d" provision.type="other"><no>(b)</no><block><txt break.before="0">any provision of the Corporations legislation, or of an Act, regulations or other instrument forming part of the Corporations legislation, that creates an offence in relation to a contravention of the applied law or specifies the penalty for an offence created by a provision of the applied law;</txt></block></li><li id="sec.20-ssec.1-para1.c" guid="_11d3f54c-eb9f-433c-a1a5-db27fbbe6b6c" provision.type="other"><no>(c)</no><block><txt break.before="0">the provisions of <intref refid="pt.9.4" check="invalid">part&#160;9.4</intref>B of the <legref jurisd="CTH" type="act" check="invalid"><name emphasis="no">new Corporations Act</name></legref> for the purposes of any provision of the applied law that is a civil penalty provision within the meaning of that part.</txt></block></li></list></block></subclause><subclause id="sec.20-ssec.2" guid="_68c8baab-f1c2-40c5-9e73-ab1dcf31b89d" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">The regulations may prescribe changes (whether generally or in relation to a particular applied law) of any of the provisions that are also taken to apply to a matter by force of <intref refid="sec.20-ssec.1" target.guid="_47545709-34fc-403f-b445-90132cfcb881" check="valid">subsection&#160;(1)</intref> for the purposes of that application.</txt></block></subclause></clause><clause id="sec.21" guid="_df95e173-b877-4f85-bac3-a4327b692f5b" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>21</no><heading id="sec.21-he" guid="_b9dc41f5-6d51-4c58-9bae-a843ab3e2acf">Proceedings for offences</heading><subclause id="sec.21-ssec.1" guid="_20cc29e3-a858-490b-a683-ba8a56411282" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">Proceedings for an offence against an applied law may be dealt with as an offence against a law of the State.</txt></block></subclause><subclause id="sec.21-ssec.2" guid="_14a2af47-eeab-460c-a650-2e3e45035292" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">For the purposes of an offence against an applied law—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.21-ssec.2-para1.a" guid="_33e8cd00-10ff-46d0-bec2-2b6ce21586e6" provision.type="other"><no>(a)</no><block><txt break.before="0">the amount of a penalty unit specified in relation to that offence by the applied law, or a provision taken by force of <intref refid="sec.20" target.guid="_2f76e9cb-be47-4365-a11a-108a67d5d2e8" check="valid">section&#160;20</intref><intref refid="sec.20-ssec.1" target.guid="_47545709-34fc-403f-b445-90132cfcb881" check="valid">(1)</intref> to apply to the matter that is the subject of the declaratory provision, is the amount stated in the <legref jurisd="QLD" type="act" target.doc.id="act-1992-048" target.version.series="6bcfc277-3e30-47e3-a34f-9379b3cd284a" check="valid"><name emphasis="yes">Penalties and Sentences Act 1992</name></legref>, <legref jurisd="QLD" type="act" refid="sec.5" target.doc.id="act-1992-048" target.version.series="6bcfc277-3e30-47e3-a34f-9379b3cd284a" target.guid="_438745d6-49e6-4774-9ff9-fead83673a27" check="valid">section&#160;5</legref><legref jurisd="QLD" type="act" refid="sec.5-ssec.1" target.doc.id="act-1992-048" target.version.series="6bcfc277-3e30-47e3-a34f-9379b3cd284a" target.guid="_300b37c4-0719-46c4-8ab3-5808c6d11c07" check="valid">(1)</legref><legref jurisd="QLD" type="act" refid="sec.5-ssec.1-para1.b" target.doc.id="act-1992-048" target.version.series="6bcfc277-3e30-47e3-a34f-9379b3cd284a" target.guid="_7288bc07-47fa-45b3-bbec-065ba6bc8397" check="valid">(b)</legref>; and</txt></block></li><li id="sec.21-ssec.2-para1.b" provision taken by force of <intref refid="sec.20" target.guid="_2f76e9cb-be47-4365-a11a-108a67d5d2e8" check="valid">section&#160;20</intref><intref refid="sec.20-ssec.1" target.guid="_47545709-34fc-403f-b445-90132cfcb881" check="valid">(1)</intref> to apply to the matter that is the subject of the declaratory provision, were a law or laws of the State.</txt></block></li></list></block></subclause><subclause id="sec.21-ssec.3" guid="_6dddf61c-1022-454d-8000-ab5bcfb1eb4b" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">Without limiting <intref refid="sec.21-ssec.2" target.guid="_14a2af47-eeab-460c-a650-2e3e45035292" check="valid">subsection&#160;(2)</intref><intref refid="sec.21-ssec.2-para1.b" target.guid="_8920ba3d-9c13-4d3a-8423-47633e562c88" check="valid">(b)</intref>, the laws of the State referred to in that subsection as applying in relation to an offence include laws with respect to—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.21-ssec.3-para1.a" guid="_9d046c5b-990e-411e-bc42-6601350379ab" provision.type="other"><no>(a)</no><block><txt break.before="0">the investigation and prosecution of offences; and</txt></block></li><li id="sec.21-ssec.3-para1.b" guid="_c7441624-5912-483a-8fc0-f4db2230c30b" provision.type="other"><no>(b)</no><block><txt break.before="0">the arrest, custody, bail, trial, finding of guilt and conviction of persons charged with offences; and</txt></block></li><li id="sec.21-ssec.3-para1.c" guid="_3a223e71-ccfd-4b97-8cce-69323b3d9d11" provision.type="other"><no>(c)</no><block><txt break.before="0">proceedings relating to a matter mentioned in <intref refid="sec.21-ssec.3-para1.a" target.guid="_9d046c5b-990e-411e-bc42-6601350379ab" check="valid">paragraph&#160;(a)</intref> or <intref refid="sec.21-ssec.3-para1.b" target.guid="_c7441624-5912-483a-8fc0-f4db2230c30b" check="valid">(b)</intref>; and</txt></block></li><li id="sec.21-ssec.3-para1.d" guid="_5bfcdda5-6d53-40a5-9dce-440a56ed7021" provision.type="other"><no>(d)</no><block><txt break.before="0">the classification of offences as indictable or summary or indictable offences that may be prosecuted summarily; and</txt></block></li><li id="sec.21-ssec.3-para1.e" guid="_74cc0bd3-dbfd-426b-8c8f-02418f1ee70e" provision.type="other"><no>(e)</no><block><txt break.before="0">appeals and reviews relating to criminal proceedings and to proceedings of the kind mentioned in <intref refid="sec.21-ssec.3-para1.c" target.guid="_3a223e71-ccfd-4b97-8cce-69323b3d9d11" check="valid">paragraph&#160;(c)</intref>; and</txt></block></li><li id="sec.21-ssec.3-para1.f" guid="_fb36d00e-296c-4249-aef6-3f8d13abfc77" provision.type="other"><no>(f)</no><block><txt break.before="0">the sentencing, punishment and release of persons found guilty or convicted of offences; and</txt></block></li><li id="sec.21-ssec.3-para1.g" guid="_ef1852cb-aaaa-4728-8359-693ce8fbfccf" provision.type="other"><no>(g)</no><block><txt break.before="0">fines, penalties and forfeitures; and</txt></block></li><li id="sec.21-ssec.3-para1.h" guid="_74fe5ec6-5236-4908-a4a7-b5377c300256" provision.type="other"><no>(h)</no><block><txt break.before="0">confiscation of the proceeds of crime.</txt></block></li></list></block></subclause></clause><clause id="sec.22" guid="_4a98fbbe-4938-4136-bc50-f42585da1865" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>22</no><heading id="sec.22-he" guid="_d5f71240-d55f-45a4-bd9d-fb9a5a41f5a2">Application of Corporations legislation by other means</heading><block><txt break.before="1">Nothing in this part prevents a law of the State from applying any provision of the Corporations legislation, or of an Act, regulations or other instrument forming part of the Corporations legislation, as a law of the State otherwise than by means of a declaratory provision.</txt></block></clause></part><part id="pt.4" guid="_d85512ce-cf75-41af-9b60-8298e30b0511" to amend certain statutory instruments</heading><subclause id="sec.23-ssec.1" guid="_130a96f1-2e6c-4500-8524-c32b6a816329" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">The Governor in Council may make a regulation amending a statutory instrument made or approved by the Governor in Council in the exercise of a power conferred by any or</txt></block></li><li id="sec.23-ssec.2-para1.b" guid="_acb79b50-8e1b-40b7-9ff6-d7a97241c986" provision.type="other"><no>(b)</no><block><txt break.before="0">the <legref jurisd="CTH" type="act" refid="act-1989-109" target.version.series="C2004A03857" check="invalid"><name emphasis="yes">Corporations Act 1989</name></legref>; or</txt></block></li><li id="sec.23-ssec.2-para1.c" guid="_2101eace-cac6-4765-abc5-9b40e2934141" provision.type="other"><no>(c)</no><block><txt break.before="0">an Act amending an Act referred to in <intref refid="sec.23-ssec.2-para1.a" and</txt></block></li><li id="sec.23A-ssec.2-para1.b" guid="_39480dd8-5a30-4da8-b181-3d7ea1ab532d" provision.type="other"><no>(b)</no><block><txt break.before="0">subject to <intref refid="sec.23A-ssec.3" target.guid="_1b8a15dc-a474-4872-b1cc-ca925edddfef" check="valid">subsection&#160;(3)</intref>, the proposed regulation does not deal with any other
