purposes</heading><block><txt break.before="1">The main purposes of this regulation are—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.3-para1.a" guid="_ac6b0f13-940c-40f6-8c5a-c9cc872041ff" provision.type="other"><no>(a)</no><block><txt break.before="0">to mitigate the effects of the COVID-19 emergency on lessors and lessees under affected leases by giving effect to the good faith leasing principles set out in the National code; and</txt></block></li><li id="sec.3-para1.b" guid="_0ff56102-bc87-43d9-8207-2e092f231ac4" provision.type="other"><no>(b)</no><block><txt break.before="0">to establish a process for resolving—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.3-para1.b-para2.i" guid="_8e4e1182-6dcb-4f65-b3c8-60211afdabbf" provision.type="other"><no>(i)</no><block><txt break.before="0">small business tenancy disputes; and</txt></block></li><li id="sec.3-para1.b-para2.ii" guid="_c1eb23bc-927c-44c5-b716-4ba57db6a1f9" provision.type="other"><no>(ii)</no><block><txt break.before="0">affected lease disputes.</txt></block></li></list></block></li></list></block></clause><clause id="sec.4" guid="_12b273cb-9f3a-4ed3-9c35-f748ec6e59b0" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>4</no><heading id="sec.4-he" guid="_2b53aa72-92cf-42f6-9d11-b4db59abb968">Definitions</heading><block><txt break.before="1">The dictionary in <intref refid="sch.1" check="valid" target.guid="_c8d30fa9-374c-4da7-a717-57ffbcf3e576">schedule&#160;1</intref> defines particular words used in this regulation.</txt></block></clause><clause id="sec.5" guid="_b34c68b0-d1c1-4e87-ac91-1dc4e76198e9" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>5</no><heading id="sec.5-he" guid="_53f144bd-64ec-49c3-a5bf-90a29b2f1d3d">Meaning of <defterm id="sec.5-def.affectedlease" guid="_7b20bb80-7271-4b17-9a59-4e0ca71dd0c2" type="definition">affected lease</defterm></heading><subclause id="sec.5-ssec.1" guid="_03c4f42d-eb67-40cb-9a3e-9cbe094fb8db" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">A lease of premises is an <defterm id="sec.5-def.affectedlease-oc.2" guid="_bf58abdf-5eff-4d4d-99a6-99df271edf11" type="definition">affected lease</defterm> if—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.5-ssec.1-para1.a" guid="_9c18f9ca-7039-4738-a78a-6bfb348a8bac" provision.type="other"><no>(a)</no><block><txt break.before="0">it is—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.5-ssec.1-para1.a-para2.i" guid="_a08796a4-87f9-4afe-8066-9e0d61604978" provision.type="other"><no>(i)</no><block><txt break.before="0">a retail shop lease; or</txt></block></li><li id="sec.5-ssec.1-para1.a-para2.ii" guid="_54427625-2305-4b00-b0fd-5bc68f229823" provision.type="other"><no>(ii)</no><block><txt break.before="0">a prescribed lease; and</txt></block></li></list></block></li><li id="sec.5-ssec.1-para1.b" guid="_f52f008b-acdb-4823-abbc-934d0dbc6290" provision.type="other"><no>(b)</no><block><txt break.before="0">on the commencement the lease, or an agreement to enter into the lease, is binding on the lessee, whether or not the lease has commenced; and</txt></block></li><li id="sec.5-ssec.1-para1.c" guid="_cdb32187-00e2-4d44-8558-6591555745cc" provision.type="other"><no>(c)</no><block><txt break.before="0">the lessee under the lease is an SME entity; and</txt></block></li><li id="sec.5-ssec.1-para1.d" guid="_c55f3462-17a9-41cd-b7cc-16e1c9d34d96" provision.type="other"><no>(d)</no><block><txt break.before="0">the lessee under the lease, or an entity that is connected with, or an affiliate of, the lessee responsible for, or involved in, employing staff for the business carried on at the leased premises, is eligible for the jobkeeper scheme.</txt></block></li></list></block></subclause><subclause id="sec.5-ssec.2" guid="_b1c73db7-8d23-4b4a-ab5d-eb9314058d1c" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">Also, if the lessee under an affected lease under <intref refid="sec.5-ssec.1" check="valid" target.guid="_03c4f42d-eb67-40cb-9a3e-9cbe094fb8db">subsection&#160;(1)</intref> is a franchisee, a lease under which the franchisor is lessee of the premises occupied by the franchisee is also an <defterm id="sec.5-def.affectedlease-oc.3" guid="_29c2ebce-c6af-4722-902b-22c7c6748c37" type="definition">affected lease</defterm>.</txt></block></subclause><subclause id="sec.5-ssec.3" guid="_49485921-c4cd-41e5-9e3f-7cbc7d55dd4a" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">For working out whether the lessee is an SME entity for <intref refid="sec.5-ssec.1" check="valid" target.guid="_03c4f42d-eb67-40cb-9a3e-9cbe094fb8db">subsection&#160;(1)</intref><intref refid="sec.5-ssec.1-para1.c" check="valid" target.guid="_cdb32187-00e2-4d44-8558-6591555745cc">(c)</intref>, the lessee’s annual turnover is taken to be—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.5-ssec.3-para1.a" guid="_2a0e3dde-b963-47e0-8f8c-ba8bb3921b9f" provision.type="other"><no>(a)</no><block><txt break.before="0">if the lessee is an entity connected with, or an affiliate of, another entity—the aggregate annual turnover of the entities; or</txt></block></li><li id="sec.5-ssec.3-para1.b" guid="_b1b0929a-5e61-4b1e-9213-57cd4366e1f4" provision.type="other"><no>(b)</no><block><txt break.before="0">otherwise—the annual turnover of the business carried on by the lessee at the leased premises.</txt></block><note id="sec.5-ssec.3-para1.b-note" guid="_810cc981-c73f-4028-b1fe-8658c0b13ae3" type="example"><heading id="sec.5-ssec.3-para1.b-note-he" guid="_f3dda810-ae35-4f3b-a2b9-cd37f48ba059">Note—</heading><block><txt break.before="1">An entity that is a franchisee is not connected with, or an affiliate of, the franchisor merely because the entity is a franchisee. </txt></block></note></li></list></block></subclause><subclause id="sec.5-ssec.4" guid="_7424a0f2-8b92-46b1-b8a7-8a8f98b3f5cc" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">However, an <defterm id="sec.5-def.affectedlease-oc.4" guid="_9f4ab476-ad86-49cc-8233-f50e0eb8393b" type="definition">affected lease</defterm> does not include—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.5-ssec.4-para1.a" guid="_013e3b64-5269-4dc1-b172-65c44bcedccb" provision.type="other"><no>(a)</no><block><txt break.before="0">a lease under which premises are to be used wholly or predominantly for a farming business under the <legref jurisd="QLD" type="act" target.doc.id="act-2017-007" target.version.series="1c41d7ca-68f6-4b83-a132-3e3a6e919583" check="valid"><name emphasis="yes">Farm Business Debt Mediation Act 2017</name></legref>, <legref jurisd="QLD" type="act" target.doc.id="act-2017-007" target.version.series="1c41d7ca-68f6-4b83-a132-3e3a6e919583" refid="sch.1" check="valid" target.guid="_df0aaf1e-b3d1-473d-8d6f-ddf9957e1f6b">schedule&#160;1</legref>; or</txt></block></li><li id="sec.5-ssec.4-para1.b" guid="_8d2af1f1-fab3-41f5-b095-9f5dcfe448d6" provision.type="other"><no>(b)</no><block><txt break.before="0">a lease, permit, licence or sublease under the <legref jurisd="QLD" type="act" target.doc.id="act-1994-081" target.version.series="65816ffc-330d-4ddd-87b5-e82241fc305f" check="valid"><name emphasis="yes">Land Act 1994</name></legref>, unless—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.5-ssec.4-para1.b-para2.i" guid="_4b5abc73-a7ce-479b-b0e4-222d17d50015" provision.type="other"><no>(i)</no><block><txt break.before="0">it is a sublease of premises under a lease that has a rental category of 13 or 16 under that Act; and</txt></block></li><li id="sec.5-ssec.4-para1.b-para2.ii" guid="_59124a97-1bdb-41b2-aa50-ac12b055ef53" provision.type="other"><no>(ii)</no><block><txt break.before="0">the sublessor under the sublease is not a government leasing entity within the meaning of the <legref jurisd="QLD" type="subordleg" target.doc.id="sl-2009-0282" target.version.series="03a8acd3-db56-4867-b5cc-7b0993488f62" check="valid"><name emphasis="yes">Land Regulation 2009</name></legref>, <legref jurisd="QLD" type="subordleg" target.doc.id="sl-2009-0282" target.version.series="03a8acd3-db56-4867-b5cc-7b0993488f62" refid="sec.30" check="valid" target.guid="_f36c29c0-6a35-4314-9a59-82fb8756dc84">section&#160;30</legref><legref jurisd="QLD" type="subordleg" target.doc.id="sl-2009-0282" target.version.series="03a8acd3-db56-4867-b5cc-7b0993488f62" refid="sec.30-ssec.3" check="valid" target.guid="_3229101a-a43f-4a64-aeee-8876757b6510">(3)</legref>.</txt></block></li></list></block></li></list></block></subclause><subclause id="sec.5-ssec.5" target.doc.id="act-1997-038" target.version.series="C2004A05138" check="valid"><name emphasis="yes">Income Tax Assessment Act 1997</name> (Cwlth)</legref>, <legref jurisd="CTH" type="act" target.doc.id="act-1997-038" target.version.series="C2004A05138" refid="sec.328" check="invalid">section&#160;328</legref>-130.</txt></definition><definition id="sec.5-ssec.5-def.connectedwith_" guid="_f9b497d0-5d5f-4833-bee4-ffa057a8329f" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.5-ssec.5-def.connectedwith" guid="_dcb08859-c62b-4906-a231-d5625ebdc6ac" type="definition">connected with</defterm>, an entity, means connected with the entity under the <legref jurisd="CTH" type="act" target.doc.id="act-1997-038" target.version.series="C2004A05138" check="valid"><name emphasis="yes">Income Tax Assessment Act 1997</name> (Cwlth)</legref>, <legref jurisd="CTH" type="act" target.doc.id="act-1997-038" target.version.series="C2004A05138" refid="sec.328" check="invalid">section&#160;328</legref>-125.</txt></definition><definition id="sec.5-ssec.5-def.eligibleforthejobkeeperscheme_" guid="_678815ee-a4c4-49c4-918b-0cc385abf332" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.5-ssec.5-def.eligibleforthejobkeeperscheme" guid="_860ccacc-489d-4aae-9bd8-9ca582dba1d0" type="definition">eligible for the jobkeeper scheme</defterm> means eligible for the jobkeeper scheme under the <legref jurisd="CTH" type="subordleg" check="invalid"><name emphasis="yes">Coronavirus Economic Response Package (Payments and Benefits) Rules&#160;2020</name> (Cwlth)</legref>, <legref jurisd="CTH" type="subordleg" refid="sec.7" check="invalid">sections&#160;7</legref> and <legref jurisd="CTH" type="subordleg" refid="sec.8" check="invalid">8</legref>.</txt></definition><definition id="sec.5-ssec.5-def.franchisor_" guid="_325ae38a-fb6f-401d-9b4e-8577cdbc0860" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.5-ssec.5-def.franchisor" guid="_c095526e-5edd-4b26-b015-1bc75703bb56" type="definition">franchisor</defterm>, in relation to a lease of premises occupied by a franchisee, includes a leasing affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.5-ssec.5-def.SMEentity" guid="_bdb039b2-1ac6-431a-8ad5-3223dde11645" type="definition">SME entity</defterm> has the meaning given under the <legref jurisd="CTH" type="subordleg" check="invalid"><name emphasis="yes">Guarantee of Lending to Small and Medium Enterprises (Coronavirus Economic Response Package) Rules&#160;2020</name> (Cwlth)</legref>, <legref jurisd="CTH" type="subordleg" refid="sec.5" check="invalid">section&#160;5</legref>.</txt></definition><definition id="sec.5-ssec.5-def.turnover_" guid="_9f73999f-5b72-401c-95fe-7a5c5569202f" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.5-ssec.5-def.turnover" guid="_f2e054a0-b52e-4c38-9a49-dd9be986e34c" type="definition">turnover</defterm>, of a business, includes income earned from internet sales, but does not include a grant or assistance given by the Commonwealth, State or a local government to mitigate the effects of the COVID-19 emergency.</txt></definition></deflist></block></subclause></clause><clause id="sec.6" guid="_94753d8d-378f-4ee3-ad00-8fa7e24b86dd" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>6</no><heading id="sec.6-he" guid="_214efa0d-8154-43c5-97ae-e26502be0196">Prescribed relevant leases—<legref target.doc.id="act-2020-013" target.version.series="4c7d5743-5188-49bf-8dc0-d711130a1cd1" jurisd="QLD" type="act" check="valid">Act</legref>, <legref target.doc.id="act-2020-013" target.version.series="4c7d5743-5188-49bf-8dc0-d711130a1cd1" jurisd="QLD" type="act" refid="sec.23" check="valid" non-profit basis, a reference in this regulation to carrying on a business includes a reference to the carrying on of the operations or activities by the lessee.</txt></block></clause><clause break.before="0">recovery of possession;</txt></block></li><li id="sec.9-para1.b" guid="_f3b21b26-4a3c-4096-bd5a-5c692a0dd72b" provision.type="other"><no>(b)</no><block><txt break.before="0">termination of the lease;</txt></block></li><li id="sec.9-para1.c" guid="_b70018c1-eb41-4bed-acdc-c820a9bc3c88" provision.type="other"><no>(c)</no><block><txt break.before="0">eviction of the lessee;</txt></block></li><li id="sec.9-para1.d" guid="_4881f803-1fdf-466e-9b12-e88b51a5f473" provision.type="other"><no>(d)</no><block><txt break.before="0">exercising a right of re-entry to premises;</txt></block></li><li id="sec.9-para1.e" guid="_3d8986b9-3c08-426a-8aff-c024af8855d2" provision.type="other"><no>(e)</no><block><txt break.before="0">seizure of any property, including for the purpose of securing payment of rent;</txt></block></li><li id="sec.9-para1.f" guid="_d3ce7dbe-c7f5-462c-91aa-d965267b66dd" provision.type="other"><no>(f)</no><block><txt break.before="0">forfeiture;</txt></block></li><li id="sec.9-para1.g" guid="_8c198ab2-0a82-46b8-a85f-f428105f1142" provision.type="other"><no>(g)</no><block><txt break.before="0">damages;</txt></block></li><li id="sec.9-para1.h" guid="_1a12d509-4bde-4029-8925-5287e8e22b8e" provision.type="other"><no>(h)</no><block><txt break.before="0">the payment of interest on, or a fee or charge relating to, unpaid rent or outgoings;</txt></block></li><li id="sec.9-para1.i" guid="_7f507053-33e0-4734-bbff-8909c726700f" provision.type="other"><no>(i)</no><block><txt break.before="0">a claim on a bank guarantee, indemnity or security deposit for unpaid rent or outgoings;</txt></block></li><li id="sec.9-para1.j" guid="_2f55cb39-b227-42c8-89f6-2fd6d15696b8" provision.type="other"><no>(j)</no><block><txt break.before="0">the performance of an obligation by the lessee or another person under a guarantee under the lease;</txt></block></li><li id="sec.9-para1.k" guid="_8ad1e450-2d27-43d7-949b-ddd910144524" provision.type="other"><no>(k)</no><block><txt break.before="0">exercising or enforcing another right by the lessor under the lease or other agreement relating to the leased premises.</txt></block></li></list></block></clause><clause id="sec.10" guid="_f2095289-3d93-441d-bbd0-98188515a5b1" affected.by.uncommenced="0"><no>Division 2</no><heading id="pt.2-div.2-he" guid="_6a317289-07b6-4350-9d62-ed4a07cfec95">General obligations</heading><clause id="sec.11" guid="_b7ad3501-5847-4571-9af5-d6e53940004b" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>11</no><heading id="sec.11-he" guid="_cd360a3f-3d39-438a-9639-ee955f59cee8">Parties to affected lease must cooperate</heading><block><txt break.before="1">The lessor and lessee under an affected lease must cooperate and act reasonably and in good faith in all discussions and actions associated with—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.11-para1.a" guid="_ea3c460c-afd6-4886-bae2-cb76f2d89669" provision.type="other"><no>(a)</no><block><txt break.before="0">mitigating the effect of the COVID-19 emergency on the parties to the lease; and</txt></block></li><li id="sec.11-para1.b" guid="_52424c3d-a2bb-4668-a8f6-d22545eebf18" provision.type="other"><no>(b)</no><block><txt break.before="0">other matters to which this part applies.</txt></block></li></list><note id="sec.11-note" guid="_972e4e71-66ef-4fc7-874b-75926526a114" type="example"><heading id="sec.11-note-he" guid="_c8778ec0-33d2-49d6-8b1d-a6109d7a11f1">Note—</heading><block><txt break.before="1">A mediator or court may have regard to whether or not a lessor or lessee under an affected lease has complied with this section in a proceeding relating to the affected lease.</txt></block></note></block></clause><clause id="sec.12" guid="_2fd95034-c6bf-455c-ad79-1adbcb94e806" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>12</no><heading id="sec.12-he" guid="_c9c6fee3-947c-47a0-a84a-5ae8a7ecc493">Lessor under affected lease must not take prescribed action during response period</heading><subclause id="sec.12-ssec.1" guid="_db0cc298-f748-43c1-a031-52367372d38c" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">A lessor under an affected lease must not take a prescribed action on any of the following grounds—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.12-ssec.1-para1.a" guid="_fda9d754-74c2-40bd-ae2a-cc57079a5d38" provision.type="other"><no>(a)</no><block><txt break.before="0">a failure to pay rent for a period occurring wholly or partly during the response period;</txt></block></li><li id="sec.12-ssec.1-para1.b" guid="_45bfc628-f5f1-44b8-9d72-054856401d24" provision.type="other"><no>(b)</no><block><txt break.before="0">a failure to pay outgoings for a period occurring wholly or partly during the response period;</txt></block></li><li id="sec.12-ssec.1-para1.c" guid="_15e2d82e-0e6c-48ce-9cdd-5ede560679e7" provision.type="other"><no>(c)</no><block><txt break.before="0">the business carried on at the leased premises not being open for business during the hours required under the lease during the response period.</txt></block></li></list></block></subclause><subclause id="sec.12-ssec.2" guid="_eafb4e7e-e7a1-4605-8435-03d9e42e8fce" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">However, <intref refid="sec.12-ssec.1" check="valid" target.guid="_db0cc298-f748-43c1-a031-52367372d38c">subsection&#160;(1)</intref> does not prevent the lessor taking a prescribed action—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.12-ssec.2-para1.a" guid="_3c096fa2-f642-44f4-b0d9-87d70228130f" provision.type="other"><no>(a)</no><block><txt break.before="0">in accordance with—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.12-ssec.2-para1.a-para2.i" guid="_10a2a320-709e-49fb-a37d-a508707ff0ac" provision.type="other"><no>(i)</no><block><txt break.before="0">a variation of the lease made under <intref refid="pt.2-div.3" check="valid" target.guid="_dd616502-dd77-4e35-a3de-f373f3988a78">division&#160;3</intref>; or</txt></block></li><li id="sec.12-ssec.2-para1.a-para2.ii" guid="_da3876e5-31c9-4f2c-8480-22ede4635111" provision.type="other"><no>(ii)</no><block><txt break.before="0">a settlement agreement or other agreement between the lessor and lessee entered into about a matter mentioned in <intref refid="sec.12-ssec.1" check="valid" target.guid="_db0cc298-f748-43c1-a031-52367372d38c">subsection&#160;(1)</intref><intref refid="sec.12-ssec.1-para1.a" check="valid" target.guid="_fda9d754-74c2-40bd-ae2a-cc57079a5d38">(a)</intref>, <intref refid="sec.12-ssec.1-para1.b" check="valid" target.guid="_45bfc628-f5f1-44b8-9d72-054856401d24">(b)</intref> or <intref refid="sec.12-ssec.1-para1.c" check="valid" target.guid="_15e2d82e-0e6c-48ce-9cdd-5ede560679e7">(c)</intref>; or</txt></block></li><li id="sec.12-ssec.2-para1.a-para2.iii" guid="_9618466b-56fc-4e04-a39b-7fbece068814" provision.type="other"><no>(iii)</no><block><txt break.before="0">an order of a court or tribunal; or</txt></block></li></list></block></li><li id="sec.12-ssec.2-para1.b" guid="_9c9098cd-a61e-4f3e-a4e4-ccd19eeb0026" provision.type="other"><no>(b)</no><block><txt break.before="0">if, despite a genuine attempt by the lessor to negotiate rent payable and other conditions of the lease under <intref refid="pt.2-div.3" check="valid" target.guid="_dd616502-dd77-4e35-a3de-f373f3988a78">division&#160;3</intref>, the lessee has substantially failed to comply with the lessee’s obligations under that division in relation to the negotiations; or</txt></block></li><li id="sec.12-ssec.2-para1.c" guid="_9b4ae6bf-dd5e-4023-abbc-1bc23fc62936" provision.type="other"><no>(c)</no><block><txt break.before="0">on a ground that is not related to the effects of the COVID-19 emergency.</txt></block></li></list></block></subclause><subclause id="sec.12-ssec.3" guid="_e768f60e-eb9a-4d2c-a04a-f48bebbbf43b" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">The lessee under the affected lease may apply to QCAT or a court with jurisdiction to hear the matter for an order requiring the lessor to comply with <intref refid="sec.12-ssec.1" check="valid" target.guid="_db0cc298-f748-43c1-a031-52367372d38c">subsection&#160;(1)</intref>.</txt></block></subclause><subclause id="sec.12-ssec.4" guid="_c8472607-dadb-4036-86eb-f5a8ffed77a4" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">Also—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.12-ssec.4-para1.a" guid="_baf222aa-5ed1-4e43-8923-2eb302839a7c" provision.type="other"><no>(a)</no><block><txt break.before="0">if the lessee mentioned in <intref refid="sec.12-ssec.3" check="valid" target.guid="_e768f60e-eb9a-4d2c-a04a-f48bebbbf43b">subsection&#160;(3)</intref> is a franchisor who is the lessee of the premises occupied by the franchisee, the application may be made jointly with the franchisee; and</txt></block></li><li id="sec.12-ssec.4-para1.b" guid="_0b7eabd2-0e6e-415d-af5e-06653f357271" provision.type="other"><no>(b)</no><block><txt break.before="0">if the lessee mentioned in <intref refid="sec.12-ssec.3" check="valid" target.guid="_e768f60e-eb9a-4d2c-a04a-f48bebbbf43b">subsection&#160;(3)</intref> is a franchisee and the franchisor is the lessee of the premises occupied by the franchisee, the franchisor may apply to have the lessor of the premises joined in the matter.</txt></block></li></list></block></subclause><subclause id="sec.12-ssec.5" guid="_1f8df3dc-d254-4f83-bb4e-aaece7710971" affected.by.uncommenced="0" provision.type="other"><no>(5)</no><block><txt break.before="0">In the proceeding, QCAT or a court may—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.12-ssec.5-para1.a" guid="_e789f5d3-f1d1-43bc-acb6-08f4bb2b3fa1" provision.type="other"><no>(a)</no><block><txt break.before="0">make any order it considers appropriate; and</txt></block></li><li id="sec.12-ssec.5-para1.b" guid="_2752314c-fa18-4d32-af66-859e0adcb822" provision.type="other"><no>(b)</no><block><txt break.before="0">award costs against the lessor or the lessee in the proceeding.</txt></block></li></list></block></subclause></clause><clause id="sec.13" guid="_85a4e3ee-76d9-4678-bc64-b1afed52e8f6" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>13</no><heading id="sec.13-he" guid="_b893c8b9-171b-4bed-870a-8b1edf1990ea">Lessor must not increase rent </heading><subclause id="sec.13-ssec.1" guid="_5ec62295-f230-4390-b881-f3a2e6f31149" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">A lessor under an affected lease must not increase the rent payable by the lessee during the response period.</txt></block></subclause><subclause id="sec.13-ssec.2" guid="_92383675-6e4b-49c9-843c-070ff7fbef9a" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">If the lease provides for a review of rent during the response period, the lessor may review the rent under the lease but must not give effect to an increase in rent until the response period ends.</txt><note id="sec.13-ssec.2-note" guid="_813d20e9-510b-4088-b1f5-92503599434e" type="example"><heading id="sec.13-ssec.2-note-he" guid="_11f72344-ccb6-4c9f-a71f-14f066e38b2d">Example—</heading><block><txt break.before="1">The lessor is entitled, on review of rent under the lease, to increase rent on 1 July 2020. The lessor decides to increase the amount of rent payable. The lessee is not required to pay the increased amount, and rent in relation to the increased amount can not start to accrue, until after the end of the response period.</txt></block></note></block></subclause><subclause id="sec.13-ssec.3" guid="_8863e8f8-4e0f-4fbe-8ffe-1ed3fed1224a" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">However, <intref refid="sec.13-ssec.1" check="valid" target.guid="_5ec62295-f230-4390-b881-f3a2e6f31149">subsections&#160;(1)</intref> and <intref refid="sec.13-ssec.2" check="valid" target.guid="_92383675-6e4b-49c9-843c-070ff7fbef9a">(2)</intref> do not apply to the extent that the rent increase is worked out under the lease by reference to the turnover of the business carried on at the leased premises.</txt></block></subclause><subclause id="sec.13-ssec.4" guid="_d616c150-7296-4d9a-9ace-17c70ccea056" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">The lessor must not, after the response period ends, take a prescribed action against the lessee on the ground of a failure to pay an amount equal to or representing the amount of the increase prohibited under <intref refid="sec.13-ssec.1" check="valid" target.guid="_5ec62295-f230-4390-b881-f3a2e6f31149">subsection&#160;(1)</intref> or <intref refid="sec.13-ssec.2" check="valid" target.guid="_92383675-6e4b-49c9-843c-070ff7fbef9a">(2)</intref>.</txt></block></subclause></clause></division><division id="pt.2-div.3" guid="_dd616502-dd77-4e35-a3de-f373f3988a78" affected.by.uncommenced="0"><no>Division 3</no><heading id="pt.2-div.3-he" guid="_42fe85bb-7dc2-4c50-910c-427c9432776e">Obligations for negotiating outcomes</heading><clause id="sec.14" guid="_b338a9c9-da67-4d93-b8af-302ee77e06c5" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>14</no><heading id="sec.14-he" guid="_d144e1b0-71f6-4d3f-b345-c9d7f20856f4">Parties must renegotiate rent payable and other conditions</heading><subclause id="sec.14-ssec.1" guid="_fd645302-0154-4002-a596-bec7f07d3352" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">A party (the <defterm id="sec.14-def.initiator" guid="_910e52b8-f3b9-4412-81f3-f816c46792e4" type="definition">initiator</defterm>) to an affected lease may, in writing, ask another party to the lease to negotiate the rent payable under, and other stated conditions of, the lease.</txt></block></subclause><subclause id="sec.14-ssec.2" guid="_4bddb4f7-52f0-4497-a5c1-a474518dc452" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">After the initiator’s request is made, the parties must, as soon as practicable, give each other information relating to the request that is—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.14-ssec.2-para1.a" guid="_55fa51fa-83ac-480a-a1f8-d8c5cdac24d3" provision.type="other"><no>(a)</no><block><txt break.before="0">true, accurate, correct and not misleading; and</txt></block></li><li id="sec.14-ssec.2-para1.b" guid="_cd16b2d1-07bb-4e5c-857c-d49d09c1bf81" provision.type="other"><no>(b)</no><block><txt break.before="0">sufficient to enable the parties to negotiate in a fair and transparent way.</txt></block><note id="sec.14-ssec.2-para1.b-note" guid="_62bb0b55-cbe0-43eb-b8d7-d7274300e45e" type="example"><heading id="sec.14-ssec.2-para1.b-note-he" guid="_6e326b88-9a1e-47ed-943d-223c12768539">Examples of sufficient information—</heading><block><list number.type="manual" unnumbered.indent="0"><li id="sec.14-ssec.2-para1.b-note-para2" guid="_9cb72623-4bc4-4363-8a2c-3116a07b9840" provision.type="other"><no>•</no><block><txt break.before="0">a clear statement about the terms of the lease the initiator is seeking to negotiate</txt></block></li><li id="sec.14-ssec.2-para1.b-note-para2-oc.2" guid="_9dcec34a-ade9-4c0b-89bd-6e6c9079118d" provision.type="other"><no>•</no><block><txt break.before="0">a statement by the lessee that demonstrates why the lease is an affected lease, accompanied by supporting information and evidence, including—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.14-ssec.2-para1.b-note-para2-oc.2-para3" guid="_89e2e27a-f41e-4294-8503-5cd3910de029" provision.type="other"><no>•</no><block><txt break.before="0">accurate financial information or statements about the turnover of the lessee’s business</txt></block></li><li id="sec.14-ssec.2-para1.b-note-para2-oc.2-para3-oc.2" guid="_cf676fcf-cc5f-4e0d-9381-35a64e57f40e" provision.type="other"><no>•</no><block><txt break.before="0">information demonstrating that the lessee is an SME entity under <intref refid="sec.5" check="valid" target.guid="_b34c68b0-d1c1-4e87-ac91-1dc4e76198e9">section&#160;5</intref>, having regard to any entities that the lessee is connected with, or an affiliate of</txt></block></li><li id="sec.14-ssec.2-para1.b-note-para2-oc.2-para3-oc.3" guid="_fbdf50fc-52d6-4630-ae97-97ef415a3d9a" provision.type="other"><no>•</no><block><txt break.before="0">evidence of the lessee’s eligibility for, or participation in, the jobkeeper scheme</txt></block></li><li id="sec.14-ssec.2-para1.b-note-para2-oc.2-para3-oc.4" guid="_827b5503-bd3d-4b85-81d7-4cba137eaa1f" provision.type="other"><no>•</no><block><txt break.before="0">information about any steps the lessee has taken to mitigate the effects of the COVID-19 emergency on the lessee’s business, including the details of any assistance being received by the lessee from the Commonwealth, State or a local government</txt></block></li></list></block></li><li id="sec.14-ssec.2-para1.b-note-para2-oc.3" guid="_e25ce0be-0447-420f-8d2d-f8ba949d2e2d" provision.type="other"><no>•</no><block><txt break.before="0">in relation to a franchisor—information about any concession or benefit provided to or by the franchisor in relation to rent or outgoings for the premises occupied by the franchisee, and any undertakings to pass those concessions or benefits on to the franchisee</txt></block></li></list></block></note></li></list></block></subclause><subclause id="sec.14-ssec.3" guid="_5aa37c5a-c5ce-4d46-a2b9-4c6057fbba8b" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">The parties to the affected lease must—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.14-ssec.3-para1.a" guid="_ec4ccee5-013c-4107-8a15-e6feaabac525" provision.type="other"><no>(a)</no><block><txt break.before="0">negotiate the conditions of the lease the subject of the initiator’s request; and</txt></block></li><li id="sec.14-ssec.3-para1.b" guid="_0e4aabc1-e889-4692-9fe9-4723bf6888bc" provision.type="other"><no>(b)</no><block><txt break.before="0">comply with <intref refid="sec.15" check="valid" target.guid="_6bd030a9-1e61-403d-a3be-b4d7ac5f1251">section&#160;15</intref>.</txt></block></li></list></block></subclause></clause><clause id="sec.15" guid="_6bd030a9-1e61-403d-a3be-b4d7ac5f1251" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>15</no><heading id="sec.15-he" guid="_a8eaee63-dd75-43e4-9f59-889bc7a73bc9">Negotiating rent payable and other conditions</heading><subclause id="sec.15-ssec.1" guid="_59a16fd7-0140-463e-9949-9b677bd99463" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">Within 30 days after a party receives sufficient information about a request under <intref refid="sec.14" check="valid" target.guid="_b338a9c9-da67-4d93-b8af-302ee77e06c5">section&#160;14</intref><intref refid="sec.14-ssec.2" check="valid" target.guid="_4bddb4f7-52f0-4497-a5c1-a474518dc452">(2)</intref>, the lessor must offer the lessee a reduction in the amount of rent payable under the lease, and any proposed changes to other stated conditions.</txt></block></subclause><subclause id="sec.15-ssec.2" guid="_32506b92-dd7d-41d7-9af5-62b53baddf83" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">The offer must—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.15-ssec.2-para1.a" guid="_f79e4d4d-5240-4ce7-9176-ad150b4473a3" provision.type="other"><no>(a)</no><block><txt break.before="0">relate to any or all of the rent payable under the affected lease during the response period; and</txt></block></li><li id="sec.15-ssec.2-para1.b" guid="_117b4c07-9138-41f8-8877-f0e06993f63e" provision.type="other"><no>(b)</no><block><txt break.before="0">provide for no less than 50% of the rent reduction offered to be in the form of a waiver of rent; and</txt></block></li><li id="sec.15-ssec.2-para1.c" guid="_844d1034-ab16-476c-941a-c83d67225f3f" provision.type="other"><no>(c)</no><block><txt break.before="0">have regard to—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.15-ssec.2-para1.c-para2.i" guid="_f9fdf8cc-6b46-4f90-9c26-fbbc7901805c" provision.type="other"><no>(i)</no><block><txt break.before="0">all the circumstances of the lessee and the affected lease, including the reduction in turnover of the business carried on at the leased premises during the response period; and</txt></block></li><li id="sec.15-ssec.2-para1.c-para2.ii" guid="_efd6263d-04cd-4d69-9569-5d38a3bd519b" provision.type="other"><no>(ii)</no><block><txt break.before="0">the extent to which a failure to reduce the rent payable under the lease would compromise the lessee’s ability to comply with the lessee’s obligations under the lease, including the payment of rent; and</txt></block></li><li id="sec.15-ssec.2-para1.c-para2.iii" guid="_0d738fa6-d3ff-43da-b25f-a62ffaa8e8dc" provision.type="other"><no>(iii)</no><block><txt break.before="0">the lessor’s financial position, including any financial relief provided to the lessor as a COVID-19 response measure; and</txt></block></li><li id="sec.15-ssec.2-para1.c-para2.iv" guid="_07d7d1c2-f15d-422a-b729-be42f841b22a" provision.type="other"><no>(iv)</no><block><txt break.before="0">if a portion of rent or another amount payable under the lease represents an amount for land tax, local government rates, statutory charges, insurance premiums or other outgoings—any reduction in, or waiver of, the amount payable.</txt></block></li></list></block></li></list></block></subclause><subclause id="sec.15-ssec.3" guid="_d5c492bf-2cfb-44d1-971e-ec51aa897206" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">On receiving the lessor’s offer, the lessee and lessor must cooperate and act reasonably and in good faith in negotiating a reduction in the amount of rent payable under the lease for the response period, including any conditions relating to the reduction in rent.</txt></block></subclause><subclause id="sec.15-ssec.4" guid="_987909ce-4a80-46a8-b3e1-c9a5ecf39e59" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">The reduction in rent and any conditions relating to the reduction in rent may be given effect by—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.15-ssec.4-para1.a" guid="_c64db324-6c8a-4c6a-ba62-9802ee12b242" provision.type="other"><no>(a)</no><block><txt break.before="0">a variation to the lease; or</txt></block></li><li id="sec.15-ssec.4-para1.b" guid="_d396fa75-5352-4426-a5d9-079a2198dffb" provision.type="other"><no>(b)</no><block><txt break.before="0">another agreement between the parties that gives effect to the matters agreed to under <intref refid="sec.15-ssec.3" check="valid" target.guid="_d5c492bf-2cfb-44d1-971e-ec51aa897206">subsection&#160;(3)</intref>.</txt></block></li></list></block></subclause></clause><clause id="sec.16" guid="_e768c12c-0988-4296-8431-62f3d89587f6" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>16</no><heading id="sec.16-he" guid="_458cbc25-5c9c-4a4a-af5e-7b6c188904ff">Further rent negotiations</heading><subclause id="sec.16-ssec.1" guid="_9e3cd3ba-2fd0-4367-b086-104ccd266687" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">This section applies if, after a reduction in the amount of rent is agreed between the parties to an affected lease (whether the agreement is entered into before or after the commencement), a ground on which the agreement is based changes in a material way.</txt><note id="sec.16-ssec.1-note" guid="_3882b276-0512-40e2-9c8b-ca8a5e0cf99b" type="example"><heading id="sec.16-ssec.1-note-he" guid="_dd815c37-270a-4d3d-bb0b-bd9486534c5e">Examples—</heading><block><list number.type="manual" unnumbered.indent="0"><li id="sec.16-ssec.1-note-para1" guid="_12a2c908-f9a0-440d-a299-b9150d73c141" provision.type="other"><no>•</no><block><txt break.before="0">the lessee’s turnover has not increased as significantly as anticipated</txt></block></li><li id="sec.16-ssec.1-note-para1-oc.2" guid="_787b32d7-1eb0-47d5-98dd-f0df643e42ea" provision.type="other"><no>•</no><block><txt break.before="0">the lessee’s income decreases substantially</txt></block></li></list></block></note></block></subclause><subclause id="sec.16-ssec.2" guid="_b4c20292-4453-4add-babe-2451e6568ca6" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">A party may ask another party to the lease to negotiate a further reduction in rent during the response period.</txt></block><note id="sec.16-ssec.2-note" guid="_d5669414-b690-4b24-b626-500d381cc58d" type="example"><heading id="sec.16-ssec.2-note-he" guid="_adf7a0ac-f1d6-45a4-8528-756d4c316970">Note—</heading><block><txt break.before="1">Nothing in this regulation prevents the parties from negotiating an increase in rent.</txt></block></note></subclause><subclause id="sec.16-ssec.3" guid="_73cff26e-f652-4c3e-8bdd-1ceb16d2c16a" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0"><intref refid="sec.14" check="valid" target.guid="_b338a9c9-da67-4d93-b8af-302ee77e06c5">Sections&#160;14</intref> and <intref refid="sec.15" check="valid" target.guid="_6bd030a9-1e61-403d-a3be-b4d7ac5f1251">15</intref> apply to the negotiation as if the party making the request were the initiator under <intref refid="sec.14" check="valid" target.guid="_b338a9c9-da67-4d93-b8af-302ee77e06c5">section&#160;14</intref><intref refid="sec.14-ssec.1" check="valid" target.guid="_fd645302-0154-4002-a596-bec7f07d3352">(1)</intref>.</txt></block></subclause><subclause id="sec.16-ssec.4" guid="_05b33802-5642-4ca9-8357-5d3e3bbf5b15" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">However, the lessor’s offer need not comply with <intref refid="sec.15" check="valid" target.guid="_6bd030a9-1e61-403d-a3be-b4d7ac5f1251">section&#160;15</intref><intref refid="sec.15-ssec.2" check="valid" target.guid="_32506b92-dd7d-41d7-9af5-62b53baddf83">(2)</intref><intref refid="sec.15-ssec.2-para1.b" check="valid" target.guid="_117b4c07-9138-41f8-8877-f0e06993f63e">(b)</intref>.</txt></block></subclause></clause><clause id="sec.17" guid="_8d30ec10-c135-4c54-953e-1dc2b2b9582d" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>17</no><heading id="sec.17-he" guid="_05db5f02-5fb3-4c73-acba-ac14684dc7ae">Requirements relating to deferred rent</heading><subclause id="sec.17-ssec.1" guid="_509846ef-eacb-4afc-8a7e-1a9b786cd57e" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">This section applies if the parties to an affected lease agree under this part to defer payment of an amount of rent.</txt></block></subclause><subclause id="sec.17-ssec.2" guid="_c8b7cd7e-a4a6-42ca-bdeb-7bcb66ce196d" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">The variation of the lease or agreement between the parties—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.17-ssec.2-para1.a" guid="_33a93424-2d74-49c2-868f-2213fb7f6ea3" provision.type="other"><no>(a)</no><block><txt break.before="0">must not require payment of the deferred rent to commence until the day after the end of the response period; and</txt></block></li><li id="sec.17-ssec.2-para1.b" guid="_4901ba3b-f7ab-43e0-8b9a-222220967ad5" provision.type="other"><no>(b)</no><block><txt break.before="0">must require payment of the deferred rent to be amortised, using a method agreed between the parties, over a period of at least 2 years but no more than 3 years; and</txt></block></li><li id="sec.17-ssec.2-para1.c" guid="_19bd6139-7242-418f-840b-269c0d3ed005" provision.type="other"><no>(c)</no><block><txt break.before="0">must provide that the lessor must not, under the lease, require the lessee to pay interest or any other fee or charge in relation to an amount of deferred rent, unless the lessee fails to comply with the conditions on which the rent is deferred.</txt></block></li></list></block></subclause><subclause id="sec.17-ssec.3" guid="_67836457-02cf-4c32-996d-068cc406b3a4" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">Despite the conditions of the lease, the lessor may continue to hold any security deposit given to the lessor until the deferred rent has been paid.</txt></block></subclause><subclause id="sec.17-ssec.4" guid="_aab2ad38-0fe1-453d-b395-0412addc9b00" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">If the lessor continues to hold a security deposit under <intref refid="sec.17-ssec.3" check="valid" target.guid="_67836457-02cf-4c32-996d-068cc406b3a4">subsection&#160;(3)</intref> after the lease ends, the lessor holds, and may claim in relation to, the security deposit under the conditions of the lease in effect immediately before it ended.</txt></block></subclause></clause><clause id="sec.18" guid="_fb78bfc3-79be-47ba-8ec9-12bac3c81ee8" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>18</no><heading id="sec.18-he" guid="_2ba40f9e-325e-48dd-9a57-80b150def16a">Extending lease for period of waiver or rent deferral</heading><subclause id="sec.18-ssec.1" guid="_2a14a9df-0c7f-4966-b448-12e2bea81683" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">This section applies if rent under an affected lease is waived or deferred for a period. </txt></block></subclause><subclause id="sec.18-ssec.2" guid="_9b5297ae-15d4-419e-9b18-302e235ae3d3" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">The lessor must offer the lessee an extension to the term of the lease on the same conditions as those contained in the lease except that the rent payable during the extension must be adjusted for the waiver or deferral.</txt></block></subclause><subclause id="sec.18-ssec.3" guid="_4de2f3c0-4679-451c-8bad-0375170382a7" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">The extension offered to the lessee must be equivalent to the period for which rent is waived or deferred.</txt></block></subclause><subclause id="sec.18-ssec.4" guid="_386a9f77-3e04-490c-b763-46146c21aa33" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">However, <intref refid="sec.18-ssec.1" check="valid" target.guid="_2a14a9df-0c7f-4966-b448-12e2bea81683">subsections&#160;(1)</intref> to <intref refid="sec.18-ssec.3" check="valid" target.guid="_4de2f3c0-4679-451c-8bad-0375170382a7">(3)</intref>—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.18-ssec.4-para1.a" guid="_93a893e2-f99f-4a62-a0d3-eabcfb985d0e" provision.type="other"><no>(a)</no><block><txt break.before="0">apply to a lessor only to the extent the lessor is not subject to an existing legal obligation that is inconsistent with the obligation to extend the lease under this section; and</txt></block></li><li id="sec.18-ssec.4-para1.b" guid="_2c1a734a-d461-4771-a38d-2b1d98ca59a8" provision.type="other"><no>(b)</no><block><txt break.before="0">do not apply if the lessor demonstrates that the lease can not be extended because the lessor intends to use the leased premises for a commercial purpose of the lessor.</txt></block></li></list></block></subclause></clause><clause id="sec.19" guid="_afa477e2-40c1-440f-9d75-c5da4fb32f97" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>19</no><heading id="sec.19-he" guid="_7f74abc1-3ec5-4532-a023-81ada75b1cbe">Lessor may reduce services for leased premises</heading><block><txt break.before="1">If a lessee under an affected lease is unable to operate a business at the premises for any part of the response period because of the COVID-19 emergency, the lessor may cease or reduce any service at the premises—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.19-para1.a" guid="_85fe2dc7-ee3e-44b1-97d1-04f7a6a7fd0e" provision.type="other"><no>(a)</no><block><txt break.before="0">to the extent it is reasonable in the circumstances; and</txt></block></li><li id="sec.19-para1.b" guid="_37c07f16-8850-481b-a30c-4b6dfd870d83" provision.type="other"><no>(b)</no><block><txt break.before="0">subject to any reasonable request by the lessee.</txt></block></li></list></block></clause><clause id="sec.20" guid="_034463b6-cf59-454d-8553-6a62b2c9135b" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>20</no><heading id="sec.20-he" guid="_f749b8fe-1279-495c-b7fa-198bcb2d2c6a">Confidentiality</heading><subclause id="sec.20-ssec.1" guid="_16bbc4ca-4df4-4f44-a1aa-bf2a1613d4ca" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">A party to an eligible lease dispute must not disclose protected information obtained under or as a result of the operation of this regulation, other than—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.20-ssec.1-para1.a" guid="_5af8deb4-c305-4d50-9885-c1ed14fd4d62" provision.type="other"><no>(a)</no><block><txt break.before="0">with the consent of the person to whom the information relates; or</txt></block></li><li id="sec.20-ssec.1-para1.b" guid="_f1bb90cd-7ee5-49bd-b423-e6cc9cc8f5e9" provision.type="other"><no>(b)</no><block><txt break.before="0">to a professional advisor or financier who agrees to keep the information confidential; or</txt></block></li><li id="sec.20-ssec.1-para1.c" guid="_05a006b3-4554-4a7b-ad85-aebb9b5b9200" provision.type="other"><no>(c)</no><block><txt break.before="0">to the extent the information is available to the public; or</txt></block></li><li id="sec.20-ssec.1-para1.d" guid="_a3c2c9b4-e257-42ff-bf0d-64e9666dd67d" provision.type="other"><no>(d)</no><block><txt break.before="0">as authorised by the small business commissioner; or</txt></block></li><li id="sec.20-ssec.1-para1.e" guid="_e9c1d8d1-977f-4a20-8d86-7e6a99c33b84" provision.type="other"><no>(e)</no><block><txt break.before="0">as authorised under an Act or law.</txt></block></li></list></block><penalty id="sec.20-ssec.1-pen" guid="_1fe51fe2-7c1c-45d3-bb48-a7039da0a739"><block><txt break.before="1">Maximum penalty—20 penalty units.</txt></block></penalty></subclause><subclause id="sec.20-ssec.2" guid="_6bd44b09-5c20-4e52-87cc-6ab1a9a259e3" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">A party to an eligible lease dispute must not use protected information for any purpose other than for negotiating or resolving the eligible lease dispute under this regulation.</txt></block><penalty id="sec.20-ssec.2-pen" guid="_d8f5d5a2-c2a7-4ac6-a877-98e885abf95f"><block><txt break.before="1">Maximum penalty—20 penalty units.</txt></block></penalty></subclause><subclause id="sec.20-ssec.3" guid="_6699064f-3f61-4d92-8ab3-b1b236279c1f" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">In this section—</txt><deflist><definition id="sec.20-ssec.3-def.personalinformation_" guid="_197eed57-8b22-48e5-aeca-2c12e3379596" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.20-ssec.3-def.personalinformation" guid="_5bdf3860-05c4-4e84-8eae-bc0047d0ae18" type="definition">personal information</defterm> means the name, address and contact details of an individual, other than the lessor or lessee of the lease the subject of an eligible lease dispute.</txt></definition><definition id="sec.20-ssec.3-def.protectedinformation_" guid="_31f644c7-c30f-4a9c-955e-f9950dd769db" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.20-ssec.3-def.protectedinformation" guid="_dcf4c1a7-ae32-422a-80d7-54ccad66ac04" type="definition">protected information</defterm> means—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.20-ssec.3-def.protectedinformation-para1.a" guid="_55f9ae5b-6926-498c-b744-76c867d98b4f" provision.type="other"><no>(a)</no><block><txt break.before="0">personal information; or</txt></block></li><li id="sec.20-ssec.3-def.protectedinformation-para1.b" guid="_5f31fd37-4adb-430a-8739-4fa3636789c0" provision.type="other"><no>(b)</no><block><txt break.before="0">information relating to business processes or financial information, including information about the trade of a business.</txt></block></li></list></definition></deflist></block></subclause></clause></division></part><part id="pt.3" guid="_e6b470c3-fd06-4f2b-a0f2-bf0eac9ebfd4" affected.by.uncommenced="0"><no>Part 3</no><heading id="pt.3-he" guid="_9d8e9e37-91c0-4f82-8edc-716330fb8268">Dispute resolution</heading><division id="pt.3-div.1" guid="_1b9882dd-9fb6-4d68-921d-f4eaf669929d" affected.by.uncommenced="0"><no>Division 1</no><heading id="pt.3-div.1-he" guid="_7fa3ecac-0225-415a-b549-dee098252b71">Preliminary</heading><clause id="sec.21" guid="_5478142b-4283-47e4-ad2f-e5c7ae070675" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>21</no><heading id="sec.21-he" guid="_912b8c77-e9f7-4b10-a668-96c6077271dd">Application of part</heading><block><txt break.before="1">This part applies in relation to affected lease disputes and small business tenancy disputes (each an <defterm id="def.eligibleleasedispute" guid="_ae79bfb7-56f8-447f-af53-1406d83328f9" type="definition">eligible lease dispute</defterm>).</txt></block></clause><clause id="sec.22" guid="_ec9b6eb6-72e6-4579-bbb5-82c5341c32c7" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>22</no><heading id="sec.22-he" guid="_067753f9-8947-4c9d-bdb0-445f47fbb2a4">Parties’ rights under this part apply</heading><block><txt break.before="1">To remove any doubt, it is declared that if a provision of an affected lease or a small business lease requires or permits a dispute under or about the lease to be dealt with using a particular procedure, the provision does not prevent a party from starting mediation under this part, even if the procedure under the lease has not been complied with. </txt></block></clause><clause id="sec.23" guid="_fddbda99-35dc-489a-a9c4-047a0fd48140" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>23</no><heading id="sec.23-he" guid="_93935643-ce5d-44ff-8bf7-aeddc89dbe66">Parties may use alternative ways to resolve disputes</heading><subclause id="sec.23-ssec.1" guid="_a744d162-36de-4719-ac5a-6cb0fdba1ed0" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">This part does not prevent the parties to an eligible lease dispute agreeing to undertake a dispute resolution process other than as provided for under this part.</txt></block><note id="sec.23-ssec.1-note" guid="_b0812105-77a5-4bc2-b366-408bcde84389" type="example"><heading id="sec.23-ssec.1-note-he" guid="_3e836395-522d-433e-a7d2-2b2b9b956d00">Examples—</heading><block><list number.type="manual" unnumbered.indent="0"><li id="sec.23-ssec.1-note-para1.1" guid="_353c260e-2e5d-42e7-890d-77c8780c0748" provision.type="other"><no>1</no><block><txt break.before="0">Both parties to an eligible lease dispute are medium to large enterprises who agree to resolve the dispute by appointing an arbitrator.</txt></block></li><li id="sec.23-ssec.1-note-para1.2" guid="_68f083c6-9f34-4083-b524-744134c8a915" provision.type="other"><no>2</no><block><txt break.before="0">A party to an eligible lease dispute starts mediation proceedings under <intref refid="pt.3-div.3" check="valid" target.guid="_65b33fce-0c52-44e4-8f17-50c62062aac9">division&#160;3</intref>. The mediation is unsuccessful, so the parties agree to appoint an arbitrator under the terms of the lease to resolve the dispute.</txt></block></li><li id="sec.23-ssec.1-note-para1.3" guid="_f459ff14-6ae0-4fdd-99ab-7ebc84226a70" provision.type="other"><no>3</no><block><txt break.before="0">The parties to an eligible lease dispute agree to resolve the dispute using 1 of the following methods—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.23-ssec.1-note-para1.3-para2.a" guid="_f64ba8b7-9efb-4983-bff6-2808eefd5f9e" provision.type="other"><no> (a)</no><block><txt break.before="0">a dispute resolution process provided for under the lease or a mandatory industry code; or</txt></block></li><li id="sec.23-ssec.1-note-para1.3-para2.b" guid="_30bcaa94-d2c5-48ad-b64b-a7a3e7fcbc08" provision.type="other"><no> (b)</no><block><txt break.before="0">a mediation process agreed to between the parties; or</txt></block></li><li id="sec.23-ssec.1-note-para1.3-para2.c" guid="_a3791481-023a-4755-814b-274ef99aadb3" provision.type="other"><no> (c)</no><block><txt break.before="0">referral of the dispute to arbitration conducted starting mediation under <intref refid="pt.3-div.3" check="valid" target.guid="_65b33fce-0c52-44e4-8f17-50c62062aac9">division&#160;3</intref> for an eligible lease dispute, the parties to the lease must attempt to resolve the dispute.</txt></block></subclause><subclause id="sec.25-ssec.2" guid="_6c68c004-6ec4-47f1-b8c1-87cf85b60d17" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">In attempting to resolve the dispute, each party must cooperate and act reasonably and in good faith in all discussions and actions id="sec.27-ssec.1" guid="_1c424dab-f2bc-4d0d-8f6c-e7f77ec54263" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">As soon as practicable after the small business commissioner accepts a dispute notice, the commissioner must—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.27-ssec.1-para1.a" guid="_83f407c2-f12c-4d16-8204-34b60c84cf28" provision.type="other"><no>(a)</no><block><txt break.before="0">nominate a mediator to mediate the eligible lease dispute; and</txt></block></li><li id="sec.27-ssec.1-para1.b" to the related disputes agree, the mediator may give each party to the related disputes a further notice stating the details, including the time and date of the mediation conference and the parties to affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">The mediator may allow a person to attend and participate in the mediation conference if the mediator is satisfied the person has an interest in the resolution of the eligible lease dispute.</txt></block></subclause><subclause id="sec.31-ssec.2" guid="_4d1a1d55-a3dc-47ac-b883-b616105c780c" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">However, before the mediation conference is held, notice of the person’s proposed attendance and provision.type="other"><no>(1)</no><block><txt break.before="0">This section applies if the parties to the eligible lease dispute reach an agreement about the dispute at the mediation conference.</txt></block></subclause><subclause id="sec.32-ssec.2" guid="_ac35f5ad-8915-493b-b89a-a2f31ff4da2b" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">The agreement (the <defterm id="sec.32-def.settlementagreement" guid="_efa6d7eb-2c38-4675-b24b-cde10f09576a" type="definition">settlement agreement</defterm>) must be recorded in provision.type="other"><no>(1)</no><block><txt break.before="0">A person may, by written notice given to the small business commissioner, withdraw a dispute notice lodged by the person for an eligible lease dispute, unless the person has made an application about the dispute to QCAT or a court.</txt></block><note id="sec.35-ssec.1-note" guid="_6dafa746-8b92-4f0e-8b50-3fa03449cadf" target.guid="_7da13e5b-c1ba-4245-9887-3428391f9005">subsection&#160;(1)</intref> does not apply if—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.36-ssec.2-para1.a" guid="_1a14c74b-5588-4555-b6a4-3d83e4accfd2" provision.type="other"><no>(a)</no><block><txt break.before="0">a proceeding about the issue in dispute was started in a court before the dispute notice was lodged or given, and the proceeding has not been removed or transferred to QCAT; or</txt></block></li><li id="sec.36-ssec.2-para1.b" guid="_79d119ff-7670-40ad-9e2f-620094379df1" provision.type="other"><no>(b)</no><block><txt break.before="0">an application for an order in the nature of an injunction about the issue in dispute is made to a court; or</txt></block></li><li id="sec.36-ssec.2-para1.c" guid="_137d5e03-ced9-4051-977e-d8f9d481e942" provision.type="other"><no>(c)</no><block><txt break.before="0">a mediator is of the opinion the mediator is prevented from mediating the dispute under <intref refid="sec.39" check="valid" target.guid="_8072f8fc-390c-4af8-9013-773a74330ef1">section&#160;39</intref>.</txt></block></li></list></block></subclause><subclause target.guid="_2dafadc0-f3c0-43ec-a47c-0723e211bdee">(2)</intref>.</txt></block></subclause><subclause id="sec.36-ssec.4" guid="_e03f069a-141d-424c-b425-37c495cfebb8" affected.by.uncommenced="0" break.before="0">the dispute is about an issue between the parties that—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.39-ssec.1-para1.a-para2.i" guid="_92fafef2-ca37-4654-a451-6e0e491f9c53" provision.type="other"><no>(i)</no><block><txt break.before="0">is the subject of retail shop lease arbitration; or</txt></block></li><li id="sec.39-ssec.1-para1.a-para2.ii" guid="_027ec813-139a-4b0a-84af-e1c7ec736294" provision.type="other"><no>(ii)</no><block><txt break.before="0">has been the subject of an interim or final award in a proceeding for a retail shop lease arbitration; or</txt></block></li><li id="sec.39-ssec.1-para1.a-para2.iii" guid="_321c50e0-ec37-47e6-91ec-87f17be6366b" provision.type="other"><no>(iii)</no><block><txt break.before="0">is before, or has been decided by, a court; or</txt></block></li></list></block></li><li id="sec.39-ssec.1-para1.b" guid="_1f398e41-7d00-4461-9a4a-7bae871a8f87" provision.type="other"><no>(b)</no><block><txt break.before="0">the dispute relates to a lease of premises used for the carrying on of the business of a service station mentioned in the <legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" check="valid"><name emphasis="yes">Retail Shop Leases Act 1994</name></legref>, <legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" refid="sec.97" check="valid" to a mediator as if a reference in that provision to the mediator’s function were a reference to the mediator’s function under this part.</txt></block></subclause></clause></division><division id="pt.3-div.5" guid="_55185fbc-d773-4ac3-a776-c8b9de7d7f81" affected.by.uncommenced="0"><no>Division 5</no><heading id="pt.3-div.5-he" guid="_9df28d9e-288a-4695-97c9-fbf176a3f549">QCAT proceedings</heading><clause id="sec.41" guid="_0e73fb9f-1bc6-4dbe-96d1-d72c99ba609e" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>41</no><heading id="sec.41-he" guid="_a586e756-9b2e-47b2-a510-8011f89dc8be">When person may apply</heading><subclause id="sec.41-ssec.1" guid="_c360650d-e26c-4f45-8989-5011365811c1" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">This section applies if—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.41-ssec.1-para1.a" guid="_1a5e60d1-adef-45af-9c1c-107960c6f76f" provision.type="other"><no>(a)</no><block><txt break.before="0">an eligible lease dispute is within QCAT’s jurisdiction under <intref refid="sec.42" check="valid" target.guid="_7eadb51b-7616-40ab-b4ad-de358d68289c">section&#160;42</intref>; and</txt></block></li><li id="sec.41-ssec.1-para1.b" guid="_6cc0dbbd-7c19-41cc-966a-bbe0f113acf4" provision.type="other"><no>(b)</no><block><txt break.before="0">any of the following apply—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.41-ssec.1-para1.b-para2.i" guid="_3c320b8e-ff97-4519-8db7-29a9b9fadd24" provision.type="other"><no>(i)</no><block><txt break.before="0">the parties to the dispute can not reach a settlement agreement;</txt></block></li><li id="sec.41-ssec.1-para1.b-para2.ii" guid="_8e976097-d10e-4604-a607-6293ff952c13" provision.type="other"><no>(ii)</no><block><txt break.before="0">a party to the dispute does not attend the mediation conference for the dispute and does not have a reasonable excuse;</txt></block></li><li id="sec.41-ssec.1-para1.b-para2.iii" guid="_fe868aa1-1ed6-40c1-b6b9-ece1874c53b1" provision.type="other"><no>(iii)</no><block><txt break.before="0">the dispute is not settled within 30 days after the dispute notice is given to the small business commissioner;</txt></block></li><li id="sec.41-ssec.1-para1.b-para2.iv" guid="_a49ba5f5-3f79-4668-aafc-0d09428b25ac" provision.type="other"><no>(iv)</no><block><txt break.before="0">a party to a settlement agreement claims that another party to the agreement has not complied with the agreement within the period stated in it or, if no period is stated, within 14 days after the agreement is signed; and</txt></block></li></list></block></li><li id="sec.41-ssec.1-para1.c" guid="_c83da1ac-5b72-4400-a702-5cfd9185c2b2" provision.type="other"><no>(c)</no><block><txt break.before="0">no more than 6 months has elapsed since—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.41-ssec.1-para1.c-para2.i" guid="_b7c17ed6-3a7f-4b69-a86f-4e2bec443ae0" provision.type="other"><no>(i)</no><block><txt break.before="0">the affected lease or small business lease ended, whether by expiry, surrender or termination; or</txt></block></li><li id="sec.41-ssec.1-para1.c-para2.ii" guid="_4dd69f1b-aaec-414f-9512-baeb8468ee41" provision.type="other"><no>(ii)</no><block><txt break.before="0">the last day the lessee was required, under an agreement, to pay deferred rent.</txt></block></li></list></block></li></list></block></subclause><subclause id="sec.41-ssec.2" guid="_e8fa2053-f29d-4268-8bd8-92cabaa1ef29" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">A party to the eligible lease dispute—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.41-ssec.2-para1.a" guid="_0e87d852-e64b-444d-98df-af72eb11ccea" provision.type="other"><no>(a)</no><block><txt break.before="0">may apply to QCAT, as provided under the <legref jurisd="QLD" type="act" target.doc.id="act-2009-023" target.version.series="c51aec25-167d-4389-82a2-012d28089e17" check="valid"><name emphasis="no">QCAT Act</name></legref>, for an order to resolve the dispute; and</txt></block></li><li id="sec.41-ssec.2-para1.b" guid="_bf2f18a6-bec4-41f9-a713-08d4c1e85ad3" provision.type="other"><no>(b)</no><block><txt break.before="0">if any application is made under <intref refid="sec.41-ssec.2-para1.a" check="valid" target.guid="_0e87d852-e64b-444d-98df-af72eb11ccea">paragraph&#160;(a)</intref>—must give the small business commissioner written notice that the person has made the application.</txt></block></li></list></block></subclause></clause><clause id="sec.42" guid="_7eadb51b-7616-40ab-b4ad-de358d68289c" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>42</no><heading id="sec.42-he" guid="_cd0ca724-0598-4fc2-aa4b-240a63c40de4">Jurisdiction of QCAT</heading><subclause id="sec.42-ssec.1" guid="_de21098c-2591-408e-a0a9-a15d2556f9d5" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">QCAT has jurisdiction to hear and decide eligible lease disputes unless—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.42-ssec.1-para1.a" guid="_d2e4e64e-3d93-4aaf-815f-c92018f3ab55" provision.type="other"><no>(a)</no><block><txt break.before="0">the dispute is about an issue between the parties that—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.42-ssec.1-para1.a-para2.i" guid="_9b1015ec-7d1d-4c92-8ecd-f135e7454086" provision.type="other"><no>(i)</no><block><txt break.before="0">is the subject of retail shop lease arbitration; or</txt></block></li><li id="sec.42-ssec.1-para1.a-para2.ii" guid="_b3474d56-53b1-45a1-afb7-ef729bf6c5e7" provision.type="other"><no>(ii)</no><block><txt break.before="0">has been the subject of an interim or final award in a proceeding for a retail shop lease arbitration; or</txt></block></li><li id="sec.42-ssec.1-para1.a-para2.iii" guid="_99bf4438-98d5-4459-9f9c-32a2d5eb2d74" provision.type="other"><no>(iii)</no><block><txt break.before="0">is before, or has been decided by, a court; or</txt></block></li></list></block></li><li id="sec.42-ssec.1-para1.b" guid="_7c6d6f60-af6f-4682-b672-8f1d2f149442" provision.type="other"><no>(b)</no><block><txt break.before="0">the dispute relates to a lease of premises used for the carrying on of the business of a the <legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" check="valid"><name emphasis="yes">Retail Shop Leases Act 1994</name></legref>, <legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" refid="sec.102" check="valid" target.guid="_949dbe86-ebdb-4103-8b51-ff1f1e461c87">section&#160;102</legref> in relation to retail shop lease disputes under that Act.</txt></block></clause><clause id="sec.44" guid="_e7c22e4f-65ae-4264-9762-d83a85b2fd97" affected.by.uncommenced="0" spent.amends="0" provision.type="other"><no>44</no><heading id="sec.44-he" guid="_d0ae0084-d619-48a7-8950-abe641b78e48">QCAT orders</heading><subclause id="sec.44-ssec.1" guid="_57592324-f537-4fc3-ab7b-9ab86df6c734" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">Subject to <intref refid="sec.44-ssec.3" check="valid" target.guid="_2e3d0faa-5829-417c-ac0e-fbbe79c3d264">subsection&#160;(3)</intref>, QCAT may make the orders, including declaratory orders, QCAT considers to be just to resolve an eligible lease dispute.</txt></block></subclause><subclause id="sec.44-ssec.2" guid="_7ee04daf-6845-4a4f-bbbc-028f5cca5f9a" affected.by.uncommenced="0" provision.type="other"><no>(2)</no><block><txt break.before="0">In making an order for an eligible lease dispute, QCAT must have regard to the extent to which each party has complied with <intref refid="pt.2" check="valid" target.guid="_8457304b-4ecf-43f6-8717-5886e652a10d">part&#160;2</intref>.</txt></block></subclause><subclause id="sec.44-ssec.3" guid="_2e3d0faa-5829-417c-ac0e-fbbe79c3d264" affected.by.uncommenced="0" provision.type="other"><no>(3)</no><block><txt break.before="0">Without limiting <intref refid="sec.44-ssec.1" check="valid" target.guid="_57592324-f537-4fc3-ab7b-9ab86df6c734">subsection&#160;(1)</intref>, QCAT may make any 1 or more of the following orders—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.44-ssec.3-para1.a" guid="_f7fe1b2d-6fc6-4bb0-b773-5acc6794f1ff" provision.type="other"><no>(a)</no><block><txt break.before="0">an order for a party to the dispute to do, or not to do, a stated thing;</txt></block></li><li id="sec.44-ssec.3-para1.b" guid="_b21a73c9-d9b2-4aa9-88d1-fd4c6911ec35" provision.type="other"><no>(b)</no><block><txt break.before="0">an order requiring a party to the dispute to pay an amount, including an amount of compensation, to a stated person;</txt></block></li><li id="sec.44-ssec.3-para1.c" guid="_784d8bf3-2be6-457e-9f1c-c5a47799f1a0" provision.type="other"><no>(c)</no><block><txt break.before="0">an order about the amount of rent payable for the response period or how rent is to be worked out, including, for example, by reference to the turnover of the lessee’s business;</txt></block></li><li id="sec.44-ssec.3-para1.d" guid="_b3df6a15-4521-49d4-b8f0-805fc51f7ceb" provision.type="other"><no>(d)</no><block><txt break.before="0">an order that a party to the dispute is not required to pay an amount to a stated person;</txt></block></li><li id="sec.44-ssec.3-para1.e" guid="_e40020d2-8fba-433d-80b5-8252093da867" provision.type="other"><no>(e)</no><block><txt break.before="0">an order setting aside the whole, or part of, the settlement agreement between the parties to the dispute;</txt></block></li><li id="sec.44-ssec.3-para1.f" guid="_858ec7dd-5466-4810-8df5-f77896eab21f" provision.type="other"><no>(f)</no><block><txt break.before="0">an order that an item, or part of an item, of the lessor’s outgoings for the building in which the leased premises are situated was or was not reasonably incurred in, or directly attributable to, the operations, maintenance or repair of the building;</txt></block></li><li id="sec.44-ssec.3-para1.g" guid="_2db10b78-db8d-4950-82cd-21cfebbfd6b8" provision.type="other"><no>(g)</no><block><txt break.before="0">if the dispute is about the payment of compensation by the lessor to the lessee under the small business lease, and the lease contains provision for the amount of compensation payable—an order that the amount of compensation payable under the lease is reasonable;</txt></block></li><li id="sec.44-ssec.3-para1.h" guid="_62cd43d5-6a52-4b0c-a6a8-fd5f252b967c" provision.type="other"><no>(h)</no><block><txt break.before="0">an order giving effect to a settlement agreement entered into by the parties to the dispute;</txt></block></li><li id="sec.44-ssec.3-para1.i" guid="_7813159f-98cc-4541-9a14-97b37ed104f2" provision.type="other"><no>(i)</no><block><txt break.before="0">if the <legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" check="valid"><name emphasis="yes">Retail Shop Leases Act 1994</name></legref>, <legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" refid="sec.22E" check="valid" target.guid="_f1203896-952e-4ea0-b1f2-0a6afcdca309">section&#160;22E</legref> applies in relation to the affected lease—an order mentioned in <legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" refid="sec.22E" check="valid" target.guid="_f1203896-952e-4ea0-b1f2-0a6afcdca309">section&#160;22E</legref><legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" refid="sec.22E-ssec.2" check="valid" target.guid="_f453c868-2ff4-43bc-afbc-9bdb194141a0">(2)</legref> of that Act;</txt></block></li><li id="sec.44-ssec.3-para1.j" guid="_1159cb25-4f3c-400b-ab4b-29b929c69e93" provision.type="other"><no>(j)</no><block><txt break.before="0">with the consent of the parties to the dispute, an order to rectify the lease;</txt></block></li><li id="sec.44-ssec.3-para1.k" guid="_8784df19-9970-44ac-9e28-226c2e50276c" provision.type="other"><no>(k)</no><block><txt break.before="0">if QCAT finds that a specialist retail valuer did not comply with the <legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" check="valid"><name emphasis="yes">Retail Shop Leases Act 1994</name></legref>, <legref jurisd="QLD" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" refid="sec.29" check="valid" target.guid="_56c411ea-e9ed-413b-a455-40bafd9dc404">section&#160;29</legref> in making a determination of current market rent in relation to the dispute—an order that the determination be set aside and a further determination, in compliance with that section, be made.</txt></block></li></list></block></subclause><subclause id="sec.44-ssec.4" guid="_2f1883a4-68af-4d52-ab84-e2e6e84a0d11" affected.by.uncommenced="0" provision.type="other"><no>(4)</no><block><txt break.before="0">If QCAT finds a party to an affected lease dispute has contravened <intref refid="sec.11" check="valid" target.guid="_b7ad3501-5847-4571-9af5-d6e53940004b">section&#160;11</intref> or a party to an eligible lease dispute has engaged in unconscionable conduct in relation to an affected lease or small business lease, QCAT may make only 1 of the following orders based on the contravention or unconscionable conduct—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.44-ssec.4-para1.a" guid="_21ca4b2a-dd28-48b0-b3de-76d319ac1df8" provision.type="other"><no>(a)</no><block><txt break.before="0">an order requiring the party who contravened the section or engaged in the unconscionable conduct to pay an amount to a stated person;</txt></block></li><li id="sec.44-ssec.4-para1.b" guid="_62ffeaae-3ff1-4cce-bf0b-6b22927474f2" provision.type="other"><no>(b)</no><block><txt break.before="0">an order that the party who contravened the section or engaged in the unconscionable conduct is not required to pay any amount to any settlement agreement may apply to a court with jurisdiction to hear the dispute for an order enforcing the agreement.</txt></block></subclause><subclause id="sec.46-ssec.2" measures</heading><subclause id="sec.47-ssec.1" guid="_ed04dd9f-3814-42ce-a9b8-405863b29176" affected.by.uncommenced="0" provision.type="other"><no>(1)</no><block><txt break.before="0">This section applies in relation to an act or omission of a lessee under a retail shop lease, prescribed lease or other small business lease, if the act or omission—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.47-ssec.1-para1.a" guid="_29de9ab3-832a-4ec8-adca-d4c06469c728" provision.type="other"><no>(a)</no><block><txt break.before="0">occurs on or after the commencement of the <legref target.doc.id="act-2020-013" target.version.series="4c7d5743-5188-49bf-8dc0-d711130a1cd1" jurisd="QLD" type="act" check="valid">Act</legref>; and</txt></block></li><li id="sec.47-ssec.1-para1.b" guid="_ee009a82-536f-4ac1-9cc6-c18b7e643787" provision.type="other"><no>(b)</no><block><txt break.before="0">is required under a COVID-19 response measure or a law of the Commonwealth or another State in response to the COVID-19 emergency.</txt></block></li></list></block></subclause><subclause id="sec.47-ssec.2" guid="_76993258-8899-4685-8ab2-859ca7e030dc" guid="_17ac2049-a6c8-4446-bdfb-86e92452c115" provision.type="other"><no>(a)</no><block><txt break.before="0">is taken not to amount to a breach of the lease; and</txt></block></li><li id="sec.47-ssec.2-para1.b" guid="_d916c322-1f7b-45d5-83a1-cd8f87e0653e" provision.type="other"><no>(b)</no><block><txt break.before="0">does not constitute grounds for termination of the lease or the applies in relation to a lease if—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.48-ssec.1-para1.a" guid="_c4c88296-5823-4fda-af69-71fbe51d2533" provision.type="other"><no>(a)</no><block><txt break.before="0">during the pre-commencement period—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.48-ssec.1-para1.a-para2.i" guid="_6507b3ec-b1e5-400c-be20-f0a801d8bdb8" provision.type="other"><no>(i)</no><block><txt break.before="0">a proceeding for a lease dispute was started in relation to the lease; guid="_7147e220-7a31-41b1-8cd2-59a225f8eaeb" type="definition">lease dispute</defterm> means any dispute concerning the liabilities or obligations under a retail shop lease or prescribed lease if— </txt><list number.type="manual" unnumbered.indent="0"><li id="sec.48-ssec.3-def.leasedispute-para1.a" guid="_f22d4d79-64d4-411c-9f40-4ddce63be740" provision.type="other"><no>(a)</no><block><txt break.before="0">on the commencement the lease is an affected lease; and</txt></block></li><li id="sec.48-ssec.3-def.leasedispute-para1.b" guid="_d5570847-8415-4c8d-a980-4f8d10e40147" provision.type="other"><no>(b)</no><block><txt break.before="0">the matter the subject of the dispute would, if it had arisen during the response period for the lease, have constituted a prescribed action.</txt></block></li></list></definition><definition id="sec.48-ssec.3-def.precommencementperiod_" guid="_0030b1ba-e228-43b4-b334-b4eae21532f2" affected.by.uncommenced="0"><txt break.before="1"><defterm id="sec.48-ssec.3-def.precommencementperiod" guid="_59170a3b-66a8-4deb-91b5-4006091b1005" type="definition">pre-commencement period</defterm> means the period—</txt><list number.type="manual" unnumbered.indent="0"><li id="sec.48-ssec.3-def.precommencementperiod-para1.a" guid="_df6d0f27-5dc8-47b2-bb2f-b67985529088" provision.type="other"><no>(a)</no><block><txt provision.type="other"><no>(b)</no><block><txt break.before="0">ending immediately before the commencement.</txt></block></li></list></definition><definition id="sec.48-ssec.3-def.resolved_" guid="_073ec25c-a325-4c95-bc8a-45f071818ebc" provision.type="other"><no>(a)</no><block><txt break.before="0">a settlement agreement or other binding agreement has been entered into by the parties to the dispute; or</txt></block></li><li id="sec.48-ssec.3-def.resolved-para1.b" guid="_81ed350f-24e5-4779-85c2-22d5afecc5eb" provision.type="other"><no>(b)</no><block><txt break.before="0">an order has been made about the dispute by a court or tribunal; or</txt></block></li><li id="sec.48-ssec.3-def.resolved-para1.c" guid="_ec9b11ad-0d02-4ee7-bfc9-ced73e586a41" type="act" target.doc.id="act-1994-047" target.version.series="914a8577-cda5-4244-96c9-ddaf117b6f01" refid="sec.61" check="valid"
